Alabama Registered Agent Service Under the Business Office Rule
Alabama's code says a registered agent has to keep a business office at the registered address, and the agent may not do the job solely through a virtual office or a mail forwarding service. For $149 a year Mainstay takes that role in Alabama, with compliance reminders included because Alabama LLCs have no annual report to file. Here is what the code requires, how to switch and what happens if an agent resigns.
One price: $149/yr for your registered agent, with compliance reminders. Switching from another agent? The state's change fee is at cost.

What Alabama's code asks of a registered agent
Alabama calls the role a registered agent and the address a registered office, and both are defined in section 10A-1-5.31 of the Code of Alabama. An entity has to designate and continuously maintain both, so the requirement reaches LLCs, corporations, limited partnerships, limited liability partnerships and nonprofits.
The agent is the person or company that papers are served on. The code makes the registered agent an agent of the entity on which any process, notice or demand required or permitted by law may be served. When someone sues your company, the summons goes to the registered office. The code defines that office as a street address in the state where process may be personally served on the registered agent.
Whatever agent and address are on file with the Secretary of State are the ones courts and the state will use. Filings go to the Secretary of State's Business Services office in Montgomery.
Who is eligible, and the business office rule
The code allows two kinds of agent. One is an individual who is a resident of Alabama. The other is a domestic entity, or a foreign entity that is registered to transact business in Alabama. There is no age rule in the statute.
Then the code adds two conditions that trip people up. The agent must maintain a business office at the same address as the entity's registered office. And the agent may not perform its duties or functions solely through the use of a virtual office, the retention by the agent of a mail forwarding service, or both. The code defines a virtual office as one operated solely through the internet or other remote communication. Both conditions appear in the statute as amended through Act 2026-495.
The registered office also may not be solely a mailbox service or a telephone answering service. The state's forms say the same thing in plain words: street address, no PO boxes.
Street addresses, counties and the public record
The Certificate of Formation asks for one registered agent and a street address in Alabama, and it says no PO boxes. It also asks for the agent's county, with an optional Alabama mailing address if you want mail delivered somewhere different. There is a reason for the county line. Of the $200 filing fee, the Secretary of State pays $100 to the county treasurer of the county where the initial agent's office is located, and the form uses the answer to work out where that money goes.
The Certificate of Formation is a public record, so the agent address you put on it is public too. If you list your home as the registered office, that is the address anyone reading the filing will see.
Choosing a registered agent is, in effect, choosing which Alabama address goes on the public record.
Doing it yourself, naming someone or hiring a service
An Alabama resident can name themselves. It costs nothing extra. The price is paid in privacy and flexibility: the address you list has to be a business office where process may be personally served, and an agent who works solely online does not fit the code's definition.
A co-owner, an employee or an attorney with an Alabama street address can serve if they agree to. That works until they move, change jobs or miss a delivery, and the consequences land on your company rather than on them.
A registered agent service puts its own Alabama address on the public record. For someone who lives outside Alabama it is usually the only route, since a nonresident cannot be an individual resident agent and needs a qualifying entity.
Moving your agent to Mainstay
Changing the agent is a statement of change under section 10A-1-5.32, filed on the Secretary of State's Change of Registered Agent or Registered Office by Entity form. The new agent has to give written consent to the appointment, either on the form or attached to it. The fee schedule lists the change at $100, and that is the same whether you change the agent, the office or both. The form is typed and submitted in two copies by mail, or by email to the Secretary of State.
If you switch to us, we prepare and file the statement and charge the $100 at cost. Our consent goes on it, so you do not have to track down a signature. Keep the old agent until the Secretary of State has the new one on record, because the code requires you to continuously maintain an agent and a gap is exactly the window you cannot afford.
Moving only the address of the same agent is also a filing. If you are your own agent and you relocate within Alabama, you file the update so the record matches.
If your agent resigns
An Alabama agent resigns by filing a Notice of Registered Agent Resignation with the Secretary of State. There is no fee. Before filing, the agent has to give written notice to the entity at the address the agent most recently knew, and certify on the form that it did. The agent mails two copies, because the Secretary of State does not accept the notice by email. An agent can resign whether or not the entity is in good standing.
The resignation takes effect on the earlier of two dates: 12:01 a.m. on the 31st day after the notice is delivered to the Secretary of State, or the day the entity designates a new agent. So you have about a month, and the way to use it is to file the $100 statement of change with the replacement already lined up.
If an entity fails to maintain a registered agent, or the agent cannot with reasonable diligence be served, section 10A-1-5.35 says the entity may be served as the Alabama Rules of Civil Procedure provide. The code does not make the Secretary of State your fallback agent, and Alabama LLCs file no annual report, so no yearly deadline will remind you that the agent on file has gone quiet.
What $149 a year covers when Alabama has no annual report
Our Alabama registered agent service costs $149 a year, and you pay the same $149 at renewal. Since Alabama puts no recurring state filing on an LLC, there is no annual report to prepare. The price covers your registered agent and compliance reminders. The $199 formation package includes the agent role along with the Certificate of Formation and your EIN application.
The registered office on the public record becomes our Alabama address instead of yours. If your company is served, the papers are scanned and uploaded within the same business day, at no charge. Government mail is handled a little differently: three pieces a year are scanned free, then each additional piece carries a scan or shipping fee. Free physical forwarding is not part of any tier.
Legal advice is outside what we do, and a lawsuit response belongs with your attorney.
Frequently asked questions
Can a virtual office or mail forwarding service be my Alabama registered agent?
Not on its own. The code says an agent may not perform its duties solely through a virtual office, a mail forwarding service, or both, and the agent must keep a business office at the registered office address. The registered office also may not be solely a mailbox service or a telephone answering service.
Who can be a registered agent in Alabama?
An individual who is a resident of Alabama, or a domestic entity or a foreign entity registered to transact business in Alabama.
Can I list a P.O. box as the registered office?
No. The registered office is a street address in Alabama where process may be personally served, and the Certificate of Formation says no PO boxes.
What does it cost to change a registered agent in Alabama?
The Secretary of State charges $100 for a change of registered agent or office by an entity. Mainstay files the statement for you and charges that state fee at cost.
Does the new agent have to agree in writing?
Yes. A statement of change under section 10A-1-5.32 needs the new agent's written consent, either on the statement or attached to it.
How does an Alabama registered agent resign, and what does it cost?
The agent files a Notice of Registered Agent Resignation, which carries no fee. It takes effect on the 31st day after the Secretary of State receives it, or sooner if the entity designates a new agent.
What happens if an Alabama LLC has no registered agent?
Section 10A-1-5.35 says the entity may be served as the Alabama Rules of Civil Procedure provide. The statute does not make the Secretary of State a fallback agent.
Why does the Certificate of Formation ask for the agent's county?
Because $100 of the $200 filing fee goes to the county treasurer for the county where the initial agent's office is located. The form uses the county to distribute it.
Does Mainstay's Alabama service include an annual report?
No, because Alabama LLCs have none. The $149 a year covers your registered agent and compliance reminders, for LLCs, corporations, LPs, LLPs and nonprofits alike.
Haven't formed your Alabama company yet?
Start with the formation package instead. At $199 a year it prepares and files your formation, applies for your EIN, and serves as your registered agent, with the state's own fees at cost. For a new company that's the better value, since the agent and the formation both come with it. The $149 service on this page is for a company that's already formed and only needs an agent.
