Who each structure is for

LLC

Best for: Freelancers, consultants, e-commerce sellers, real-estate holders, and most new small businesses.

Corporation

Best for: Startups raising capital, companies issuing stock or options, businesses planning an acquisition or IPO.

Why: A board-and-officer structure built around shares, which is what investors and option plans expect.

LP

Best for: Investment funds, real-estate syndications, and family holdings with active managers and passive backers.

Why: A general partner runs it and carries the liability; limited partners invest without day-to-day control.

LLP

Nonprofit
