Forming an Arkansas LLC

How do I form an LLC in Arkansas?

You file a Certificate of Organization with the Arkansas Secretary of State's Business and Commercial Services Division, name a registered agent with a physical Arkansas street address, and pay the state filing fee. Online filing through the Secretary of State's portal is faster and cheaper than mailing paper. After formation, most owners also get an EIN from the IRS and put an operating agreement in place.

Why does Arkansas call it a Certificate of Organization?

Arkansas renamed the formation document from "Articles of Organization" to "Certificate of Organization" in 2021. They refer to the same thing — the filing that legally creates your LLC. You'll still see "Articles" in older guides and out-of-state templates, but the current Arkansas form is the Certificate of Organization.

How long does it take?

Online filings generally process in about two business days. Paper filings sent by mail take roughly four weeks. Arkansas does not currently sell an expedited or same-day service for LLC formation, so if you have a deadline, file online and give yourself margin.

Can I form an Arkansas LLC if I live in another state or country?

Yes. Arkansas has no residency requirement for members, managers, or the organizer. The only in-state requirement is your registered agent's physical Arkansas street address, which a commercial agent can provide. You can form and run the LLC entirely from elsewhere.

Registered Agents

Does my Arkansas LLC need a registered agent?

Yes — at formation and for the entire life of the company. The agent receives legal service and official state mail on the LLC's behalf and must have a physical Arkansas street address, available during business hours. A P.O. box does not qualify.

Can I be my own registered agent?

Yes, if you have a physical Arkansas street address and can be reliably available during business hours. The trade-offs are that your address goes into the public, searchable state record and you have to be present to accept legal service. Many owners use a commercial service to keep their address private and avoid missing a delivery.

Can I change my registered agent later?

Yes. You file a change of registered agent with the Secretary of State, and the new agent consents to the role. It's a routine filing, and agent/office changes are among the quicker updates the state processes. Owners commonly switch from self-service to a commercial agent, or between providers.

What if I don't keep a valid agent?

The LLC falls out of compliance, and if a lawsuit is served with no valid agent to receive it, you can miss the notice and face a default judgment. Maintaining a proper agent is a continuous obligation, not a one-time step.

Costs, Taxes, and the Annual Franchise Report

What are the ongoing costs of an Arkansas LLC?

The two recurring items are keeping a registered agent and filing the annual Franchise Tax Report with the Secretary of State. The franchise report is a combined filing and flat tax owed every year regardless of income. Beyond that, costs depend on your business — licenses, permits, and any professional service fees.

What is the Arkansas franchise tax report?

It's Arkansas's signature annual requirement. Rather than splitting an annual report from a separate tax, Arkansas combines them into one flat-rate Franchise Tax Report filed with the Secretary of State — not the Department of Finance and Administration — due May 1 each year. You file it through the franchise tax portal.

What happens if I miss the May 1 deadline?

Penalties and interest begin to accrue, and if the report goes unfiled long enough, the LLC can lose its good standing. Losing good standing can block loans, contracts, and the ability to bring a lawsuit in Arkansas until you cure the delinquency and pay what's owed.

How is an Arkansas LLC taxed?

By default, a single-member LLC is a disregarded entity (Schedule C) and a multi-member LLC is taxed as a partnership (Form 1065), with profit flowing through to members. Arkansas has a state personal income tax, so that pass-through income also appears on members' Arkansas returns. You can elect S-corp or C-corp treatment with the IRS if the numbers favor it — a conversation for your accountant.

Do I need to collect sales tax?

If you sell taxable goods or certain services in Arkansas, you register for sales and use tax with the Department of Finance and Administration. That's separate from your LLC formation and the franchise tax, and it runs on its own schedule.

Names, Operating Agreements, and Structure

How do I check if my LLC name is available?

Use the Arkansas name availability search before filing. Your name must be distinguishable from every other entity on record and must include a designator like "LLC" or "Limited Liability Company." Names implying a government agency, or restricted words tied to banking, insurance, or licensed professions, may be barred or require special approval.

Do I need an operating agreement?

Arkansas doesn't require one and you never file it with the state, but you should have one. It sets ownership percentages, profit splits, management authority, and what happens when a member leaves. Without it, the Arkansas Code's default rules govern — and those defaults may not match your intentions. Banks frequently ask for it when you open a business account.

Member-managed or manager-managed — what's the difference?

In a member-managed LLC, all the owners run the company. In a manager-managed LLC, you designate one or more managers to run it while other members can stay passive. You indicate the structure at formation, and your operating agreement spells out the details. Most small owner-operated LLCs are member-managed.

Can a single person form an Arkansas LLC?

Yes. Single-member LLCs are fully valid in Arkansas. You still name a registered agent, file the Certificate of Organization, and owe the annual franchise tax, and you should still keep an operating agreement — even a single-member one — to reinforce that the company is genuinely separate from you.

Changes, Foreign LLCs, and Winding Down

I formed my LLC in another state but do business in Arkansas. What do I do?

You register as a foreign LLC by obtaining a Certificate of Authority from the Secretary of State and appointing an Arkansas registered agent. You'll typically need a certificate of good standing from your home state. Operating in Arkansas without qualifying can bar you from Arkansas courts and expose you to penalties.

How do I change my LLC's name or address?

Name changes are made by filing an amendment to the Certificate of Organization with the Secretary of State. Registered agent and office address changes are made through a separate change filing. Your principal office address is also refreshed when you file the annual franchise report, but don't wait on that to correct a stale record.

How do I close my Arkansas LLC?

You file articles of dissolution with the Secretary of State, wind up the business, settle debts, and distribute what remains to members. Until you formally dissolve, the LLC keeps accruing franchise tax obligations even if it's inactive, so closing it properly matters.

What does Mainstay Filing actually do?

We prepare and file your formation paperwork, serve as your Arkansas registered agent, and keep your compliance deadlines — especially the May 1 franchise tax — on the radar. We're a filing and agent service, not a law firm or CPA firm, so we don't give legal or tax advice; we make sure the state-facing paperwork is correct and on time.

Frequently asked questions

Is an LLC or a sole proprietorship better in Arkansas?

For most owners who want to shield personal assets, the LLC is the better structure. A sole proprietorship offers no liability separation — business debts and lawsuits are personal. An LLC creates that barrier while keeping pass-through taxation. The trade-off is the LLC's formation filing and the ongoing annual franchise report, which most owners consider a fair price for the protection.

Do I have to renew my Arkansas LLC every year?

There's no separate "renewal," but you do have to file the annual Franchise Tax Report with the Secretary of State by May 1 to keep the LLC in good standing. Skipping it triggers penalties and eventually loss of good standing, which functions like letting the LLC lapse.

Can I use a home address for my Arkansas LLC?

You can use a home address as the principal office, and you can even list it as the registered agent address if you're your own agent — but it then becomes part of the public, searchable state record. Owners who want privacy typically use a commercial registered agent's address instead so their home address stays off the record.

How many members can an Arkansas LLC have?

There's no maximum. An Arkansas LLC can have a single member or many. Members can be individuals or other entities, and there's no residency requirement. Just remember that a multi-member LLC files a partnership return by default and needs an EIN.
