How Arkansas treats the registered agent
Arkansas uses the term registered agent and builds the rules around the Registered Agents Act, section 4-20-101 and the sections that follow it. You name the agent on the Certificate of Organization, Form LL-01, when the company forms, and the form asks for the agent's name and physical street address. The Secretary of State's Business and Commercial Services Division in Little Rock keeps the record.
The agent is authorized to receive service of any process, notice or demand required or permitted by law to be served on the entity, and under section 4-20-114 the agent has to forward what is served to the entity at the address most recently supplied. A lawsuit against your LLC is delivered there. The role does not stop after formation, because the LLC has to keep an agent on record.
The Secretary of State's guidance quoted here is written for LLCs, and we act as agent for corporations, LPs, LLPs and nonprofits too.
Commercial, noncommercial or an office title
Arkansas lists three kinds of agent. Under Act 638, section 4-20-105, the agent can be a commercial registered agent, a noncommercial registered agent, or "the title of an office or other position with the entity."
A commercial registered agent is a company that lists with the Secretary of State under section 4-20-106 and acts for many businesses, which means the state already holds its information. A noncommercial agent is an individual or an entity you name directly, with an address. The third option is unusual. You can name the title of an office, such as the LLC's manager, instead of a person, so the role passes to whoever holds the position.
The title option does not remove the address requirement. The filing still gives the address of that person's business office.
Street addresses, rural routes and mail drops
Section 4-20-104 says an agent filing must state "an actual street address or rural route box number in this state," plus a mailing address in the state if it is different. The Secretary of State's franchise tax instructions say it more bluntly: the registered agent's address must be a street address in Arkansas, the agent must be located at that address, and a post office box or "mail drop" may not be used.
The statute does not set office hours. It does accept a rural route box number as the address. A P.O. box is not the same thing and does not qualify.
No age or residency test, but you still need an address
The Registered Agents Act sets no age or residency requirement for an agent, and neither do the Secretary of State's sources. The test is the Arkansas street address. Under section 4-20-105, naming an agent is the entity's affirmation that the agent has consented to serve, so whoever you name should agree before you file.
That helps owners who live elsewhere only in a limited way. Without any Arkansas presence you have no address to list, so an out-of-state owner needs a commercial agent or someone else with an Arkansas address.
If you do live in the state and work from home, naming yourself puts your home address on the filing. If you are out on a job when a process server comes, nobody is there.
Moving your agent to Mainstay, free at the state level
The change form is the Notice of Change of Registered Agent for LLC, DO-03, and it carries no fee. It is stamped "NO FEE", online and on paper. You can file it through the Secretary of State's corporate filing system or by mail. The form names your LLC and gives the new agent's name and Arkansas street address. It has no signature line for the new agent: under section 4-20-108 the filing itself is the entity's affirmation that the agent consented. The change takes effect on filing.
A switch to Mainstay is simple at the state level: we prepare and file the DO-03 for you. Because the state charges nothing for it, there is no state fee to pass through on the switch. The Secretary of State says it completes most filings within two business days of receipt, so the update normally posts quickly.
One thing can hold it up: if the LLC's franchise tax is unpaid, Arkansas prohibits any additional filings with the Business and Commercial Services Division. Do not assume a move updates the record either. If you are your own agent and relocate, nothing tells the Secretary of State until you file.
If your agent resigns
An Arkansas agent resigns by filing a statement of resignation with the Secretary of State, and there is no fee. The Business and Commercial Services forms page lists no separate resignation form. The resignation takes effect on the earlier of the 31st day after it is filed or the appointment of a new registered agent. The agent has to promptly give the entity notice, in a record, of the date the statement was filed.
So you have about a month to file the free DO-03 with the replacement. If the entity no longer has a registered agent, or the agent cannot with reasonable diligence be served, section 4-20-113 allows service by registered or certified mail, return receipt requested, addressed to one or more of the governors by name at the entity's principal office.
A missing agent can also cost the LLC its standing. The Secretary of State may begin administrative dissolution if the LLC does not have a registered agent in Arkansas for 60 consecutive days. The company gets a notice and then not later than 60 days after service of it to cure, and reinstatement is possible within two years.
What $149 a year covers in Arkansas
Our Arkansas registered agent service is $149 a year, and it renews at $149. The price buys the agent role and compliance reminders. The annual franchise tax report, due to the Secretary of State by May 1, is yours to file under this service, whereas the $199 formation package handles it, with the agent role, the Certificate of Organization and your EIN application included.
The Arkansas address on the public record becomes ours rather than yours. If your company is served, we scan and upload the papers the same business day at no fee. Three government mailings a year are scanned free, and each one after that carries a scan or shipping fee. Free physical forwarding is not available.
Treat the address as a legal and government channel, not a mailroom. We do not give legal advice.
Frequently asked questions
Does it cost anything to change a registered agent in Arkansas?
No. The Notice of Change of Registered Agent, form DO-03, carries no state fee, online or on paper.
Can I use a P.O. box or a mail drop as my agent's address?
No. The franchise tax instructions say the agent's address must be a street address in Arkansas, the agent must be located there, and a post office box or "mail drop" may not be used.
Is there a residency or age test for an Arkansas registered agent?
The Registered Agents Act sets none. The test is an actual street address in the state where the agent is located.
Can an office title be my registered agent?
Yes. Under Act 638, section 4-20-105, an entity can name the title of an office or other position instead of a person, with the address of that person's business office.
How long does the Secretary of State take to process the change?
It says it completes most filings within two business days of receipt.
How does an Arkansas registered agent resign?
By filing a statement of resignation, which carries no fee. It takes effect on the earlier of the 31st day after filing or when a new agent is appointed.
What happens if an Arkansas LLC has no registered agent?
It can be served by registered or certified mail addressed to its governors at the principal office, and the Secretary of State may begin administrative dissolution after 60 consecutive days without an agent, with up to 60 days after notice to cure.
Does a change of agent affect my franchise tax report?
No. The change of agent is separate, and the franchise tax report is still due by May 1. Under the agent service you file it yourself, and the $199 formation package files it for you.
Do you serve nonprofits and corporations in Arkansas?
Yes. The same $149 a year covers LLCs, corporations, LPs, LLPs and nonprofits.
Haven't formed your Arkansas company yet?
Start with the formation package instead. At $199 a year it prepares and files your formation, applies for your EIN, serves as your registered agent and files your franchise tax report, with the state's own fees at cost. For a new company that's the better value, since the agent, the formation and the franchise tax report all come with it. The $149 service on this page is for a company that's already formed and only needs an agent. See how forming in Arkansas works →
