How to Change the Registered Agent for a Delaware Limited Partnership

A registered agent isn't a set-it-and-forget-it decision. Several ordinary events force or invite a change, and each one leaves the partnership out of compliance if you ignore it.

Common triggers

• Your agent resigns. Commercial agents can resign, and individuals stop being willing or available. A resignation starts a clock — the partnership needs a new agent on record before the old one's coverage ends.
• The agent's address changes. If an individual agent moves out of Delaware, they can no longer serve. Even a commercial agent relocating means the record must be updated.
• You're switching providers. Maybe you started with a partner as agent and now want a professional service, or you're consolidating several entities under one commercial provider for a cleaner compliance calendar.
• A partner who served as agent leaves. If a general or limited partner was the agent and exits the partnership, you'll want the agent role to leave with them.
• Reliability problems. If documents are arriving late — or not at all — that's reason enough to move to an agent you trust.

For an LP structured as a fund or holding vehicle meant to last years, agent changes are a normal part of the entity's life. The key is never to let the seat sit empty.

Changing the registered agent is done through the Delaware Division of Corporations by filing the appropriate change document, which updates the agent named in the partnership's record. There is a state fee for the filing.

What the filing does

The change document replaces the current registered agent and address with the new agent and their Delaware address. Once the Division processes it, the new agent is the official recipient of service of process and state mail, and the public record reflects the update.

Consent of the new agent

The incoming registered agent has to be willing to serve — you can't unilaterally name someone. When you engage a commercial agent, that consent is built into signing up with them. If you're naming an individual, confirm they agree and meet the requirements (physical Delaware address, available during business hours) before filing.

Bulk changes

Delaware also allows a registered agent that resigns or changes its own address to make a single filing covering many entities at once. If you use a commercial provider and they move or restructure, they typically handle that filing for all their clients — you may not need to do anything beyond confirming your entity was included.

The single most important rule when changing agents is continuity: your Delaware LP must have a valid registered agent at every moment. A gap — even a short one — leaves the partnership out of good standing and creates a window where service of process could be mishandled.

Sequence the switch correctly

• Line up the new agent first. Have the incoming agent engaged and ready before you file anything to remove the old one.
• File the change so it takes effect without a lapse. The goal is for the new agent to be on record the moment the old arrangement ends.
• Confirm the record updated. After filing, verify with the Division that the new agent appears on the partnership's record.

If your agent resigned first

If your agent resigned and you're scrambling to replace them, act quickly. There's a period after a resignation during which the partnership must appoint a new agent before consequences escalate. The faster you get a replacement on record, the less risk of falling out of good standing or missing a served document during the gap.

Don't forget your other states

If your Delaware LP is also registered as a foreign LP in states where it operates, each of those registrations has its own registered agent — and its own separate change process. Updating Delaware does not update the others. Keep a list of every state where the LP is registered so an agent change is applied everywhere it needs to be.

The state filing is only half the job. Once the registered agent changes, several internal and external records should reflect it.

What to update

• The limited partnership agreement or entity records if they reference the agent
• Your compliance calendar, so annual tax reminders route through the correct agent
• Banks, lenders, and counterparties that keep the agent on file, where relevant
• Any foreign state registrations, filed separately in each state

Keep proof of the change

Save the accepted change filing from Delaware. It's your evidence that the partnership maintained a valid agent without interruption, which can matter if a question of proper service ever comes up later.
