The State's Formation Fee
When you file Articles of Organization with the Florida Division of Corporations, you pay a total state filing fee. That fee covers both the Articles of Organization itself and the registered agent designation — Florida bundles them into a single payment. The Division's official fee page lists the current amounts; they don't change frequently but it's worth confirming before you file.
There is no application fee, no franchise tax at formation, and no minimum capital requirement to form a Florida LLC. What you see on the Division's fee schedule is what you pay. Some states layer on additional fees at formation — Florida does not.
What the formation fee covers
The state filing fee pays for:
- Processing and recording the Articles of Organization
- Registering the designated registered agent with the state

If an LLC's annual report remains unfiled past the fourth Friday of September, the state administratively dissolves the entity. Administrative dissolution means the LLC is no longer in good standing, cannot legally transact business, and loses its name protection in Florida's registry.
