Hawaii Registered Agent Service With an In-State Business Address
Hawaii requires an individual registered agent to live in the state and every agent to have a business street address there, so owners on the mainland need an in-state agent. For $149 a year Mainstay holds the role. This page also covers the change form and what happens if an agent resigns.
One price: $149/yr for your registered agent, with compliance reminders. Switching from another agent? The state's change fee is at cost.

How Hawaii sets up the registered agent
Hawaii's term is registered agent, and the rule sits in HRS chapter 425R and section 428-107 of the Uniform Limited Liability Company Act, which says an LLC has to continuously maintain a registered agent in the state, with a business address in the state. Hawaii does not have a Secretary of State business office. The Business Registration Division, known as BREG, is part of the Department of Commerce and Consumer Affairs, and it keeps the record in Honolulu.
Articles of Organization on Form LLC-1 name the registered agent, entity or individual, along with its Hawaii street address. Filing the Articles costs $50, and there is an additional $1 State Archives fee. The Articles also state the initial principal office mailing address, the organizers, the duration, whether the LLC is managed by its members or by managers, and whether members are liable for company debts. All business registration filings are open to public inspection.
BREG's FAQ describes the agent's duty as receiving service of process, notice or demand on behalf of the business and informing the business of it. A lawsuit is delivered there. BREG itself does not route its notices through the agent: annual report reminders are emailed to companies that filed online the year before, and a termination notice is mailed to the company. What follows is the LLC version of the rules. Corporations, LPs, LLPs and nonprofits can hire us as agent as well.
Who is eligible
The statute and the form instructions put it in one sentence. The agent is an individual who resides in this state, a domestic entity authorized to transact business in Hawaii, or a foreign entity authorized to transact business in Hawaii, and it must have a business address in this state, meaning a street address where service can be made.
Then comes the limit: the limited liability company cannot be its own registered agent. A member or manager can serve, as long as they live in Hawaii.
An individual agent has to reside in Hawaii, and that alone rules out mainland and overseas owners as their own agents. An entity qualifies if it is a domestic entity or is authorized here, and that is the category an agent service falls in. Hawaii also lists commercial registered agents with BREG, and an entity that names a commercial agent states only the agent's name on the filing.
A street address on an island, not a mailbox
The filing asks for the street address of the registered agent's place of business in Hawaii, where service of process and other notices and documents may be delivered. That can be on Oahu, Maui, Hawaii Island, Kauai or any other island. The form asks for a street address, so a post office box does not fit.
BREG's FAQ adds that a registered agent must be an individual or entity authorized to transact business in Hawaii and must be physically present in the State. The statute does not set business hours for the address.
Naming yourself, a neighbor or a service
If you live in Hawaii and have a business address here, you can name yourself. There is no additional cost. The price is a public address, since filings are open to public inspection and the registry information can be viewed in BREG's business name search, and the need to be reachable. A summons served while you were away at a job site or off-island can produce a default judgment.
A co-owner, an employee, an attorney or a friend who lives in Hawaii can serve. That puts a real burden on them, and if they move or change jobs, your compliance is at risk.
A commercial agent puts its own Hawaii address on the record in place of yours. For an owner on the mainland it is the practical way to satisfy the in-state requirement without relocating.
Moving your agent with Form X-7
Form X-7, the Statement of Change of Registered Agent by Entity, carries a BREG fee of $25. It can be filed online through BREG's new portal at hbe.dcca.hawaii.gov, which went live on July 6, 2026, or on paper. BREG's portal FAQ says the filing fees did not change in the move.
With Mainstay, we prepare and file the X-7 for you and charge the $25 at cost. The form lists the current agent and the new one with the new Hawaii street address, and a manager of a manager-managed LLC, or a member of a member-managed one, signs and certifies it for the entity. There is no agent signature on the form: under chapter 425R, naming an agent is the entity's affirmation that the agent has consented. It takes effect on filing.
Keep the old agent in place until BREG has recorded the new one. An overlap of a few days is harmless, while a gap is exactly when a lawsuit can slip through. Afterward, look up the company in BREG's business search to confirm.
If your agent resigns
A Hawaii agent resigns on Form X-9, the Statement of Resignation of Registered Agent, which carries a $25 fee, is signed by the agent and can be filed online. Under section 425R-10 it takes effect on the earlier of the 31st day after it is filed or the appointment of a new registered agent. The agent has to promptly give the LLC notice, in a record, of the filing date. The BREG instructions say that can be a letter, an email or other written form.
If an LLC has no agent on file, or its agent cannot be found, section 428-110 allows service on a manager of a manager-managed company, a member of a member-managed one, or a person in charge. If none can be found in the State, service may be made by registered or certified mail, return receipt requested, addressed to the LLC at its principal office.
Going without an agent also has a cost to the LLC itself. Failing to appoint and maintain an agent for service of process is a ground for administrative termination under section 428-809. The Director mails a notice of the grounds to the company, and if the problem is not corrected within 60 days after mailing, the LLC can be terminated by decree. So name a replacement within the 31 days.
What $149 a year covers in Hawaii
Our Hawaii registered agent service costs $149 a year and renews at $149. Included are the agent role and compliance reminders. Your annual report is due by the end of the calendar quarter in which your LLC registered and carries a $12.50 state fee, and filing it is not part of this service. The $199 formation package files it and also includes the agent along with the Articles of Organization and your EIN application. If you file the report online, BREG emails you a free reminder the next year.
The Hawaii address on the public record becomes Mainstay's. Whatever is served on your company is scanned and uploaded the same business day, and we charge nothing for it. Government mail comes with three free scans a year, then a scan or shipping fee for each additional piece, and we offer no free physical forwarding.
For advice on a lawsuit, you want an attorney.
