Idaho Registered Agent Service and the Physical Address Rule
Idaho rejects P.O. boxes and commercial personal mailboxes as the agent's address, and since the 2026 amendments a home-based LLC can list its commercial registered agent's address as its principal office, if the agent consents. Mainstay charges $149 a year for the agent role. This page also covers the change filing and what happens if an agent resigns.

What the Idaho code says about the agent
Idaho calls the role a registered agent, either commercial or noncommercial, under section 30-21-404 of the Idaho Code. The Secretary of State's Business Services office in Boise keeps the record, and the Certificate of Organization under Title 30 asks you to name the agent.
The Secretary of State describes the agent as the person or business designated to receive official documents and legal notices on behalf of your business. Under section 30-21-412 an entity may be served with any process, notice or demand required or permitted by law by serving its registered agent. The annual report mailing address you list on the Certificate is a separate field, and it is where annual report notices go.
The agent is not your accountant, your lawyer or a forwarding address for ordinary business mail. This summary is LLC-specific, and the agent service is also open to corporations, LPs, LLPs and nonprofits.
Who qualifies under Idaho's rules
The Secretary of State's page lists what it takes to be a registered agent in Idaho: a physical street address in Idaho with no P.O. box, availability during normal business hours, and being either an individual who lives in Idaho or a business entity authorized to do business in Idaho. That is the state's rule for any agent. An assumed business name cannot be a registered agent, and the Secretary of State does not endorse specific registered agents.
The Secretary of State's FAQ adds that you can serve as your own registered agent if you have a physical address in Idaho.
The agent must also have agreed to serve. Section 30-21-404(b) says that designating an agent is an affirmation of fact by the entity that the agent has consented. So naming a person without asking is a statement to the state that is not true. A commercial agent satisfies the business entity category as long as it is authorized to do business in Idaho.
Physical addresses, and the 2026 principal office change
The form is plain about the address. The agent must be located in Idaho at a physical address, and post office boxes and commercial personal mail boxes are not acceptable. The FAQ says a P.O. box may be used as a mailing address for your business, but not as the registered office address.
A new rule came in with the 2026 amendment to section 30-25-201, which changed the Certificate of Organization. If an LLC has no physical location other than a residential address, it can list its commercial registered agent's address as its principal office, as long as the agent consents. That means a home-based owner no longer has to publish the residence as the principal office either.
Whatever address you choose for the agent goes on the Certificate of Organization and becomes part of the entity's record.
Choosing between yourself, someone you trust and a service
An Idaho resident with a physical address can name themselves. There is no extra cost. The state expects the agent to be available during normal business hours, so you personally have to be reachable there, and the address is on the record. If you are on a job site or traveling when papers arrive, a lawsuit's clock keeps running regardless.
A co-owner, an employee or an Idaho attorney can serve if they understand the role and will actually pass along what arrives. People leave companies, and when they do the role has to be reassigned.
A commercial agent puts its own Idaho address on the record in place of your residence, and that address does not change when you move.
Changing agents in Idaho, at no base fee
Idaho calls the change a Statement of Change of Registered Agent, Registered Office, or Both, and there is no base state fee for it. Only a paper filing carries a $20 manual processing fee, and the Secretary of State says filing online through SOSBiz is the fastest option and avoids it. The paper form carries the new agent's signed consent and must be signed by an LLC member or manager. Members and governors do not need to approve the change.
There is a shortcut. Under section 30-21-213(e), an annual report that shows a different registered agent also counts as a statement of change. If your annual report is due soon, list the new agent there. If the report is months away, file the Statement of Change now.
On the move to Mainstay, we prepare and file the statement. Because the state charges no base fee for an online change, there is no state fee to pass through on the switch.
If your agent resigns
An Idaho agent resigns with a statement of resignation signed by the agent, and there is no filing fee. Under section 30-21-410 it takes effect on the earlier of 12:01 a.m. on the 31st day after the Secretary of State files it or the designation of a new registered agent. The agent has to promptly give the LLC notice, in a record, of the date it was filed. Do not ignore that notice: you have about a month to name a replacement.
If an entity ceases to have a registered agent, or its agent cannot with reasonable diligence be served, section 30-21-412 lets it be served by registered or certified mail addressed to the entity's principal office, as shown in its most recent annual report.
An empty seat can also end the LLC. An entity that does not have a registered agent in Idaho for 60 consecutive days, or that fails to notify the Secretary of State within 60 days that its agent changed or resigned, is subject to administrative dissolution under section 30-21-601. The process starts with a notice and gives 60 days to cure. Line up the replacement before the agent's resignation takes effect, then confirm in the Idaho business search that the new agent is showing on your entity's record.
What $149 a year covers in Idaho
Our Idaho registered agent service is $149 a year, renewing at $149. You get the agent role and compliance reminders for that. Your annual report is due by the end of the month in which your LLC formed, lists the company name, the registered agent, the principal office and at least one governor, and costs nothing at the state, but filing it is not part of this service. The $199 formation package files it, and it also covers the agent, the Certificate of Organization and your EIN application.
The Idaho registered office on the public record becomes Mainstay's address. We scan and upload service of process the same business day, at no fee. The first three government mailings of a year are free to scan, and each further piece carries a scan or shipping fee. No tier includes free physical forwarding.
We provide filing and agent service, not legal representation.
