What an EIN Is and Why an LLP Always Needs One
An EIN, or Employer Identification Number, is the nine-digit tax identifier the IRS assigns to a business. It functions as the business equivalent of a Social Security number — it identifies the partnership on federal tax filings, bank accounts, and payroll paperwork.
Why a partnership can never skip it
A single-member LLC can sometimes get by on the owner's Social Security number, but a partnership cannot. Because an LLP has two or more partners, it is treated as a partnership for federal tax purposes and must file its own information return (Form 1065) and issue Schedule K-1s to the partners. Those filings require an EIN. So unlike some other structures, there is no scenario where an Illinois LLP operates without one.
Where you will use it
- Federal tax filings — the partnership return and the K-1s issued to partners
- Opening a bank account — banks require the EIN to open a partnership account
- Payroll — if the firm has employees, the EIN drives federal and Illinois payroll tax reporting
- Vendor and client paperwork — the EIN goes on W-9s and similar forms instead of a partner's Social Security number
Getting the EIN also keeps individual partners' Social Security numbers off business paperwork, which is a small but real privacy benefit.
When to Apply for the EIN
Timing matters. There is a right moment in the formation sequence to get the EIN, and getting it out of order can cause minor friction.
Register the LLP first
It is generally best to file your Statement of Qualification with the Illinois Secretary of State — or at least have the partnership clearly established — before applying for the EIN. The EIN application asks for the legal name and details of the entity, and having your registration in hand keeps the information consistent. Applying before the partnership exists can create mismatches you then have to correct.
Get it before the bank and before payroll
You will need the EIN before you can open the partnership's bank account, and before you can set up payroll or pay any employees. Because the EIN issues immediately through the online application, it does not add delay — you can get it the same day you are ready to open accounts.
One EIN per partnership
A partnership needs only one EIN. You do not get a new one when partners change, when you change your registered agent, or when you move offices. You generally only need a new EIN if the entity's fundamental structure changes — for example, if the partnership is converted into a different type of entity. Ordinary changes within the LLP do not require a new number.
How to Apply, Step by Step
The IRS issues EINs at no cost. Be wary of third-party sites that charge a fee simply to obtain the number — the application itself is free directly from the IRS.
The online application
Your quickest option is to use the IRS EIN Assistant on IRS.gov. The steps:
- Select the entity type — for an LLP, you apply as a partnership.
- Provide the partnership's legal name exactly as registered, its Illinois address, and the formation details.
- Identify the "responsible party" — a partner who controls or manages the partnership — along with that person's Social Security number or ITIN.
- Answer the questions about employees and the nature of the business.
- Submit, and the EIN is issued immediately on screen.
Print or save the confirmation notice right away. You can use the number the same day, even before the paper confirmation arrives by mail.
Availability window
The online EIN Assistant operates only during certain hours on business days, and a session must be completed in one sitting — it does not save partway through. Gather the responsible party's information and the partnership details before you start so you can finish in one pass.
Handling Partners Without an SSN and Other Edge Cases
The online application assumes the responsible party has a U.S. Social Security number or ITIN. When that is not the case, or when other wrinkles come up, there are established alternatives.
Responsible party without an SSN or ITIN
If the partner who will serve as the responsible party does not have a Social Security number or ITIN, the partnership cannot use the fully online path. Instead, apply by fax or mail using Form SS-4, which allows the responsible party field to be completed without a U.S. taxpayer ID in the way the online tool requires. Fax applications typically return the EIN in a few business days; mail takes longer. International applicants can also apply by phone through the IRS in some circumstances.
Choosing the responsible party
The IRS wants a real individual who controls or manages the partnership as the responsible party — not a nominee or a service. For most LLPs this is a managing partner. The responsible party is the person the IRS will contact about the entity, so choose someone who will actually field that correspondence.
If you make a mistake
If you apply with an error — a misspelled name, the wrong responsible party — you generally correct it by writing to the IRS rather than by applying for a second EIN. Applying again to fix a mistake creates duplicate numbers and more cleanup, so fix the existing one.
After You Have the EIN
The EIN unlocks the next steps of getting the LLP operational and stays with the partnership for its life.
Immediate uses
With the EIN and your filed Statement of Qualification in hand, you can open the partnership's bank account, which is essential for keeping firm and personal finances separate — the separation that supports the liability shield. You can also set up payroll if you have employees and complete W-9s for clients and vendors using the EIN.
Keep the confirmation safe
Store the EIN confirmation notice with your permanent partnership records alongside the Statement of Qualification and the partnership agreement. Banks and others will occasionally ask for it, and it is far easier to keep the original than to request a replacement letter from the IRS later.
The EIN is permanent
Once assigned, your partnership's EIN is never reused or reassigned to anyone else, even if the firm dissolves. If you eventually wind up the LLP, you close the business account associated with the EIN rather than canceling the number itself. For everyday changes — new partners, new address, new registered agent — the EIN simply stays the same.
Frequently asked questions
Does an Illinois LLP need an EIN?
Yes, always. Because an LLP has two or more partners, it is treated as a partnership for federal tax purposes and must file its own return (Form 1065) and issue Schedule K-1s, all of which require an EIN. You also need it to open a bank account and run payroll. There is no scenario where an LLP operates without one.
How much does an EIN cost?
Nothing. The IRS issues EINs at no cost. Be cautious of third-party websites that charge a fee just to obtain the number — you can apply directly and for free through the IRS EIN Assistant at IRS.gov, and the number is issued immediately.
How do we apply for the EIN?
Apply online through the IRS EIN Assistant at IRS.gov, selecting partnership as the entity type. Provide the partnership's legal name, Illinois address, and a responsible party with a Social Security number or ITIN. The EIN issues immediately on screen. Save the confirmation and you can use the number the same day.
What if a partner does not have a Social Security number?
If the responsible party lacks an SSN or ITIN, you cannot use the fully online application. Instead, apply by fax or mail using Form SS-4, which handles the responsible party field differently. Fax typically returns the EIN in a few business days; international applicants may also apply by phone in some cases.
Do we need a new EIN if partners or our address change?
No. A partnership uses one EIN for its life. You do not get a new number when partners join or leave, when you change your registered agent, or when you move. A new EIN is generally only needed if the entity's fundamental structure changes, such as converting to a different type of entity.
