Illinois Limited Partnership Costs — What You Actually Pay

The real cost of an Illinois limited partnership is more than a single filing fee. This page breaks down the state charges you cannot avoid, the recurring annual cost, the optional expenses that may or may not apply, and the costs that are not state fees at all — so there are no surprises. The receipt card shows the current fee amounts.

The Costs You Cannot Avoid

Two categories of cost apply to essentially every Illinois LP: the one-time cost to create it and the recurring cost to keep it in good standing. The exact dollar figures appear on the receipt card on this page, pulled from current state data, so this section explains what each charge is for rather than restating numbers.

The formation filing fee

To create your LP, you file a Certificate of Limited Partnership (Form LP 201) with the Secretary of State's Department of Business Services, and the state charges a filing fee to review and record it. This is a one-time cost, and it is non-refundable — it is what Illinois charges to bring your partnership into legal existence. Until it is paid and the certificate is accepted, the LP does not exist.

The annual report fee

Every year, your LP files an annual report with the Secretary of State to stay in good standing, and the state charges a fee for it. Illinois ties the due date to your formation anniversary rather than a single calendar deadline, so budget for this every year for as long as the LP operates. It is the ongoing cost of keeping the entity active and its record current.

Together, the formation fee and the recurring annual report fee are the baseline. Everything else on this page is situational.

Optional and Situational Costs

Beyond the required charges, several costs apply only when your circumstances call for them. Knowing which ones might reach you helps you plan realistically.

Expedited processing

Illinois offers faster handling of filings for an additional state fee. If you are racing a closing, a bank appointment, or a contract deadline, expediting can be worth it. If you have time to spare, standard processing costs nothing extra. The receipt card reflects the expedite option where it applies.

Registered agent service

If a general partner serves as the registered agent, this costs nothing but puts that address on the public record and the responsibility on you. If you hire a commercial registered agent — which most out-of-state partners and privacy-minded owners do — that is an annual service cost. It buys privacy, guaranteed business-hours availability, and reliable handling of legal documents.

Name reservation

If you want to hold your name before you are ready to file, Illinois lets you reserve an available name for a period for a small state fee. Most filers skip this and go straight to the certificate, so treat it as optional.

Assumed name registration

If your LP will operate under a name other than its legal name, you register an assumed name for a fee. This only applies if you are running a brand distinct from your registered partnership name.

Certificates and certified copies

Banks, lenders, and counterparties sometimes ask for a certified copy of your certificate or a certificate of good standing. The state charges for these on request. You do not need them to form or run the LP, but plan for the cost if a counterparty requires one — a foreign-qualifying LP, for example, will need a good-standing certificate from its home state.

Costs That Are Not State Fees

Some of the money you spend around your LP has nothing to do with the Secretary of State. It is easy to lump everything together, so it is worth separating out.

Federal EIN — free

An Employer Identification Number from the IRS costs nothing. You apply directly at IRS.gov and receive the number immediately. If a service offers to obtain your EIN for a fee, understand that the underlying government charge is zero — you are paying only for the convenience of having someone else complete a ten-minute form.

Taxes

Your LP's tax bill is a business cost, not a formation cost. The partnership files an informational federal return and passes income through to the partners, and Illinois applies the personal property replacement tax to partnership income. If you sell taxable goods or services, you collect and remit sales tax through the Illinois Department of Revenue. These depend on your revenue and activity — they are not a fixed fee you pay to exist.

Licenses and permits

Illinois has no single general business license, but your specific profession or city may require one, each with its own fee and renewal cycle. A real estate operator, a contractor, and a consultant will face very different license costs. Research what applies to your line of work; none of it is charged by the entity-filing office.

Professional help

If you hire an attorney to draft a custom limited partnership agreement — which, given the two-class structure and the distribution waterfall, is genuinely worth it for many LPs — or a CPA to handle partnership tax, those are professional fees, not state charges. They are optional, but for an LP with real money and multiple investors, they are often money well spent.

Where a Filing Service Fits In

When you use Mainstay Filing, your cost is the state's required fees plus our service fee — and we are transparent about the split. The state fee shown on the receipt card is exactly what Illinois charges; we do not mark it up. Displayed equals charged.

That service fee is one flat yearly figure rather than a stack of separate charges. It pays for preparing your Certificate of Limited Partnership correctly, submitting it to the Department of Business Services, and returning your stamped documents, with registered agent service carried inside it for every year you stay — a professional Illinois address on the public record instead of your home. When the anniversary-based annual report comes due, preparing and filing it belongs to the same yearly figure, so nothing slips and nothing lands on the bill beyond the state's own report fee.

You can absolutely do all of this yourself and pay only the state fees. The value of a service is the time saved, the reduced chance of a rejected filing, and not having to keep an anniversary-based deadline in your own head. Whether that tradeoff is worth it depends on how you value your time and how comfortable you are with the state's systems. Either way, the state's cut is the same, and there is no benefit to overpaying for the parts the government provides for free — like the EIN.

Frequently asked questions

What does it cost to form an Illinois LP?

The unavoidable cost is the state filing fee for the Certificate of Limited Partnership, shown on the receipt card on this page. That is a one-time charge to bring the partnership into legal existence. On top of it, you have the recurring annual report fee each year and any optional costs you choose, such as expedited processing or commercial registered agent service.

Is the Illinois annual report fee a yearly cost?

Yes. The annual report fee recurs every year for the life of the LP. Illinois bases the due date on your formation anniversary rather than a fixed calendar date. Budget for it annually — missing it adds a penalty, and a long lapse threatens the partnership's good standing, which is more disruptive to fix than simply paying on time.

Does an EIN cost money in Illinois?

No. An EIN is issued free by the IRS, and you can apply directly at IRS.gov in about ten minutes. It is a federal item, not an Illinois charge. If a service quotes a fee to obtain your EIN, that fee is for convenience only — the government charge is zero.

Do I have to pay for expedited processing?

No, expediting is optional. Illinois offers faster processing for an additional state fee, useful if you are up against a deadline. If you can wait for standard processing, you pay nothing extra. The receipt card reflects the expedite option where it applies.

Are there hidden fees when forming an Illinois LP?

Not with a transparent service. The state fee is fixed and public, and a reputable filer charges exactly what the state charges for the government portion, adding only a clearly stated service fee on top. Watch for services that mark up state fees or charge for free items like the EIN. On this page, displayed equals charged.

What should I budget beyond the state fees for an LP?

Plan for a commercial registered agent if you want privacy and reliability, factor in any profession- or city-specific licenses, and set aside money for taxes based on revenue. For an LP with multiple investors, budgeting for an attorney to draft the partnership agreement and a CPA for partnership tax is often worthwhile. Optional items like name reservation or certified copies apply only if you need them.
