How to Change Your Indiana LLC's Registered Agent

There are a handful of common reasons an Indiana LLC swaps registered agents, and none of them are unusual.

The typical triggers

• Your current agent resigned. Individuals move or lose interest; services get acquired or shut down. When an agent resigns, the clock starts on appointing a replacement.
• You are switching providers. Maybe your current commercial service raised its price, dropped the ball on forwarding a document, or you found one you like better. Switching is routine.
• You served as your own agent and want out. Common when an owner realizes their home address is public and searchable, or when they start traveling and can no longer count on being there when legal papers arrive.
• Your agent moved. If your individual agent relocated out of Indiana, or your address inside Indiana changed, the record has to be corrected.
• A restructuring or sale. Ownership changes and internal reorganizations often come with a fresh agent designation.

Why you should not let it slide

Indiana requires a valid registered agent at all times. An LLC operating with a stale or invalid agent is out of compliance, and INBiz says businesses that fail to maintain a registered agent will be administratively dissolved. More dangerously, a lawsuit served to an address where nobody is receiving mail can produce a default judgment before you ever learn about the case. The change filing costs little; the consequence of skipping it does not.

Indiana processes registered agent changes through INBiz, the Secretary of State's online portal, as a "Change of Registered Agent/Office" filing. The paper equivalent is the Statement of Change of Registered Agent, State Form 56367, under IC 23-0.5-4-6. It is a standalone change filing. You do not need to amend your entire Articles of Organization to update the agent.

The steps

1. Line up the new agent first. For a commercial service you need its registered name; for an individual, the name and Indiana street address. Confirm they consent to serve, since the filing includes a consent checkbox. Never file naming an agent who has not agreed.
2. Log in to INBiz with your Access Indiana account and locate your LLC.
3. Open the registered agent change filing and enter the new agent's details.
4. Submit. The paper form says "NO FILING FEE." Online, INBiz's checkout may show a minimal processing charge; the INBiz fee calculator lists the current amount.
5. Save the confirmation. Once processed, the new agent appears on your public record. Keep the confirmation with your business records.

Processing time

Indiana doesn't publish a standard processing time for agent changes. Filing online through INBiz avoids mail time, which is one reason to use it, especially if you are replacing a resigned agent against a deadline.

Old agent, new agent

When you file the change, the previous agent is automatically removed from the record as the new one takes their place. You do not file a separate removal. If a commercial service was your old agent, let them know you have moved on so they can close out your account cleanly.

Most registered agent changes go smoothly. The ones that do not usually trip on the same few points.

Naming an agent who never agreed

An agent must consent to serve. Listing a friend, relative, or service without confirming they will accept documents is a real problem. If papers arrive and no one is prepared to handle them, you get the worst of both worlds: a public record that looks fine and no one actually catching your legal mail. Always confirm consent first.

Using an address that is not a real Indiana location

The registered office must be in Indiana, at a place where legal papers can actually be handed to the agent, and the Secretary of State says P.O. boxes are not acceptable. A mail-forwarding-only setup or an out-of-state address won't work either. If you are using a commercial agent, their listed Indiana address handles this for you.

Letting a gap open up

If your agent resigns, do not wait. You're out of compliance until a replacement is on file, and any lawsuit served during a gap can still stick. Treat a resignation notice as time-sensitive.

Forgetting the change is public

Once processed, your new registered agent's name and address are visible on the Secretary of State's business search. If privacy was the reason you switched (say, to get your home address off the record), confirm the update actually went through and the old address is gone.

A registered agent change is a natural moment to reconsider the whole arrangement, especially if you have been serving as your own agent.

The case for a commercial service

A commercial registered agent keeps its own Indiana address on the public record, so your home or personal address stays private. It keeps staff at its office to accept deliveries, which removes the risk that a legal document arrives while you are out. And because the agent's address is what is on file, your registered office does not change when you move. That's one less update to remember down the road.

When self-serving still works

If you run a settled Indiana business with a fixed commercial location and staff on site all day, continuing to serve as your own agent is defensible. The friction only shows up when you travel, work remotely, or run the LLC as a side project, which are the exact situations where a missed document does the most damage.

Whichever way you go, the mechanics of the change are the same: one INBiz filing with little or no state fee. What matters is that the agent on file is one who will actually receive your mail and get it to you in time.
