How to Change Your Indiana LLC's Registered Agent

There are a handful of common reasons an Indiana LLC swaps registered agents, and none of them are unusual.

The typical triggers

• Your current agent resigned. Individuals move or lose interest; services get acquired or shut down. When an agent resigns, the clock starts on appointing a replacement.
• You are switching providers. Maybe your current commercial service raised its price, dropped the ball on forwarding a document, or you found one you like better. Switching is routine.
• You served as your own agent and want out. Common when an owner realizes their home address is public and searchable, or when they start traveling and can no longer guarantee they are available during business hours.
• Your agent moved. If your individual agent relocated out of Indiana, or your address inside Indiana changed, the record has to be corrected.
• A restructuring or sale. Ownership changes and internal reorganizations often come with a fresh agent designation.

Why you should not let it slide

Indiana requires a valid registered agent at all times. Old agent, new agent

When you file the change, the previous agent is automatically removed from the record as the new one takes their place. You do not file a separate removal. If a commercial service was your old agent, let them know you have moved on so they can close out your account cleanly.

Naming an agent who never agreed

An agent must consent to serve. Listing a friend, relative, or service without confirming they will accept documents is a real problem — if papers arrive and no one is prepared to handle them, you get the worst of both worlds: a public record that looks fine and no one actually catching your legal mail. Using an address that is not a real Indiana location

The registered office must be a physical Indiana street address where someone is present during business hours.
