Iowa Registered Agent Service Under the Place of Business Rule

Iowa's rule for who can be a registered agent fits in one line of the Code: the agent must have a place of business in the state, and must have consented. For $149 a year, Mainstay takes the role in Iowa. This page covers what the Code requires, how the switch works and what happens when an agent resigns.

One price: $149/yr for your registered agent, with compliance reminders. Switching from another agent? The state's change fee is at cost.

The one location rule in Iowa Code 489.115

Section 489.115 of the Iowa Code says each limited liability company "shall designate and maintain a registered agent in this state." Iowa's term is simply registered agent, and Business Services at the Secretary of State's office in Des Moines keeps the record. The duty is to maintain an agent, not only to name one on the day you form.

The section's only location rule is that the agent "must have a place of business in this state." That is the whole test. The Certificate of Organization lists the agent's street address and mailing address so papers have an Iowa location to go to.

The section lists the agent's only duties: forward to the LLC, at the address most recently supplied, any process, notice or demand served on or received by the agent, give the required notice if it resigns, and keep the agent's information in the certificate current. The code here is the LLC chapter, and the same agent service also covers corporations, LPs, LLPs and nonprofits.

No age test, no residency test, a real consent

Section 489.115 does not add an age or residency rule, and it sets no business hours. Either a person or a company can serve, as long as it has an Iowa place of business and has agreed.

Consent is built into the statute. Designating an agent is an affirmation of fact that the agent has consented to serve. So naming someone without asking is not a harmless shortcut. You are telling the state something that has to be true.

The agent's name and its Iowa street and mailing addresses go onto the Certificate. The Secretary of State's change form notes that the information you provide will be open to public inspection, so a home address entered there is public.

What Iowa's Certificate of Organization asks for

Iowa provides no fill-in form for the Certificate of Organization. The forms page says that if only the code section is linked, you need to draft the document yourself. Section 489.201 sets what it has to state: the name, the street and mailing addresses of the LLC's principal office, and the name and the street and mailing addresses in the state of the registered agent. Other matters are optional.

The filing fee is $50, the same online through Fast Track Filing or on paper. The LLC is formed when the certificate becomes effective.

Three ways to fill the seat

You can be your own agent if you have a place of business in Iowa. It costs nothing extra, but the address is public, papers can arrive whenever a process server shows up, and you carry the whole responsibility. That is awkward if you travel or work from home.

Anyone with a place of business in Iowa can serve once they agree, whether a co-owner, an employee, an attorney or a relative. If they close their Iowa office or move, you have to update the filing right away.

A commercial agent puts its own Iowa address on the public record instead of yours. Because the statute requires a place of business in the state, owners without a suitable Iowa location, or who want their home address off the record, need an agent that has one.

Changing agents costs nothing at the state

The statement of change carries no fee. The fee schedule lists it as "Statement of Change - No fee," and Iowa Code 489.122(1)(g) agrees. You file it online through Fast Track Filing, which emails you when the filing is complete. The paper form has the new agent sign to consent, or attach a written consent, and an authorized person signs for the LLC. The change is effective when filed, and the members or managers do not need to approve it. Iowa does not publish a standard turnaround.

There is a second route. Section 489.212 lets the biennial report name a new agent, with that agent's consent. If your report is due soon, that is one filing instead of two.

Moving to Mainstay costs no state filing fee for the change. We prepare and file the statement, and the new agent's consent goes with it. Line up the new agent before the old one is removed, because a short gap is when a lawsuit can slip through.

If your agent resigns

An Iowa agent resigns by filing a statement of resignation, and there is no fee. The form says it takes effect at 12:01 a.m. on the 31st day after the filing date or on the designation of a new registered agent, whichever is earlier. The agent has to promptly give the LLC notice, in a record, of the date it was filed, and the form includes a certificate of mailing that a copy was sent by certified mail to the business entity. So you have about a month to name a replacement.

If the LLC ceases to have a registered agent, or its agent cannot with reasonable diligence be served, section 489.119 allows service by registered or certified mail addressed to the LLC at its principal office, as shown on its most recent biennial report.

An empty seat can end the LLC as well. Administrative dissolution under section 489.708 can follow if the LLC is without a registered agent, or its agent has no place of business in Iowa, for sixty days or more, or if the Secretary of State is not notified within sixty days of a change or resignation. The Secretary gives notice, and if the problem is not fixed within 60 days the LLC is dissolved and continues to exist only to wind up its business.

Reinstatement is $5, takes effect retroactively as though the dissolution never happened, and keeps the name if it happens within five years. Cheap, but you would rather not need it.

What $149 a year gets you in Iowa

Mainstay charges $149 a year for the agent role in Iowa and the same $149 when it renews. It comes with compliance reminders. Filing the biennial report is not part of it. Iowa requires one every odd-numbered year, between January 1 and April 1, with a $30 online fee, and the first one comes in the first odd year after the year you formed. That filing is part of the $199 formation package, which includes the agent and adds the Certificate of Organization and your EIN application.

On the public record, the Iowa address will be Mainstay's. When your company is served, the papers are scanned and uploaded the same business day, with no fee. Government mail gets three free scans a year, and each piece after that adds a scan or shipping fee. Free physical forwarding is not part of any tier we sell.

Frequently asked questions

Is there an age or residency requirement for an Iowa registered agent?

Section 489.115 has none. The agent must have a place of business in Iowa and must have consented to serve.

What counts as a place of business for an Iowa registered agent?

Section 489.115 says only that the agent must have a place of business in the state. It sets no residency, age or business hours rule.

How much does it cost to change my registered agent in Iowa?

Nothing. The statement of change is listed as no fee, and it can be filed online.

Can the biennial report change my agent?

Yes. Iowa Code 489.212 lets you name a new agent on the report, with that agent's consent.

How does an Iowa registered agent resign?

By filing a statement of resignation, with no fee. It takes effect on the 31st day after filing or when a new registered agent is designated, whichever is earlier.

What happens if an Iowa LLC has no registered agent?

It can be served by registered or certified mail at its principal office. After sixty days or more without an agent it can be administratively dissolved, with notice and 60 days to correct it first.

When is the Iowa biennial report due?

Between January 1 and April 1 of each odd-numbered year. The first is due in the first odd-numbered year after the year the LLC was formed.

What does reinstatement cost after an administrative dissolution?

$5, and it relates back as if the dissolution never happened. The name is kept if you reinstate within five years.

Do corporations and nonprofits get the same Mainstay price in Iowa?

Yes. The agent service covers LLCs, corporations, LPs, LLPs and nonprofits for the same $149 a year.

Haven't formed your Iowa company yet?

Start with the formation package instead. At $199 a year it prepares and files your formation, applies for your EIN, serves as your registered agent and files your biennial report, with the state's own fees at cost. For a new company that's the better value, since the agent, the formation and the biennial report all come with it. The $149 service on this page is for a company that's already formed and only needs an agent. See how forming in Iowa works →
