How to Change Your Kentucky LLC's Registered Agent

A registered agent isn't a permanent decision. Over the life of a Kentucky LLC, several ordinary situations call for a change, and there's nothing unusual about making one.

Common reasons

• You've been your own agent and want your address off the public record. A lot of owners start out listing their home address, then realize it's searchable in the FastTrack database and indexed online. Switching to a commercial agent gets the personal address out of public view.
• Your current agent resigned or became unreachable. People move, quit, or stop answering. A commercial service can also close or drop the ball. If the agent isn't reliably reachable in Kentucky, the LLC is out of compliance until it's fixed.
• You're moving out of state. If you were acting as your own agent and you leave Kentucky, you're no longer a Kentucky resident, so you need a Kentucky-based agent.
• You're unhappy with your current service. Slow forwarding, missed notices, surprise fees. Switching commercial agents is straightforward.
• The registered office address changed. Even keeping the same agent, if the office address changes you file to update it. The same form covers the agent, the office, or both.

In Kentucky you change your registered agent by filing a Statement of Change of Registered Agent or Registered Office, or Both (Form RAC) with the Secretary of State. The fee schedule lists it at $10. It's a short filing that updates the public record with your new agent and registered office.

Not on the annual report

Owners often assume they can just put the new agent on the next annual report. Kentucky says no: its annual reports page states that you cannot change the principal office or registered agent/office on the annual report, and those changes must be made with a statement of change. Waiting until the January to June report window just leaves the old agent on record longer.

The steps

1. Choose the new agent first. Have the replacement lined up before you file: an individual Kentucky resident, a Kentucky entity, or an out-of-state entity authorized in Kentucky, at a Kentucky street address (no P.O. box). The new agent has to be valid the moment the old one is off the record; you don't want a gap.
2. Confirm consent. The incoming agent must agree to serve, just as the original agent signed your Articles to consent. If you're moving to a commercial service, that's part of onboarding.
3. File the statement of change with the Secretary of State, through the FastTrack portal or on paper. You'll provide the LLC's name, the new registered agent's name, and the new registered office street address in Kentucky, and pay the $10 fee.
4. Think about the county. Your Articles were copied to the county clerk where the registered office sat. If the change moves the office to another county, ask that county clerk's office whether it wants a copy of anything, so your local record isn't left pointing at the old county.
5. Verify the public record updated. After processing, search your LLC in FastTrack and confirm the new agent and office show correctly.

Timing

The Secretary of State says filings other than annual reports are usually processed the same day they're received, though it can take up to three business days. Until the change is processed, the old agent is still your agent of record, so keep the transition tight and make sure the outgoing agent is still functional right up to the switch.

The single biggest risk in changing agents is a coverage gap: a stretch where either no valid agent is on record or the person on record is no longer actually receiving your mail. During a gap, a lawsuit could be served on an address nobody's watching, or a state notice could vanish. Either can quietly escalate.

How to avoid the gap

• Line up the new agent before you touch the old one. Have the replacement ready and consenting, then file the change. Don't fire your current agent and then go shopping.
• Keep the outgoing agent operational until the change processes. Because the old agent stays on record until the state updates it, they should keep forwarding your mail right up to the effective date.
• If your agent already resigned, move immediately. When the resignation happens first, you're already in a gap. File the replacement as fast as you can, because compliance mail and service of process don't pause while you decide.
• Update your own records too. Once the switch is live, update wherever your old registered office address appears (your own files, and anywhere you've listed it), so nothing keeps pointing at the retired address.

It helps to be clear on what a registered agent change actually touches, because owners sometimes assume it does more than it does.

What the change updates

• The registered agent's name on the public record
• The registered office street address on the public record
• Where the state and process servers will send documents going forward

What it leaves untouched

• Your LLC name. Changing the agent doesn't rename the company.
• Your EIN. The federal tax ID is unaffected.
• Your ownership and operating agreement. Internal ownership, management, and profit arrangements are governed by your operating agreement, not by who your agent is.
• Your annual report obligation. You still file the $15 annual report with the Secretary of State between January 1 and June 30, and you still handle the LLET with the Department of Revenue. A registered agent change does neither of those, just as the annual report can't change your agent.
• Your good standing history. A clean, timely change doesn't ding your standing. What hurts standing is letting the agent lapse or missing filings, not updating the agent.

Think of it as swapping the mailbox and the person who watches it, nothing more. The company, its tax IDs, and its internal deal all carry on exactly as before.
