The address requirement

The Initial Report gives the registered office and each agent's municipal address in Louisiana, and the form says it can't be a post office box only. Under R.S. 12:1308, the registered office counts as the LLC's domicile for all purposes. It's also public; anyone searching the Louisiana business database can see the agent's name and address.

Who is eligible

R.S. 12:1308 gives two routes:

• An individual: a citizen of Louisiana who resides in the state. The Secretary of State's FAQ puts it simply: almost anyone of legal age who is a legal resident of Louisiana.
• A firm or company: a partnership or professional law corporation authorized to practice law in Louisiana, or a domestic or foreign corporation or LLC authorized to do business in Louisiana. A company serving this way must have a certificate on file with the Secretary of State naming at least two individuals at its Louisiana address.

Sworn acceptance

The agent doesn't just agree informally. Each registered agent signs a notarized affidavit of acknowledgment and acceptance that goes in with the Initial Report, and any new agent signs one when you change agents later. You can't name someone as your agent without that signature.

Louisiana lets you be your own registered agent if you're a Louisiana resident, and for some owners that's the simplest choice. • Papers come to you. If you're out on jobs, traveling, or running a business that keeps you away from the listed address, you risk missing a delivery, and the clock on a lawsuit doesn't wait.
• Being served is not pleasant in person. If your company gets sued, a process server may hand you the papers in front of customers or family. Many owners would rather that arrive discreetly through a service.
• You manage the deadlines yourself. State notices come to you, and it's on you to act on annual report reminders and status alerts.

For a home-based business owner who is around during the day and comfortable with a public address, self-service can work fine. For anyone who values privacy, travels, or simply doesn't want to think about it, a commercial service usually earns its cost.
