What lands with your agent

• Service of process: if someone sues the partnership, the summons and complaint are delivered to your registered agent. This is the single most consequential document the agent handles.

• Government correspondence: tax notices and other agency communications often route through the agent of record.

The reason this matters so much is timing. When a lawsuit is served, a clock starts. If the papers reach a general partner who understands them, you respond and defend. If they vanish because the listed agent moved, retired, or never checked the mailbox, the case can move forward without you, and a court can enter a default judgment against the partnership. A registered agent exists to make sure that never happens.

Louisiana's rules for a limited partnership's registered agent are specific and non-negotiable.

The address must be physical and in-state

The agent must have a street address in Louisiana — the "registered office." A post office box does not satisfy the requirement, because process is served in person. A private mailbox at a shipping store also does not qualify. The address has to be a real location where a process server can hand documents to a person.

The agent must be available

The whole point is reliability during business hours. An agent who is frequently traveling, works irregular hours, or is unreachable defeats the purpose. Missed service is not a defense — Louisiana treats delivery to the registered agent as delivery to the partnership, whether or not the papers actually reached a decision-maker.

The agent must consent

You cannot name someone as your agent without their agreement. The certificate reflects the agent's acceptance of the role, and the agent takes on a real responsibility by accepting it.

Louisiana gives you a few ways to satisfy the requirement, each with trade-offs.

A general partner or another individual

Any Louisiana resident with a street address in the state and reliable business-hours availability can serve — often a general partner, an attorney, or a trusted associate. The cost is nothing, but there are two real downsides. First, that person's address goes into the public record, searchable by anyone. Second, if they are ever away when a process server arrives, the partnership can miss critical service. For an individual general partner who runs the business from a fixed office and is usually there, this can work; for anyone who travels, it is fragile.

A commercial registered agent service

A commercial service is a company in the business of receiving legal documents. It provides a professional Louisiana street address, keeps your home or personal address out of the public database, guarantees someone is always present to accept service, and forwards whatever arrives — typically with same-day scanning. For LPs with out-of-state general partners, a commercial agent is effectively the only practical option, since the partnership still needs a Louisiana presence.

Serving as your own agent

You can be your own agent if you meet the requirements, but weigh the privacy cost. A limited partnership's registered agent and office are public. If you use your home address, it is exposed to marketers, process servers, and anyone curious about your business. Many partners decide the modest cost of a commercial service is worth keeping their address private and their compliance airtight.

In a limited partnership, your limited partners are passive by design — they are trusting the general partner to keep the entity in good order. A lapsed or unreliable registered agent is exactly the kind of avoidable failure that erodes that trust. If a lawsuit produces a default judgment because service was missed, or the partnership falls out of good standing because a compliance notice went undelivered, the limited partners' investment is put at risk by pure administrative neglect.

A stable registered agent is quiet insurance. It ensures that the general partner learns about legal actions in time to respond, that annual report reminders arrive, and that the partnership's public record stays clean. For a family or investment LP that may hold assets for years or decades, that continuity matters more than in a short-lived venture.

Your registered agent is not a set-and-forget entry. If your agent moves, resigns, or you decide to switch to a commercial service, you must update the Secretary of State's record promptly. An outdated registered agent or office address leaves the partnership technically out of compliance even if everything else — the annual report, taxes — is current.
