Change the Registered Agent on Your Maine LLC

A registered agent isn't a set-it-and-forget-it detail. Several ordinary events force a change, and each one leaves your LLC out of compliance until you update the record with the Secretary of State.

Common reasons to change

• Your agent resigned. A registered agent can resign on their own by filing with the state. If yours does, you have a window to name a replacement before your LLC is left without an agent.
• You were your own agent and moved. If you listed your home or office as a noncommercial agent and you've relocated, the address on file is now wrong, and legal service could go to an address you no longer control.
• You want your address off the public record. Owners who started as their own agent often switch to a commercial service later, once they realize their home address is searchable in the state's business database.
• You're unhappy with your current service. Slow forwarding, missed documents, or surprise renewal terms are all good reasons to move to a different registered agent.
• A person you relied on is no longer available. If you named a friend, employee, or attorney who has left or become unreachable, you need someone who will actually receive documents.

Whatever the reason, the fix is the same: file a change of registered agent with the Secretary of State so the state's record reflects who's really responsible for receiving your legal mail.

In Maine, you update your registered agent on Form CLK/RA-3, the Statement of Appointment or Change of Commercial or Noncommercial Registered Agent, filed with the Secretary of State's Division of Corporations, UCC and Commissions. The fee for an LLC is $35. This is a distinct filing from your annual report and from your original Certificate of Formation.

What the filing does

The form tells the state who your LLC's new agent is. For a commercial agent, that's its name and CRA public number. For a noncommercial agent, it's the agent's name, a physical location in Maine (not a P.O. box), and a mailing address. Once the Division processes it, the new agent is the official recipient of service and state mail for your company.

Where to find the form

Form CLK/RA-3 is on the Secretary of State's forms and fees page, alongside the LLC forms. Plan for postal transit to Augusta and the Division's processing time, which its home page currently puts at 10 to 15 business days for corporate filings.

New agent consent

Under 5 MRSA §105, naming an agent is an affirmation that the agent has consented to serve. A commercial registered agent agrees as part of taking you on. If you're naming an individual, make sure they've actually agreed and are ready to have their address on the public record before you file.

Most rejected or ineffective change filings come down to a bad agent address or a missing consent. Get these right and the filing is routine.

Requirements for the new agent

• A physical Maine location if the new agent is noncommercial, plus a mailing address. The form is explicit that the physical location can't be a P.O. box.
• Consent to serve, from the incoming agent, before you file.
• A current CRA listing, if you're switching to a commercial agent: the agent must already appear on the state's commercial registered agent list so you can give its CRA public number.
• The $35 fee, with the form, by mail to Augusta.

Update your own records too

Changing the agent with the state is the legal step, but don't stop there. Update your operating agreement if it names the old agent, tell your bank and any licensing bodies if they have the old contact on file, and make sure whoever handles your mail knows where legal documents will now arrive. A change that lives only in the state's database but not in your own habits can still cause a missed document.

The dangerous window in any agent change is the gap: the stretch where your old agent has stopped receiving documents but the new one isn't yet on record. If a lawsuit is served during that gap and no one catches it, you can end up with a default judgment you never had a chance to fight.

How to avoid a gap

• Line up the new agent before you cut the old one loose. If you're using a commercial service, engage them first, then file the change so the transition is seamless.
• File promptly after an agent resigns. A resignation starts a clock; don't let the replacement slide.
• Confirm the filing was processed. Because Maine works by mail, verify with the Bureau that the change went through and the record now shows the new agent. Don't assume it landed.

Treat the change as a handoff, not a swap you can leave half-finished. Continuous coverage is the whole point of having a registered agent in the first place.
