Forming a Maine LLC

What is the formation document called in Maine?

In Maine, the document that creates your LLC is the Certificate of Formation (Form MLLC-6). Most states call this the Articles of Organization — same job, different label. Filing it with the Secretary of State's Bureau of Corporations, Elections and Commissions is what brings your LLC into legal existence.

Can I file online?

No. Maine does not offer online LLC formation. You complete Form MLLC-6, print it, and mail it to the Bureau in Augusta with the filing fee. The state's online portal is for annual reports and certain other filings — not for creating a new LLC. Build postal transit time into your plans on both ends.

How long does formation take?

Because it's mail-based, plan for mail time to Augusta, the Bureau's review (typically around a couple of weeks), and mail time back with your approved certificate. Maine offers expedited processing for an added fee if you're on a deadline, but even expedited handling doesn't speed up the postal legs.

Do I have to live in Maine to form a Maine LLC?

No. There's no residency requirement for LLC members or for the organizer who files the certificate. Anyone can form a Maine LLC. The one thing that must be based in the state is the registered agent, whose address has to be a physical Maine street location.

What information does the certificate require?

Your LLC name, your registered agent (commercial by registry ID, or noncommercial by name and physical Maine address, with consent), the filer's information, and the effective date. Notably, Maine's certificate doesn't ask you to declare member- or manager-managed, name your members, or describe your business.

Yes — every Maine LLC must appoint and continuously maintain a registered agent. The agent receives service of process and official state mail on the company's behalf. The requirement lasts for the life of the LLC.

What's a commercial vs. noncommercial agent?

Maine formally recognizes two types. A commercial registered agent is a company registered with the state that you reference by ID, keeping your personal address off the public filing. A noncommercial agent is anyone else you appoint — yourself, a partner, an attorney — who must have a physical Maine street address and whose name and address appear on the public record.

Can I be my own registered agent?

Yes, if you have a physical Maine street address and are available during business hours. The trade-offs are that your address becomes public and you must be present to receive documents. If you're often away or want privacy, a commercial service is safer.

Can I use a P.O. box?

No. A noncommercial registered agent needs a physical street address where documents can be hand-delivered. A P.O. box alone doesn't work for service of process.

How do I change my registered agent?

File a statement of change with the Secretary of State naming the new agent, along with the required consent. Line up the new agent before dropping the old one so there's no gap in coverage.

How do I check if my name is available?

Search the state's ICRS database. Your name must be distinguishable from every active entity on file, and it must include a valid designator like "LLC" or "Limited Liability Company." Check exact and close variations before you commit to signage or a domain.

Can I reserve a name before filing?

Yes. Maine lets you reserve a name for 120 days by filing a name reservation (Form MLLC-1) with the Bureau. This holds the name but doesn't create the LLC.

What does it cost to form and maintain a Maine LLC?

Only if you'll operate under a name other than your LLC's legal name. In Maine that's an assumed-name filing (Form MLLC-5) with the Secretary of State, separate from forming the LLC.

When is the annual report due?

June 1 each year. Unlike formation, the annual report is filed online through the state's portal. It updates your registered agent and address details and isn't a financial disclosure. Missing June 1 adds a late penalty, and continued non-filing leads to administrative dissolution.

What happens if I miss the annual report?

The state adds a late fee first. If you keep ignoring it, the Bureau moves to administratively dissolve your LLC, which strips your good standing. Reinstatement is possible but means paying the missed reports plus penalties — more expensive and disruptive than filing on time.

How is a Maine LLC taxed?

By default, a single-member LLC is a disregarded entity (Schedule C) and a multi-member LLC is taxed as a partnership (Form 1065), with income passing through to members. Maine has a state income tax, so members report their share of LLC income on their Maine returns. You can elect S-corp or C-corp taxation with the IRS if it fits your situation — ask a Maine accountant.

Do I need an EIN?

You need an EIN if your LLC has more than one member, hires employees, or elects corporate taxation, and practically speaking to open a business bank account. Single-member LLCs with no employees can use the owner's SSN federally, but most owners get an EIN anyway to keep their SSN off business paperwork. It's free from the IRS.

Do I need an operating agreement?
