The State Filing to Create the LP

The first cost is the state charge to file your Certificate of Limited Partnership with SDAT. This is the mandatory fee that brings the limited partnership into legal existence — you pay it once, at formation, through Maryland Business Express. What the filing fee buys

The state fee covers processing and recording of the certificate. It does not include a resident agent, an EIN, a limited partnership agreement, or any tax registration — those are separate, and some of them are free while others carry their own cost. Name reservation (optional)

If you want to lock your partnership name before filing, Maryland lets you reserve it with SDAT for a modest fee. This is optional — most filers skip it and simply file when ready — but it can be worth it if you are still assembling documents and want to be sure the name survives.

Expedited Processing

Standard SDAT processing for an online filing runs on the order of one to two weeks; mail filings take considerably longer.
