Maryland Resident Agent Service and the Principal Office Rule
Maryland says resident agent, and its definition is narrower than most: an individual living in Maryland or a Maryland corporation, LLC or limited partnership on file with SDAT. A Maryland LLC also has to keep a principal office in the state. Mainstay's price is $149 a year for the resident agent role. This page also covers the change filing and what happens when an agent resigns.
One price: $149/yr for your resident agent, with compliance reminders. Switching from another agent? The state's change fee is at cost.

How Maryland defines a resident agent
Maryland's statutes use the term resident agent, and you will see it on the forms. Section 4A-210 of the Corporations and Associations Article requires every LLC to have both a resident agent and a principal office in the state. The agency is the State Department of Assessments and Taxation, SDAT, because Maryland has no Secretary of State business filing function. Filing runs through Maryland Business Express.
The resident agent receives legal process, which means lawsuits, summonses and subpoenas. Under section 1-401, service of process on the resident agent of an LLC is effective service on the LLC.
This is the LLC article, and the same agent service is open to corporations, LPs, LLPs and nonprofits. The Articles of Organization carry SDAT's base fee of $100 and list the LLC's name, an optional purpose, the principal office address in Maryland, the resident agent's name and address and the authorized signatures. The Business Express fee schedule adds $50 for expedited filing, $325 for rush and a 3% technology fee on online card payments.
The narrow definition in section 1-101
Section 1-101 defines a resident agent as an individual residing in this State, or a Maryland corporation, limited liability company or limited partnership whose name, address and designation as a resident agent are filed or recorded with the Department. SDAT's resolution form puts it as a citizen of Maryland who resides in Maryland, or an active Maryland corporation.
That excludes some arrangements that work elsewhere. A company that is only authorized to do business in Maryland, without being a Maryland entity on file as a resident agent, does not fit the definition.
The Articles of Organization carry a line for the agent to sign: "I consent to serve as Resident Agent for this LLC." The change resolution has a consent line too, and the new resident agent must sign it.
Addresses that actually work
The Articles ask for the resident agent's complete physical address, and the instructions say the address must be located in Maryland and that P.O. boxes cannot be accepted. It becomes part of the public record. A principal office address in Maryland is a separate field.
If you have no Maryland street address, a commercial resident agent whose street address goes on the record is the simpler answer. And if you leave Maryland while you are your own agent, you stop qualifying, because the definition requires that the individual reside in the state.
Three ways to fill the role
If you live in Maryland, you can name yourself at no charge. The address goes into the public SDAT record, and you have to be reachable, because a process server who cannot find anyone defeats the point.
Another Maryland resident who agrees to serve and signs the consent works too: a partner, an employee, a family member or an attorney. They have to stay put and keep forwarding what matters, or you inherit a compliance gap.
A commercial resident agent is a Maryland company with its designation on file at SDAT. Its street address goes on the record instead of yours.
Changing agents with a Resolution for $25
The filing is a Resolution to Change Principal Office or Resident Agent under 4A-210(b), submitted through Maryland Business Express or mailed to SDAT in Baltimore. The base fee is $25. Speed costs more: expedited handling adds $50 and rush adds $325, and paying online by card or PayPal adds a 3% technology fee. One resolution covers the agent, the principal office or both. The change is effective when SDAT accepts the statement for record.
On timing, SDAT's form says online filed documents are considered expedited, and Business Express shows no non-expedited option for the Resolution. SDAT's processing page puts initial review of expedited filings at 7 to 14 business days, and says non-expedited paper filings are reviewed within eight weeks of receipt. Until SDAT processes the filing, the old agent stays on record, so wait for confirmation.
We prepare and file the resolution when you move to Mainstay, charging the state fees at cost. An authorized person signs for the LLC, and the new resident agent signs the consent.
If your agent resigns
A Maryland resident agent resigns by filing with SDAT a counterpart or photocopy of the signed resignation, and SDAT's form says there is no fee for a resident agent to resign. Under 4A-210(d) the resignation is effective at the time it is filed if the LLC has already appointed a successor, and 10 days after it is filed if the LLC has not, unless the resignation names a later time. The statute does not spell out a notice to the LLC, so ask your agent to tell you before it files.
If the LLC has no resident agent, the agent is dead or no longer at the address on file with SDAT, or two good faith attempts on separate days to serve the agent have failed, Maryland Rule 2-124(o) lets a plaintiff serve two copies of the papers on SDAT. SDAT then forwards a copy to the LLC at its mailing address if known, or its principal place of business.
Maryland's forfeiture rules in section 4A-911 are about unfiled annual reports and unpaid taxes, not a missing agent. An LLC that has not filed the prior year's report is listed after September 30 and loses the right to do business in Maryland and the right to use its name. A stale agent address still matters, because a lawsuit can be served through SDAT without you seeing it.
Price and what the Maryland service includes
Maryland resident agent service with Mainstay costs $149 a year, renewing at $149, and comes with compliance reminders. The annual report, which Maryland calls Form 1 and files with the personal property return by April 15 for a $300 state charge, is not part of this service. The $199 formation package files it, with the resident agent, the Articles of Organization and your EIN application included.
Mainstay's Maryland address replaces yours on the SDAT record. Whatever is served on your company is scanned and uploaded the same business day, and you pay nothing for that. Government mailings are scanned free up to three a year, then a per-piece scan or shipping fee applies. Physical forwarding is never free on our tiers.
Frequently asked questions
Does Maryland call it a resident agent or a registered agent?
Resident agent. The statutes and SDAT forms use that term for the same role other states call a registered agent.
Who can be a resident agent in Maryland?
An individual residing in Maryland, or a Maryland corporation, LLC or limited partnership whose name, address and designation as a resident agent are filed with SDAT.
Does a Maryland LLC need a principal office in the state?
Yes. Section 4A-210 requires both a resident agent and a principal office in Maryland.
How much does it cost to change a resident agent in Maryland?
The base fee is $25, plus $50 for expedited handling or $325 for rush, and a 3% technology fee on online card payments.
How long does SDAT take?
SDAT's processing page puts initial review of expedited filings at 7 to 14 business days. Online filings are considered expedited, and non-expedited paper filings are reviewed within eight weeks of receipt.
How does a Maryland resident agent resign?
By filing a signed resignation with SDAT at no fee. It is effective when filed if a successor has been appointed, and 10 days after filing if not.
What happens if a Maryland LLC has no resident agent?
A plaintiff can serve two copies of the papers on SDAT under Maryland Rule 2-124(o), and SDAT forwards a copy to the LLC. Maryland's forfeiture rules concern unfiled annual reports and unpaid taxes.
Does the Maryland resident agent have to sign anything?
Yes. The Articles of Organization have a line the agent signs, consenting to serve as Resident Agent for the LLC, and the new resident agent signs the consent on a change resolution.
Is the April 15 annual report part of the resident agent price?
No. Resident agent service is the agent role with compliance reminders, and the Form 1 annual report is filed under the $199 formation package.
Haven't formed your Maryland company yet?
Start with the formation package instead. At $199 a year it prepares and files your formation, applies for your EIN, serves as your registered agent and files your annual report, with the state's own fees at cost. For a new company that's the better value, since the agent, the formation and the annual report all come with it. The $149 service on this page is for a company that's already formed and only needs an agent. See how forming in Maryland works →
Need a registered agent in Maryland?
$149 a year, flat, with the same price at renewal. If you're switching from another agent, we prepare and file the change with Maryland, and the state's change fee passes through at cost.
