The ten-day clock
Most states leave the timing vague. Massachusetts does not. Under G.L. c. 156C § 48, a foreign LLC doing business in the Commonwealth must submit its application for registration to the Secretary within ten days after it commences doing business. The Corporations Division's own page repeats the ten-day figure, and so does the regulation at 950 CMR 112.22.
The application is signed and sworn by an authorized person, and once the Secretary approves it, § 49 treats the LLC as registered to do business in Massachusetts. The form carries no form number. It is titled the Foreign Limited Liability Company Application for Registration, with the statute section in its heading, and foreign professional LLCs use a different form altogether.
What counts as doing business
Section 48 does not write its own test. It borrows one from the corporate statute, G.L. c. 156D § 15.01, and asks whether the LLC would be doing business there if it were a foreign corporation. That section names three activities that do count: owning or leasing real estate in the Commonwealth, building, altering, or repairing any structure, railway, or road, and any other activity that requires the performance of labor.
Nine activities are protected "without more": handling a proceeding of your own, meetings and similar internal matters, bank accounts, securities transfer agents and trustees, using independent contractors to sell, orders that do not become contracts until accepted elsewhere, a one-off deal that sits outside any pattern of like deals, interstate commerce, and anything regulated under chapters 167 or 175 where the company has complied.
Notice what is missing: owning property is not on the protected list, and the statute flags real estate ownership or leasing as a trigger. The lists are not exhaustive either, so activities left off both are decided case by case. Anything involving staff or work performed in Massachusetts points toward registering.
Filing, fee, and where it goes
The Secretary of the Commonwealth's fee for the application is $500, and Massachusetts takes it by mail, in person, or by fax. It cannot be filed online. The fee schedule adds a $20 expedite fee for fax filings. The mail address is One Ashburton Place, Room 1717, Boston, and a faxed filing needs the Division's bar-coded fax voucher cover sheet with a card payment. Our checkout's state fee line reads $520, and the total today is $719, with $199 of that for our work.
The application asks for the federal EIN, the legal name and any different name to be used in Massachusetts, the home jurisdiction and date of organization, the general character of the business, the principal office, each manager's name and address (or a statement that there are no managers), a Massachusetts office if any, the resident agent's name and street address with the agent's written consent, and the latest date of dissolution if one is set. Real-property signatories are optional. A copy of the filing is available to the public on the Division's website.
The home-state certificate
Yes, you need one. Massachusetts requires a certificate of legal existence or good standing from the jurisdiction of formation, issued by the officer or agency authorized to do so there, and dated within the 90 days leading up to submission. A certificate written in another language needs a sworn translation attached.
The home state issues it and sets its own price. Have it on hand when the application is prepared. A certified copy of the formation certificate is optional, and it can replace the parts of the application that duplicate it, but it does not replace the certificate of existence.
Names, and the resident agent
Under § 50 the company may register under whatever name a Massachusetts LLC could take, matching its home name or not. The name must show "limited liability company" or "limited company," or an LLC or LC abbreviation with or without periods, and it may not match or closely resemble a name already reserved, organized, or registered here unless the holder consents in writing. If your name is taken, write a different one in item 1b of the application. A name can be reserved for 60 days for $30, and the reservation can be extended once for another $30.
The resident agent under § 51 receives lawful process for the company. Under c. 156D § 15.07, the agent may be a person living in Massachusetts, a corporation or LLC organized here, or an outside corporation or LLC that holds authority to do business in the Commonwealth, provided in each case that its business office is the registered office. The address must be a street address, and a post office box is not enough. Changing the agent or office means filing a Statement of Change for $25 on paper or by fax, and nothing if filed electronically.
Fines for missing the deadline
The penalty is in § 54(a). A foreign LLC that fails to register is fined up to $500 for each year the failure continues. The wording is a ceiling, not a fixed charge, so the actual fine can be lower.
Until the registration is made, the LLC cannot bring an action or recover anything in Massachusetts courts. The failure does not void any contract the company made, and it does not stop the company from defending a lawsuit. A member or manager is not liable for the company's obligations simply because of the missed registration. The company is deemed to have appointed the Secretary as its attorney for service of process, and the Secretary mails notice to the address the plaintiff supplies.
Once you are registered
On or before each anniversary of its registration date, the LLC sends the Division an annual report, and the fee is $500. The fee schedule adds $20 for fax or electronic filing. The annual report cannot be used to change the agent. If reports stop for two consecutive years, the Secretary can begin a proceeding to revoke, and authority is revoked when 90 days pass after notice with no fix. Reinstatement costs $100, requires every annual report owed, and needs a fresh home-state certificate.
When something in the application changes, an amended registration certificate costs $100. Closing the Massachusetts registration takes a certificate of withdrawal for $100, which states that the company is no longer doing business here and that fees owed have been paid, and all annual reports must be filed first. Corporate excise and other Massachusetts business taxes can reach the company separately, depending on its operations.
What we do
You hand us the company details and the certificate, and the application gets drafted and filed with the Secretary by us. Your Massachusetts resident agent is free for twelve months and $149 per year afterward. Whenever the company is served, the papers are scanned and uploaded the same business day, free of charge.
What you pay today buys the registration and the opening year of agent service. Annual reports and tax filings are not folded in. Mainstay prepares filings and is not a law firm.
Corporations organized in other states can register through the same checkout. Their checkout state fee and total match what an LLC pays, so a corporation's total is $719 as well.
