Michigan LLC Costs — What to Actually Budget

The real cost of a Michigan LLC goes beyond the one filing fee. There's the annual statement every February, the resident agent, and a handful of optional-but-practical expenses. This page breaks down each category so you can plan the first year and the years after with no surprises.

One price: $199.00/yr covers your formation, your resident agent, and your annual report, plus the $50.00 state filing fee, at cost.

The State Formation Fee

When you file Articles of Organization with LARA's Corporations Division, you pay a state filing fee. That single fee creates the LLC — there's no separate charge for the resident agent designation and no minimum capital requirement to form a Michigan LLC. The current amount is set by LARA and shown on the receipt card on this page.

Michigan doesn't layer on a franchise tax at formation or any application surcharge. What you pay is the filing fee, and that's it for the state side of getting the company created.

What the formation fee covers

  • Processing and recording your Articles of Organization
  • Creating the entity's official record in LARA's database
  • Making your stamped formation documents available once processed

It does not cover a filing service's fee if you use one, an attorney's fee if you hire one, or optional steps like reserving a name. Those are separate and within your control.

Expedited processing

Standard online processing runs about three to five business days. Michigan offers expedited service for an additional state fee if you need your filing handled faster — useful when a lease, loan, or contract is waiting on your entity being active. Whether it's worth the extra cost depends entirely on your timeline; standard processing is fine for most.

Name reservation (optional)

If you want to lock your chosen name before you're ready to file the full Articles, LARA charges a separate reservation fee to hold it for a limited period. This is optional — you only need it if there's a gap between deciding on a name and actually filing.

The Annual Statement Fee

Every Michigan LLC has to file an annual statement with LARA by February 15 each year, and there's a state fee for it. It's due whether or not the business made money — it's essentially a maintenance charge for keeping the entity registered and its contact information current.

The annual statement is filed through the MiBusiness Registry. It confirms your resident agent and registered office; it is not a financial disclosure. The fee is modest — considerably lower than the franchise taxes some other states impose — which keeps Michigan's recurring state cost predictable and low.

Filing late

Missing February 15 puts your LLC's good standing at risk over time. Michigan sends reminders, typically to the registered office, but you shouldn't rely on those alone. Falling far enough behind can push the company toward dissolution, and getting back into good standing costs more than the annual statement ever would. Filing on time every year is the cheapest path by a wide margin.

New LLCs

An LLC formed late in the year may not owe its first annual statement until the following year rather than the very next February. After that first cycle, February 15 is the fixed annual date.

Resident Agent Costs

A resident agent isn't optional — Michigan requires one for the life of the company. What it costs depends on how you fill the role.

Serving as your own agent

If you use your own Michigan street address, there's no direct cash cost for the agent function. The trade-offs are real, though: your address goes into LARA's public database, you have to be available during business hours, and you personally handle every legal document and state notice that arrives. If you move, you file a change with LARA each time.

Using a commercial service

Commercial resident agent services charge an annual fee, generally somewhere in the range of a modest yearly subscription depending on the provider and what's bundled in. In exchange you get a stable Michigan registered office, privacy for your home address, guaranteed availability, and prompt document forwarding. Mainstay Filing includes resident agent service in its one yearly price, so a separate agent fee never appears — not at formation, and not at renewal.

Budgeting over time

If you use a standalone commercial service, plan for its renewal each year you keep the LLC. Compare what's included — some providers bundle compliance reminders and document scanning, others charge extra — so you're comparing total value, not just the headline first-year price.

Optional but Practical Costs

Beyond the state fees and the resident agent, several expenses are common for new LLCs. None are required to form the entity, but many are effectively necessary to run a real business.

EIN (free)

An Employer Identification Number from the IRS costs nothing. Apply online at IRS.gov and get it instantly. You never need to pay a third party for the EIN itself — if a service charges for it, that fee is for their handling, not the number, which the government issues free.

Operating agreement

Michigan doesn't require a filed operating agreement, but most LLCs should have one. Draft it yourself from a Michigan-appropriate template and the cost is your time. An attorney-drafted agreement for a simple single-member LLC runs modestly; a multi-member LLC with complex ownership costs more. For straightforward situations, a well-built template is usually adequate.

Business bank account

Opening a business account is often free, though some banks charge monthly maintenance fees. Michigan credit unions and community banks are frequently more flexible with new LLCs than the big national chains, and several online banks offer free business checking. The real cost is any monthly fee and per-transaction charges — but a separate account is essential for protecting the liability shield, so it's a necessary expense regardless.

Assumed name (DBA)

If you'll operate under a name different from your LLC's legal name, you file a Certificate of Assumed Name with LARA, which has its own state fee and a set term before renewal. This is only needed if your public brand differs from your registered name.

Licenses and permits

Michigan has no single general business license, but many industries and localities require their own licenses and permits — a restaurant, a contractor, and a salon each face different rules. Fees vary by profession, city, and county. Research your specific situation with the relevant state agency and your local government.

Putting the Numbers Together

For a typical Michigan LLC in its first year, the cost picture looks like this:

  • State formation fee: The Articles of Organization filing fee (shown on the receipt card)
  • Resident agent service: Included in Mainstay Filing's yearly price, this year and every year after
  • EIN: Free from the IRS
  • Operating agreement: Variable — from template cost to attorney fees
  • Business bank account: Usually free to open; variable monthly fees

The state formation fee is fixed and unavoidable. The resident agent cost only applies if you hire a service instead of serving yourself. Everything else scales with the choices you make.

Year two and beyond

Your recurring annual costs are:

  • Annual statement fee: Due February 15 — file on time to protect your good standing
  • Resident agent renewal: Only if you hired a standalone commercial service; with Mainstay, agent coverage rides along in the same yearly rate
  • Licenses: If your industry or locality requires them, on their own renewal schedules

Michigan has no general franchise tax on LLCs, so ongoing state costs stay low and predictable. The single most important cost-control move is never missing the February 15 annual statement, because reinstating a lapsed LLC costs far more than staying current ever would.

Frequently asked questions

Are there hidden fees when forming a Michigan LLC?

No hidden state fees — LARA's charges are set and shown on the receipt card. A filing service adds its own service fee on top of the state fee, and optional steps like expedited processing, a name reservation, or an assumed name each have their own state fee. There are no surprise government charges; what the state lists is what the state charges.

Does Michigan charge a franchise tax on LLCs?

No. Michigan doesn't impose a general annual franchise tax on LLCs the way states like California or Delaware do. The main recurring state cost is the modest annual statement fee due each February 15. That keeps Michigan's ongoing entity costs low and predictable compared to franchise-tax states.

Is the EIN really free?

Yes, completely free from the IRS. Apply at IRS.gov and the number is issued immediately. Some formation services charge to obtain it on your behalf — that fee covers their service, not the EIN, which the government never charges for. If cost matters, apply directly at IRS.gov yourself in about ten minutes.

Do I have to pay a resident agent every year?

If you use a standalone commercial resident agent service, yes — there's typically an annual renewal fee, though Mainstay customers never see one because agent coverage is part of the single yearly rate. If you serve as your own agent using a Michigan street address, there's no separate agent cost, but your address is public on LARA's database and you're responsible for being available during business hours to accept documents.

What does it cost to keep a Michigan LLC active each year?

The core recurring state cost is the annual statement fee due February 15. If you use a commercial resident agent service, add its annual renewal. Industry or local licenses, if they apply to you, have their own fees and schedules. There's no franchise tax, so for many small LLCs the yearly state cost is just the annual statement fee.
