Step 1: Decide the Partner Structure Before You File

A limited partnership only makes sense once you know who is a general partner and who is a limited partner, because that split drives everything else. The general partner runs the business and carries unlimited liability. Limited partners contribute capital and stay passive. Michigan requires at least one of each.

Questions to settle first

  • Who manages? The general partner or partners. This role signs the filings and binds the partnership.
  • Who invests but stays out? The limited partners. Their liability is capped at their contribution as long as they don't step into management.
  • Should the general partner be an entity? Because the general partner's personal assets are exposed, many LPs name a corporation or LLC as the general partner instead of an individual. That decision changes who signs the Certificate, so make it before you file, ideally with an attorney's input.

Getting this settled up front prevents the most common LP mistakes: a limited partner accidentally taking on management and forfeiting their shield, or a general partner discovering too late that they signed up for unlimited personal exposure.

Step 2: Clear Your Name in the LARA Business Search

Your limited partnership's name has to be distinguishable from every other business name already on record with LARA. Before you do anything else, run your proposed name — and close variations of it — through the LARA business search. If a name that's too similar is already registered, LARA can reject your Certificate, which costs you the processing time.

Michigan LP naming rules

  • The name must contain the words "Limited Partnership," or the abbreviation "L.P." or "LP."
  • It must be distinguishable on the record from other Michigan entities and reserved names.
  • It cannot use words that imply a different entity type or a government affiliation, and certain restricted words (relating to banking, insurance, and similar regulated fields) need additional approval.

Step 3: Appoint a Resident Agent

Michigan requires every limited partnership to name a resident agent — Michigan's term for what most states call a registered agent — and list a registered office in the Certificate. The resident agent accepts service of process and receives official state mail on the partnership's behalf, so this can't be an afterthought.

Who can serve

  • A general partner, if they have a physical Michigan street address and are reliably available during business hours. That address becomes part of the public LARA record.
  • Another individual who is a Michigan resident with a Michigan street address.
  • A commercial resident agent service, which keeps a professional address in the public record instead of a partner's home, guarantees someone is always available to accept legal documents, and forwards state mail promptly.

Step 4: File the Certificate of Limited Partnership with LARA

The Certificate of Limited Partnership is the document that legally creates your LP. It is filed with the Corporations Division at LARA, through the MiBusiness Registry portal. Once LARA accepts it, the limited partnership exists.

What the Certificate includes

  • The LP's name, with the required "Limited Partnership," "L.P.," or "LP" designator.
  • The registered office address and resident agent in Michigan.
  • The general partners — their names and addresses. Michigan's LP filing identifies the general partners on the public record.
  • Any other statutorily required details, which depend on the current LARA form.

Notably, the Certificate does not have to spell out the limited partners or the internal economics of the deal. Those live in the private partnership agreement (Step 6), not on the public record.

Processing time

Michigan typically processes filings in about 7 to 10 business days. Plan for the full window if you have a deadline tied to a lease, a bank account, or a closing. Step 5: Get an EIN from the IRS

An Employer Identification Number is a nine-digit federal tax ID that the IRS provides free of charge. A limited partnership needs one — a multi-owner partnership files a federal return and cannot use an individual's Social Security number in its place.

Why the LP needs an EIN

  • The partnership must file Form 1065 and issue K-1s, which requires an EIN.
  • Banks require an EIN to open a business account in the partnership's name.
  • You'll need it to hire employees or set up payroll.

How to apply

The online IRS EIN Assistant at IRS.gov is the way to apply. Expect the form to take roughly ten minutes, and because the number comes back on the spot, it's ready to use that same day. The responsible party completing the application online needs a U.S. Social Security number or ITIN; applicants without one apply by fax or mail using Form SS-4. Step 6: Put a Limited Partnership Agreement in Place

The limited partnership agreement is the private contract that governs how the LP actually runs. Michigan does not require you to file it, and it never becomes public — but going without one is a serious mistake, because the state's default statutory rules will fill every gap you leave, and those defaults rarely match what the partners intended.

  • Capital contributions — what each partner puts in and any obligation to contribute more later.
  • Profit and loss allocation — how the economics are split, which doesn't have to track contribution percentages.
  • Distributions — when and how cash goes out, and in what priority.

  • Admission and withdrawal — how partners join or exit, and how interests transfer.
  • Dissolution — the events that wind up the LP and how remaining assets are distributed.

Step 7: Handle Banking, Taxes, and Ongoing Compliance

With the Certificate accepted, the EIN in hand, and the agreement signed, a few practical steps turn the LP into a working business.

Open a dedicated bank account

Keep the partnership's money entirely separate from any partner's personal funds. Commingling undermines the structure and muddies the accounting. Banks typically ask for the filed Certificate, the EIN confirmation, and the partnership agreement.

Understand the tax filings

The LP files Form 1065 federally and issues K-1s to the partners, who report their shares on their personal returns. Michigan follows the pass-through model for partnership income. If you sell taxable goods or services, register with the Michigan Department of Treasury for the appropriate taxes.

Keep the record current
