How to Change Your Minnesota LLC's Registered Agent

The registered office and agent you named when you formed your Minnesota LLC don't have to be permanent. Businesses change, and the registered office needs to keep up. A stale registered office is one of the most common reasons an otherwise healthy LLC quietly slips out of compliance.

Common reasons for a change

• Your current agent resigned or is unreliable. A friend or relative who agreed to serve has moved, lost interest, or become hard to reach, and now legal mail may go unanswered.
• You've been acting as your own agent and want privacy. Being your own agent means your address sits in the public MBLS database. Many owners eventually switch to a commercial service to get their home address off the public record.
• You moved. If you served as your own agent and relocated, your registered office is now wrong and has to be updated.
• You're consolidating. Owners running several entities often move them all to a single commercial agent so every registered office is handled in one place, across states if needed.
• Your commercial provider isn't cutting it. Slow document forwarding or poor service is a fine reason to move to a different agent.

Whatever the reason, the key point is that the change has to be recorded with the Secretary of State. Simply telling your old agent you're done, or moving without filing, does not update the official record.

A little preparation keeps the change clean and avoids a rejected filing.

Confirm your new registered office and agent

Before you file, have the new registered office address and agent locked in. If you're hiring a commercial registered agent, sign up with them first and get their Minnesota address. If you're naming an individual, confirm they've agreed before you list them. Remember that Minnesota doesn't require an agent at all: you can also file a change that keeps only a registered office.

Get the resolution in place

Section 5.36 calls for the change to be authorized by a resolution approved by a majority of the LLC's governing body. For a single-member LLC that's a one-line written consent; for a multi-member LLC, follow the voting rules in your operating agreement and keep the signed resolution with your records.

Gather your entity details

You'll need your LLC's exact legal name as it appears on record and its file or registration number from the Secretary of State. Pull these from your formation documents or by looking the company up on the MBLS business search so the change matches the state's record precisely.

Coordinate timing with your old agent

If you're leaving a commercial agent, don't cancel that service until the change is filed and effective. You want continuous coverage: a gap where no valid registered office is on file is exactly when a lawsuit could be served with nobody there to receive it.

Minnesota lets you update your registered office and agent through the Secretary of State. The most efficient route is online through the MBLS portal, where you can amend your entity's registered office information directly.

The general process

1. Log in to MBLS and locate your LLC by name or file number.
2. Open the change of registered office/agent filing for your entity.
3. Enter the new registered office address: an actual office location in Minnesota, not solely a P.O. box.
4. Enter the new registered agent if you're naming one. The agent's business office has to be the registered office you just entered.
5. Review, pay by credit card, and submit. Online filings go into the state's expedited queue; a mailed change waits its turn.

Once the state processes the update, the new registered office and agent become the official record and appear in the MBLS search. From that point, service of process and state notices go to the new address.

Fees and timing

The Secretary of State's fee schedule lists the Change of Registered Office Address and/or Registered Agent at $55 online and $35 by mail. The state says eligible online filings are expedited and typically processed within 2 to 5 business days, while mailed filings are processed first come, first served without expedite. Because service of process depends on the record being current, file the change as soon as the new arrangement is ready rather than letting it sit.

Changing your registered agent is a targeted update. It's easy to assume it does more than it does, so it's worth being clear about scope.

What the change updates

• The registered office address on record with the Secretary of State
• The registered agent named at that office
• Where service of process and state notices are delivered going forward

What it leaves untouched

• Your LLC's name and existence. The company is the same entity before and after; only its point of contact changes.
• Your EIN. The federal tax ID stays the same.
• Your operating agreement, ownership, and management. Internal governance is unaffected.
• Your business address, if different. The registered office and your principal business location can be different addresses; changing one doesn't automatically change the other.

If you also need to update your principal business address, your LLC name, or management structure, those are separate amendments. Changing the registered agent alone won't carry them.

A registered agent change is simple, but a few avoidable errors cause real trouble.

Letting coverage lapse

The biggest risk is a gap. If you cancel your old agent before the new one is on file, there's a window with no valid registered office. A lawsuit served during that window can slip through, and courts can enter a default judgment against an LLC that fails to respond. Keep the old arrangement in place until the change is confirmed.

Assuming a move updates the record automatically

If you served as your own agent and relocated, the state doesn't know until you tell it. Your registered office stays at the old address on record (where you no longer are) until you file the change. That's a compliance problem waiting to become a missed legal notice.

Naming an agent who doesn't know about it

Listing a friend or relative who never agreed to the job is a recipe for papers sitting unopened. When you use a commercial service, the arrangement is set up at signup; when you name an individual, confirm they've actually agreed to accept documents for the LLC and that their business office really is the registered office you're filing.

Forgetting the annual renewal

Changing your agent doesn't reset or replace the December 31 annual renewal. Both obligations stand independently. Keep filing the renewal on time regardless of any registered office changes during the year.
