How to Change Your Minnesota LLC's Registered Agent

The registered office and agent you named when you formed your Minnesota LLC don't have to be permanent. Businesses change, and the registered office needs to keep up. A stale registered office is one of the most common reasons an otherwise healthy LLC quietly slips out of compliance.

Common reasons for a change

• Your current agent resigned or is unreliable. A friend or relative who agreed to serve has moved, lost interest, or become hard to reach — and now legal mail may go unanswered.
• You've been acting as your own agent and want privacy. Being your own agent means your address sits in the public MBLS database. Many owners eventually switch to a commercial service to get their home address off the public record.
• You moved. If you served as your own agent and relocated, your registered office is now wrong and has to be updated.
• You're consolidating. Owners running several entities often move them all to a single commercial agent so every registered office is handled in one place, across states if needed.
• Your commercial provider isn't cutting it. Slow document forwarding or poor service is a fine reason to move to a different agent.

Whatever the reason, the key point is that the change has to be recorded with the Secretary of State. Simply telling your old agent you're done, or moving without filing, does not update the official record.

Confirm your new registered office and agent

Because service of process depends on the record being current, file the change as soon as the new arrangement is ready rather than letting it sit.

Changing your registered agent is a targeted update. It's easy to assume it does more than it does, so it's worth being clear about scope.

What the change updates

• The registered office address on record with the Secretary of State
• The registered agent named at that office
• Where service of process and state notices are delivered going forward

What it leaves untouched

• Your LLC's name and existence. The company is the same entity before and after; only its point of contact changes.
• Your EIN. The federal tax ID stays the same.
• Your operating agreement, ownership, and management. Internal governance is unaffected.
• Your business address, if different. The registered office and your principal business location can be different addresses; changing one doesn't automatically change the other.

If you also need to update your principal business address, your LLC name, or management structure, those are separate amendments — changing the registered agent alone won't carry them.

Letting coverage lapse

The biggest risk is a gap. If you cancel your old agent before the new one is on file, there's a window with no valid registered office.
