Change Your Mississippi Corporation's Registered Agent

A registered agent isn't a set-it-and-forget-it decision. Over the life of a corporation, several ordinary events make a change necessary or worthwhile.

Common triggers

• Your current agent resigns. A commercial agent may drop the account for non-payment, or an individual agent may no longer want the responsibility. Either way, you need a replacement before the effective date of the resignation.
• A personal agent moves or leaves. If a co-founder, employee, or friend was serving as agent and they relocate out of Mississippi or leave the company, their address is no longer valid.
• You want your address off the public record. Founders who started out serving as their own agent often switch to a commercial service once they realize their home address is publicly searchable.
• You're consolidating agents. If your corporation operates in several states, moving to a single commercial agent across all of them simplifies compliance.
• Poor service. A slow or unreliable agent that misses forwarding a lawsuit or a state notice is worth replacing before it costs you.

Whatever the reason, the change has to be recorded with the Secretary of State — updating your agent informally isn't enough, because the state acts on what's in its records.

Mississippi handles registered agent changes through the Secretary of State's online business portal, the same system used for all business filings. There's no paper track.

The basic steps

1. Line up the new agent. Have your incoming registered agent — a new individual with a Mississippi street address, or a commercial service — confirmed and ready to consent before you file.
2. Log in to the business portal. Access your corporation's record in the Secretary of State's system.
3. File the change. Update the registered agent name and the registered office street address on the corporation's record. The new agent must be eligible and must consent to serve.
4. Confirm the update. Once the state processes the change, the new agent appears on the public record and becomes the official recipient of service and state notices.

Because Mississippi filings are electronic, the update typically processes quickly — usually within a business day or two. Until the change is recorded, your old agent is still the official contact, so don't stop monitoring that channel until the new agent is live on the record.

A registered agent change is simple, but a handful of mistakes cause real problems.

The failure modes

• Gaps in coverage. If your old agent resigns before the new one is recorded, there's a window with no valid agent. During that gap, service of process can be delivered in ways you may not see, and the corporation is technically non-compliant. Coordinate the timing so the new agent is in place before the old one lapses.
• An invalid new address. The registered office must be a physical Mississippi street address. Listing a P.O. box or an out-of-state address will get the change rejected.
• No consent from the new agent. The incoming agent has to agree to serve. Naming someone without their consent isn't valid.
• Forgetting to monitor the old channel. Until the state records the change, legal papers still go to the old agent. Keep watching it until the switch is confirmed.
• Confusing the agent with the principal office. Changing your registered agent doesn't change your corporation's principal office address, and vice versa. If both are changing, make sure both are updated.

Handled carefully, none of these are hard to avoid. The safest approach is to have the incoming agent fully ready before you touch the filing.

It's worth being clear about what a registered agent change does and doesn't do. It updates who receives legal papers and state mail on the corporation's behalf. It does not reset or affect any of your other compliance duties.

Your annual report is still due April 15 each year regardless of when you change agents. Your corporate name, your authorized shares, your bylaws, and your officer and director structure are all untouched by an agent change. And your good standing depends on keeping all of those obligations current — swapping agents fixes the agent, not anything else.
