How to Change Your Mississippi LLC's Registered Agent

A registered agent isn't a set-it-and-forget-it decision. Several ordinary events force a change, and each one is a compliance issue if you let it sit.

Common reasons owners switch

• Your current agent is stepping down. A friend or relative who agreed to serve is moving out of state, closing their business, or simply no longer wants the responsibility of receiving your legal mail.
• You named yourself and it isn't working. Being your own agent means legal papers come to you at a fixed Mississippi address. If you've started traveling, moved, or grown tired of your home address sitting in the public record, switching to a service solves all three.
• Your commercial service isn't delivering. Slow forwarding, missed documents, or poor support are reasons to move to a provider you trust.
• You're consolidating. Owners who form LLCs in more than one state often move every entity to a single registered agent to simplify tracking and renewals.
• Your agent moved. If your agent changes their Mississippi address, the registered office on file has to be updated even if the agent stays the same.

Mississippi handles registered agent changes through the Secretary of State's online business system, the same business portal used for formations and annual reports. The Secretary of State's FAQ notes there is no longer a separate change-of-agent form: agent changes are handled as an amendment in the portal. The basic steps

1. Line up the new agent first. Make sure your incoming agent (whether a person or a commercial service) has agreed to serve and has given you their exact Mississippi registered office address. You'll enter it into the filing.
2. Log in to the state portal. Access your LLC's record through the Secretary of State's business system.
3. File the amendment. Update the registered agent's name and the registered office street address in the amendment filing for your LLC.
4. Pay the $10 fee and submit. The portal takes credit cards, e-checks, and ACH.
5. Confirm it took. Once processed, look up your LLC in the business search and verify the new agent and address now appear.

Missed legal mail

The registered agent is where lawsuits get served. If your agent has resigned, moved, or gone unreachable and you haven't updated the record, a served document can go unanswered. Miss a lawsuit and a court can enter a default judgment against your company without you ever having a chance to respond: the first you hear of it may be when a bank account is frozen or a lien appears.

Missed state notices

The Secretary of State sends compliance mail, including annual report reminders and warnings that precede administrative dissolution, to the registered agent on file. Point that mail at an address no one is watching and the warnings never reach you. Owners lose good standing this way: not through some dramatic error, just a chain of unread notices sent to a dead address.

Falling out of good standing

An LLC without a valid registered agent is out of compliance by definition, and missed notices make a late annual report far more likely. A report more than 60 days late lets the Secretary of State start administrative dissolution, which takes effect if the LLC doesn't cure it within 60 days of the notice. Members aren't made personally liable just because the LLC was administratively dissolved, but a dissolved LLC can't bring a lawsuit in a Mississippi court until it's reinstated. Reinstatement costs $50, some LLCs also need a tax clearance letter from the Department of Revenue, and the whole process is slower than simply filing the change on time would have been.

A registered agent change is simple, but the window between "old agent stops serving" and "new agent is on record with the state" is where problems sneak in. Handle the timing deliberately and that gap never opens.

Don't leave a gap in coverage

The cleanest approach is to have your new agent lined up and consenting before your old arrangement ends, then file the change so the state's record moves directly from one valid agent to the next. If your current agent has already resigned, treat naming a replacement as urgent rather than routine: every day without a valid agent on file is a day your LLC is technically out of compliance and a day the state has nowhere reliable to send notices.

Watch the annual report deadline around the switch

Mississippi's annual report is due April 15 every year, and the reminder the state sends goes to the registered agent on file. If you change agents close to that date, confirm which agent will actually be on record when reminders and notices go out, and make sure the incoming agent knows the deadline. A change made in good order shouldn't disrupt your report, but a sloppy handoff right before April 15 is exactly how a reminder gets sent to an address no one is watching.

Verify before you consider it done

Filing the change isn't the finish line: confirmation is. After you submit, look your LLC up in the state's business search and check that the new agent's name and the new registered office address actually appear. Only then is the switch genuinely complete. Keeping a copy of the filing confirmation with your company records gives you proof of exactly when the change took effect, which is useful if a question about service or notice ever comes up later.
