How to Change the Registered Agent for a Missouri Corporation

A Missouri corporation must keep accurate registered agent and registered office information on file at all times. Several common events trigger the need to file a change:

• Your current agent resigns. A registered agent can step down, and when they do, the corporation must name a replacement rather than let the position sit vacant.
• The agent's address changes. If your agent moves — even across town — the registered office on record is now wrong and must be updated.
• You are switching to a commercial service. Many owners start as their own agent and later hire a service to gain privacy and reliability.
• You want your home address off the public record. If you filed using your home address and have since thought better of it, changing to a commercial agent removes it from the searchable record.
• An individual agent is no longer available. An employee who served as agent leaves the company, or a partner exits — either way, you need someone new.

The common thread is that Missouri's record must always match reality. An out-of-date registered agent is a compliance gap even when everything else about the corporation is current.

Changing your registered agent is a filing with the Missouri Secretary of State, Business Services Division. The change is made on a statement of change of registered agent and/or registered office, which you can submit through the state's online business filing system or on paper. The Secretary of State charges a fee for the change; check the current amount on the fee schedule.

Information you will need

• The exact legal name of the corporation as it appears on the state's record
• The corporation's charter or file number, available from the business entity search
• The name of the new registered agent
• The new registered office street address in Missouri (a physical address, not a P.O. box)
• The consent of the new agent to serve — Missouri provides a consent form (Corp-59) for this purpose

After you file

Once the state processes the change, the new agent and office appear on the public record and legal process will be directed there going forward. Online filings generally process quickly. Keep a copy of the accepted filing with your corporate records.

Missouri does not want a corporation naming an agent who never agreed to the role. The new registered agent must consent to the appointment, and the Secretary of State provides a registered agent consent form (Corp-59) to document it.

A commercial registered agent handles its own consent as a matter of routine. Do not let a gap open up

The most common mistake is letting the current agent lapse before the new one is in place. If your agent resigns and you delay, there is a window where the corporation has no valid agent — and that is exactly when a lawsuit or state notice could go unreceived. File the change promptly so coverage is continuous.

Keep the corporation's name and number exact

Filings get bounced when the corporate name does not match the record character for character, or when the file number is wrong. Pull both directly from the business entity search before you file.

A change of agent is not a change of address for the business

Updating your registered agent updates the registered office — the address where legal process is served. It does not change your principal business address, your mailing address with the IRS, or your tax registrations. Those are separate updates with separate agencies.

Do not confuse it with the annual registration

The annual registration report and a change of registered agent are two different filings. Filing one does not satisfy the other. If your annual registration is also due, handle it separately.
