What a Registered Agent Is and Why Missouri Requires One

A registered agent is the corporation's official point of contact for legal and government matters. Under Chapter 351 of the Revised Statutes of Missouri, every corporation must continuously maintain a registered agent and a registered office in the state. The requirement exists so there is always a known, reliable place where the corporation can be served with a lawsuit or reached by the Secretary of State.

Without a valid registered agent, a plaintiff might struggle to serve your corporation, and the state has no dependable way to send official notices. Missouri treats the requirement as ongoing — it is not satisfied once at formation and forgotten. The moment your agent resigns, moves without updating the record, or becomes unavailable, the corporation is technically out of compliance.

What the agent actually receives

  • Service of process: If someone sues your corporation, the summons and complaint are delivered to your registered agent. This is the single most important function — a missed lawsuit can lead to a default judgment against the company.
  • State correspondence: Annual registration reminders and other official notices from the Secretary of State go to the registered agent or registered office.
  • Compliance notices: Warnings about loss of good standing or administrative action arrive here, giving you the chance to fix a problem before it escalates.

Missouri's Registered Office and Availability Rules

The registered agent requirement is really two linked requirements: a person or company to serve as agent, and a registered office where that agent can be reached.

The registered office must be a physical Missouri address

The registered office has to be an actual street address in Missouri. A P.O. box on its own does not qualify, because the whole point is that legal documents can be hand-delivered to a real location. The registered office is part of the public record and appears in the Secretary of State's business entity search.

Availability during business hours

The agent must be reachable at the registered office during ordinary business hours. Process servers arrive unannounced during the day. If nobody is present to accept the documents, service can still be effective by other means, and you may never learn a lawsuit was filed until a judgment lands. Continuous availability is exactly what a commercial agent is built to provide.

Consent to serve

When you designate someone other than yourself, Missouri expects the agent's consent to the appointment. The Secretary of State provides a registered agent consent form (Corp-59) for documenting that the agent has agreed to serve.

Who Can Serve as Your Missouri Registered Agent

Missouri gives you several options, each with trade-offs.

Yourself

If you have a physical Missouri street address and you are reliably present during business hours, you can be your own registered agent at no extra cost. The downsides: your address becomes public and searchable, and you are tied to that location during the workday. If you move, travel, or run the business from home and would rather not publish that address, this option loses its appeal.

Another individual

Any Missouri resident with a street address in the state — a business partner, an employee, or an attorney — can serve. The same availability and public-record considerations apply to them, and you are relying on that person to forward anything important without delay.

A commercial registered agent service

A commercial service is a company in the business of acting as registered agent. It provides its own Missouri street address for the public record, guarantees someone is present during business hours, and forwards documents to you promptly, usually with same-day scanning. This is the option most owners choose once they weigh the privacy and reliability benefits against the modest annual cost.

Being Your Own Agent vs. Hiring a Service

There is no universally right answer, but a few situations point strongly one way.

Reasons to hire a commercial agent

  • You run the business from home and do not want your home address in a public, search-indexed database.
  • You travel or keep irregular hours and cannot guarantee someone is at a fixed Missouri address every business day.
  • You do not live in Missouri. Out-of-state owners need an in-state address, and a commercial agent supplies one.
  • You want a buffer. Being served with a lawsuit in front of customers or staff is awkward; a commercial agent absorbs that.
  • You do not want to track deadlines yourself. Good agents pair the address with compliance reminders.

Reasons to serve as your own agent

  • You already have a stable Missouri commercial address that is staffed all day.
  • You are comfortable with that address being public.
  • You want to avoid the annual service fee and are confident you will keep the details current.

Either way, the corporation is responsible for keeping the registered agent information accurate. If the agent changes, you must update the record — see our page on changing a registered agent in Missouri for the mechanics.

How Mainstay Filing Handles Your Registered Agent

When you form a Missouri corporation with Mainstay Filing, registered agent service is included. We list our professional Missouri street address on your Articles of Incorporation, so your home or office address stays off the public record. We accept service of process and state mail on the corporation's behalf, scan it, and get it to you quickly.

Because we are always at the registered office during business hours, you never have to worry about missing a served lawsuit because you were traveling or out of the office. And because keeping a corporation in good standing depends on the state being able to reach you, we pair the agent service with reminders about your Missouri annual registration so a deadline does not slip by unnoticed. If you already have a corporation and only need a reliable agent, we can take over that role and file the change with the Secretary of State for you.

Frequently asked questions

Does every Missouri corporation need a registered agent?

Yes. Missouri law requires every corporation to continuously maintain a registered agent and a registered office in the state from formation onward. There is no exception for small or single-owner corporations. If your agent resigns or becomes unavailable, you must appoint a replacement to stay in compliance.

Can I be my own registered agent in Missouri?

Yes, if you have a physical Missouri street address and are available at it during normal business hours. Be aware the address becomes part of the public record. Many owners use a commercial agent instead to keep a home address private and to guarantee someone is always present to receive legal documents.

Can the registered office be a P.O. box?

No. The registered office must be a physical street address in Missouri where documents can be hand-delivered. A P.O. box alone does not satisfy the requirement. A commercial registered agent provides a compliant street address.

What happens if my corporation has no valid registered agent?

The corporation falls out of compliance. You may miss a served lawsuit and face a default judgment, and you can miss state notices that lead to loss of good standing and eventual administrative dissolution. Missouri expects a valid agent at all times, so a vacancy should be filled promptly.

Does the registered agent own or control my corporation?

No. The registered agent's only job is to receive legal process and official mail for the corporation. The agent has no ownership stake, no voting rights, and no authority over business decisions. Ownership and control stay with the shareholders, directors, and officers.
