Missouri Foreign LLC Registration (LLC 4)

A company organized elsewhere that does business in Missouri needs a registration on file with the Secretary of State, whether it is an LLC or a corporation. Missouri has no annual report after that, so the main job is getting the first filing right. We prepare and submit it, supply the Missouri agent, and lay out the whole price at checkout before you pay anything.

$199.00 for us plus Missouri's fee. Total today: $304.00, with your registered agent free for the first year.

The sixty-day certificate is the part that trips people up

Most of Missouri's registration is routine, but one requirement deserves attention first. The application has to include a current certificate of good standing (or existence) from the state where your LLC was formed, dated within 60 calendar days of the filing. Order it close to when you plan to file, not months ahead.

Your home state's filing office, usually its Secretary of State, issues the certificate, and it must be in your possession before the Missouri filing is submitted. The statute (RSMo 347.153) names both a certificate of existence and a current certificate of good standing; the form asks for the second. No copy of your articles of organization is requested, and the home state sets what its certificate costs.

Do you have to register in Missouri?

The registration duty arrives ahead of any Missouri business activity (RSMo 347.153), yet the law never defines "transacting business." The Secretary of State says there is no statutory standard or bright-line rule, that the question is decided case by case, and that many companies consult an attorney because the answer often rests on past court decisions.

What the statute does give you is a list of seven activities that do not count (RSMo 347.163.5): handling or settling a lawsuit or administrative proceeding, holding member meetings or other internal affairs, keeping bank accounts, borrowing money or granting a lien, collecting debts and enforcing security for them, interstate commerce, and a one-off deal that wraps up inside thirty days without belonging to a string of repeated transactions. The list is not exhaustive. Being a member of another LLC is not enough on its own either.

Owning property is not on Missouri's list, which surprises people coming from other states. A shop, an office, employees working here, or regular sales you handle yourself point toward registering. The section also leaves service of process, suits, and taxation to other statutes, so staying off the registration requirement does not mean staying clear of Missouri taxes. In the gray area, a short consult with a Missouri attorney costs little next to the penalty below.

The filing, the fee and how it goes in

Form LLC 4 is Missouri's registration form for foreign LLCs, and it goes to the Corporations Division of the Secretary of State in Jefferson City. Missouri's own words are "registration" and "certificate of registration"; the "certificate of authority" language belongs to corporations, which use a different form. On acceptance, the office endorses the filing and sends back a copy along with the certificate of registration.

The filing fee is $105, which already includes the state's technology fund charge. You can submit it in the Missouri Business Filings portal or mail the paper form. Online payment is by credit card or electronic check, and the state notes that electronic payments carry a small convenience fee it does not keep. The fee schedule lists no expedite option, and no official page states how long processing takes. The lower online rate on the fee schedule is for domestic articles only, so it does not apply here.

The two-page form asks for the LLC's name (and the name it will use in Missouri, if different), its home state and formation date, the purpose or general character of its Missouri business, the name and street address of the Missouri registered agent, the registered office address back home (or the principal office if the home state requires none), the home-state certificate, and the signature of an authorized person, who affirms under penalty of perjury that the facts are true. No notary is involved. The filing is a public record, so choose the business address you want shown.

Name rules and what to do if yours is taken

Your Missouri name can be any name a domestic LLC could take, and it need not match the name you use back home (RSMo 347.157). It must contain "limited company," "limited liability company," or an abbreviation such as LC, LLC, L.C., or L.L.C. It cannot include words like "corporation," "incorporated," or "limited partnership," cannot suggest a government agency, and has to stand apart in the state's records from names already registered or reserved (RSMo 347.020).

If another company already holds your name or something too close to it, you do not have to rename the LLC at home. Line 2 of Form LLC 4 lets you give a different name for use in Missouri.

Who can be your registered agent

A registered foreign LLC must keep a Missouri agent and a Missouri office on file at all times. Under RSMo 347.030, the agent is either an individual who lives in Missouri and whose business office is the registered office, or a corporation, domestic or foreign, authorized to do business here with its business office at that address. A limited liability company does not appear on that list, so your own LLC cannot be its own agent.

The address has to be a physical location where papers can be served. A post office box can appear only alongside a street address in the same city, and a retail mailbox store cannot be a registered office. If the company ever has no agent, the Secretary of State becomes the agent for service by default, and the form warns that failing to keep one is grounds to cancel the registration.

The penalty for operating without registering

Missouri's penalty is a flat fine, not a per-year late fee. A foreign LLC that transacts business without complying faces a fine of at least $1,000 under RSMo 347.163. The Secretary of State reports violations to the county prosecutor, who brings the case to collect it. Neither the form nor the fee schedule charges back fees or a late fee for registering after the fact.

The second consequence is the courthouse door. Until the requirements are met, the company cannot start a lawsuit in a Missouri court on a contract or tort claim, and the state's FAQ adds that a case already filed could be suspended until the company registers. The secretary can also bring an action to halt the company's Missouri business (RSMo 347.165).

A good deal stays intact. Your contracts hold up, the company can still defend a suit against it, and members do not become personally liable for company debts solely because it operated here unregistered.

After you are registered

There is no annual report for a foreign LLC in Missouri. The Secretary of State's FAQ answers the question with a plain "No," and the fee schedule lists no recurring fee, so there is no due date to track.

Three things can still need a filing. Changing the LLC's name, or its home state, requires an amended certificate of registration on Form LLC 14, with a $25 fee and a new home-state certificate dated within 60 days. Changing your agent is a Form Corp 59 statement at $10. And the Secretary of State may cancel a registration if the company fails to file required documents, keep an agent, or pay required fees, but only after 30 days' written notice, and it can be reinstated once the problem is fixed.

To leave Missouri, file Form LLC 8, the cancellation form for foreign LLCs, for $25. It asks for a mailing address where the state can send service of process, because cancelling does not end the secretary's power to receive papers about your Missouri activity. Separately, the Department of Revenue may require tax registration depending on what the business sells and whether it has employees here.

What we do for you

Give the checkout your home-state details and we prepare Form LLC 4, then submit it to the state. The Missouri agent is on us for the first twelve months and renews at $149 a year afterward. If someone serves the company with legal papers, we scan them into your account the same business day they arrive, free of charge. Today's total is $304, which is our $199 service fee plus the state's filing fee.

That price pays for the registration plus a year of agent service. The amended certificate, the other filings above and any tax filings are outside it. Mainstay handles filings but is no law firm, which means a ruling on whether your activity is doing business has to come from an attorney.

A corporation formed elsewhere can use this same checkout and sees an identical total of $304. Missouri uses a separate form for corporations.

Frequently asked questions

What is the Missouri fee for registering an LLC from another state?

Form LLC 4 carries a $105 state fee. Add our $199 and checkout shows $304.

Does Missouri require a certificate of good standing?

Yes. Form LLC 4 asks for a current certificate from your home state, dated within 60 calendar days of filing. The LLC's home filing office issues it, and you should hold a fresh copy by the time you submit the Missouri application.

What happens if I operate in Missouri before registering?

A fine of at least $1,000, collected through a lawsuit the county prosecutor brings, and no Missouri lawsuit of your own can start until you register. There is no per-year late fee on top. Contracts survive, and defending a case is still allowed.

Can my LLC act as its own registered agent in Missouri?

No. Missouri wants a resident individual or an authorized corporation, with a physical street address rather than a mailbox store. Our agent service is included for the first year.

Does Missouri require an annual report from a foreign LLC?

No. The Secretary of State says LLCs do not file an annual report, and there is no recurring fee for a registered foreign LLC.

Can I use a different name in Missouri if mine is unavailable?

Line 2 of Form LLC 4 lets you register under a different name for use in Missouri. It still needs an LLC designator and must be distinguishable from names on file.

How do I withdraw from Missouri?

File Form LLC 8, the cancellation form for foreign LLCs, with a $25 fee. You give a mailing address where the state can send any service of process.

Can a corporation register through the same checkout?

Yes. Its state fee and today's total match the LLC figures, $304 in all.
