How to Change the Registered Agent for a Missouri LLC

A registered agent isn't a set-it-and-forget-it decision — situations change, and Missouri LLCs update their agent regularly. The most common reasons:

• Moving off your home address. Many owners name themselves at formation to save money, then realize their home address is now public and searchable. Switching to a commercial agent gets that address out of the public record.
• The current agent resigned or stopped responding. A friend or employee who agreed to serve may move away, leave the company, or simply stop forwarding mail. That's a compliance problem you have to fix.
• You outgrew the DIY setup. As a business grows, being personally tied to an address during business hours to accept legal service stops making sense. A service handles it without you thinking about it.
• You're consolidating. If you own several entities, putting them all under one commercial registered agent keeps everything in one place.
• The agent's address changed. Even if you keep the same agent, a move means the state's record has to be updated.

Whatever the reason, the fix is the same: file a change of registered agent with the Missouri Secretary of State so the public record reflects your current, valid agent.

Changing your agent is quick, but a couple of things have to be lined up first.

The incoming agent must consent

Your new registered agent has to agree to serve. If you're hiring a commercial service, consent is part of signing up with them. If you're naming an individual, they need to know and accept the responsibility — Missouri documents an agent's acceptance through its Statement of Consent (Form Corp-59). You can't simply list someone as your agent without their agreement.

The new agent must meet Missouri's requirements

Whoever you're switching to has to satisfy the same rules as any Missouri registered agent:

• A physical Missouri street address (not a P.O. box alone)
• Availability at that address during normal business hours
• Either a Missouri resident individual or a business entity authorized to act as a registered agent in the state

Your LLC needs to be in good standing

Make sure your entity is active with the Secretary of State before you file the change. If your LLC has somehow fallen out of good standing, sort that out first so the change filing goes through cleanly.

• Your LLC's exact legal name as it appears on record
• Your Missouri charter or entity number (find it via the business entity search)
• The name of the new registered agent
• The new registered office (the agent's physical Missouri street address)
• The new agent's consent to serve

Once the state processes the filing, the change takes effect and the public record shows your new agent. Online filings are generally processed quickly. If you hired a commercial registered agent service, they usually prepare and submit this filing for you as part of onboarding, so you may not have to touch the form at all.

Confirm it went through

After filing, look your LLC up in the business entity search to confirm the new agent and address appear on the record. It's a thirty-second check that saves you from assuming a change stuck when it didn't.

The one thing you don't want when changing agents is a window where no valid agent is on file. Under Chapter 347 of the Revised Statutes of Missouri, your LLC has to maintain a registered agent continuously — a lapse leaves you out of compliance and, more importantly, means a lawsuit could be served on an address nobody is watching.

Line up the new agent before releasing the old one

Don't resign your current agent, cancel a service, or move out of an address until the replacement is in place and the change is filed. Keep the old arrangement live until you've confirmed the new agent shows on the state record. That overlap costs nothing and closes the gap entirely.

Watch for a resigning agent

If your agent is the one initiating the change — resigning on you — you're on a clock. A resigning agent files a resignation with the state, and you need to name a replacement before your coverage lapses. This is exactly the scenario that catches owners off guard, so if you get notice that your agent is stepping down, treat naming a new one as urgent.

Update your own records too

Once the change is official, make sure any place that lists your registered agent — your operating agreement's records, your internal compliance notes — reflects the new agent so nothing points at the old one.
