Missouri LLC Registered Agent Requirements Explained

A registered agent is the official point of contact between your LLC and the outside world when that contact has legal weight. Under Chapter 347 of the Revised Statutes of Missouri, every LLC must designate a registered agent in its Articles of Organization and maintain one continuously. The requirement exists so there is always a reliable, findable place to deliver a lawsuit or an official state notice — the law doesn't want a company to be able to hide from being served.

The registered agent is the party who receives service of process (the legal papers that start a lawsuit), along with official correspondence from the Secretary of State and other state agencies. When someone sues your LLC, they don't get to guess where you are — they serve your registered agent, and that service counts as notice to the company.

What the agent actually receives

• Service of process: summonses, complaints, subpoenas
• Correspondence and notices from the Missouri Secretary of State
• Other official government communications directed to the LLC

Note that because Missouri LLCs have no annual report, your agent won't be fielding annual-report reminders the way agents do in most states. But the core function — being the guaranteed recipient of legal service — is exactly the same, and it's the function that carries real consequences if it fails.

Missouri sets specific requirements for a registered agent, and they exist to guarantee the agent can actually be reached.

• A physical Missouri street address. The agent must have a real street address in Missouri — not a P.O. box on its own. This address is the "registered office," and it has to be a place where documents can be physically delivered.
• Availability during business hours. The agent needs to be present and reachable at that address during normal business hours so process can be hand-delivered.
• Consent to the role. The agent must agree to serve. Missouri documents this acceptance through its Statement of Consent (Form Corp-59).

An agent can be an individual who is a Missouri resident, or a business entity authorized to act as a registered agent in the state. Your LLC generally cannot serve as its own registered agent — the agent has to be a separate person or a qualified company.

The registered office vs. your business address

Your registered office (the agent's address) doesn't have to be where you actually run your business. Plenty of Missouri LLCs operate out of a home, a shop, or nowhere physical at all, while their registered office is a commercial agent's address elsewhere in the state. The two addresses serve different purposes, and keeping them separate is often exactly why owners hire a service.

• You have to be there. Legal service happens during business hours. If you travel, work in the field, or keep irregular hours, you risk missing a delivery — and missed service can lead to a default judgment against your LLC without you even knowing a suit was filed.
• You get served in front of people. A process server may hand you a lawsuit at your place of business, in front of customers or staff. Many owners would rather that happen at a neutral address.

Using a commercial registered agent

A commercial service exists to absorb all of that. It provides a Missouri street address, staffs it during business hours, accepts documents on your behalf, and forwards them to you — usually by scanning and emailing the same day something arrives. Your home address stays out of the public record, and you never have to be tied to a desk waiting for a server. For most owners, especially those who run their business from home or from the road, this is the reason to hire out.

• Your agent resigns or you decide to switch to a different one
• You started as your own agent and now want to hand it to a service (or vice versa)

To change agents, you file a change of registered agent with the Missouri Secretary of State. If you're switching to a commercial service, they typically handle the filing for you as part of onboarding. Either way, don't let a gap open up — an LLC without a valid registered agent on record can face consequences up to and including administrative dissolution if the state can't reach it.
