How to Change Your Montana LLC's Registered Agent

A Montana LLC's registered agent is not a set-it-and-forget-it detail. Life and business change, and when they do, the agent on file has to be updated. The state relies on that record to deliver lawsuits and compliance notices, so an out-of-date agent is a genuine liability, not a paperwork nicety.

Common reasons to make the change

• You were your own agent and want privacy. Many owners start out listing their home address, then realize it is sitting in a public database, and switch to a commercial service to get it out of view.
• Your current agent moved or resigned. If the person or company serving as your agent relocates out of state, closes, or steps down, you need a replacement on file immediately.
• You are unhappy with the service. A commercial agent that forwards documents slowly, misses items, or is hard to reach is a risk. Switching to a more reliable provider protects the company.
• You are consolidating. Owners with several entities often move them all to one registered agent to keep renewals and compliance in one place.
• A personal relationship changed. If a friend, former partner, or ex-employee was serving as your agent, a change in that relationship is a reason to move the role to someone neutral.

Whatever the trigger, the fix is the same: file a statement of change with the Montana Secretary of State naming the new agent, and make sure that agent has consented and has a valid Montana street address.

Montana handles registered agent changes online through the Secretary of State's business portal at biz.sosmt.gov. The filing is a statement of change of registered agent, registered office, or both, and the Secretary of State's fee schedule lists it at no fee. You can also update the agent when you file your annual report, if the timing lines up.

The steps

1. Line up the new agent first. Have the new registered agent chosen, consented, and ready with a valid Montana street address before you start. Filing the appointment affirms that the agent has consented, so do not file until that is settled.
2. Log in to the business portal. Sign in to biz.sosmt.gov with your username and password. If you do not have an account, you create one as part of the process.
3. Find your LLC and open the change filing. Locate your entity and select the filing to change the registered agent or registered office.
4. Enter the new agent's details. Select a listed commercial registered agent, or for a noncommercial agent, enter the name and an actual Montana street address or rural route box number.
5. Submit. There's no state fee for a statement of change, so there's nothing to pay.
6. Confirm the update. Once the state processes it, check the business search to verify the new agent shows on the public record.

Timing

Montana doesn't publish a standard processing time; the office reviews the filing and emails you when it's approved. If you need it handled faster, the state offers 24-hour processing for $20 or 1-hour processing for $100 on any document. Until the change is processed and reflected on the public record, the old agent is still the official agent, so do not terminate an existing commercial service until the new one is confirmed on file.

Changing an agent is simple, but a few missteps can create a gap in coverage or leave the LLC out of compliance. These are the ones that trip people up.

Cancelling the old agent too early

If you fire your current commercial agent before the new one is officially on file with the state, you create a window where the LLC has no valid agent. During that window, service of process could be attempted with no one to receive it. Always confirm the new agent appears on the public record before ending the old arrangement.

Skipping the consent step

Under section 35-7-105, naming an agent is the LLC's affirmation that the agent has consented to serve. Naming someone who has not agreed (a busy relative, a friend who was never asked) makes that affirmation untrue and can leave you with an agent who ignores what arrives. Confirm consent before you submit.

Using an invalid address

A noncommercial agent's address has to be an actual street address or rural route box number in Montana. A P.O. box can only be listed as a separate mailing address. Double-check the address is real, in Montana, and somewhere papers will actually reach the agent.

Forgetting the annual report is separate

Changing your agent does not satisfy the annual report due between January 1 and April 15, and filing the annual report does not by itself change your agent unless you update the agent field. Keep the two obligations distinct in your mind so neither slips.

Not updating your own records

After the change, update your operating agreement notes, your internal contact list, and anywhere you have the old agent recorded, so mail and notices route to the right place going forward.
