Montana LLC Registered Agent Requirements

A registered agent is your Montana LLC's official point of contact with the outside legal world. When someone sues the company, the papers go to the registered agent. When the Secretary of State needs to reach the LLC, the notice goes to the registered agent. The role exists so that there is always a known, reliable place to deliver documents to a business, no matter what else is going on.

The three kinds of mail an agent receives

• Service of process: lawsuits, summonses, subpoenas, and other legal actions naming the LLC. This is the reason the role exists. If your company is sued and there is no valid agent to serve, the case can move forward without you knowing until it is too late.
• State compliance mail: annual report reminders, notices from the Secretary of State, and any correspondence about the LLC's standing.
• Official government correspondence: tax and regulatory notices routed through the registered office.

The agent is not a mail-forwarding hobby. It is a legal designation with real consequences. An LLC that lets its registered agent lapse can miss a lawsuit deadline, miss a compliance notice, and drift out of good standing without ever seeing the warning.

Montana's registered agent requirements sit in the Model Registered Agents Act (Title 35, Chapter 7 of the Montana Code Annotated), which the LLC Act points to. They are straightforward, but the state does enforce them, and one of them (consent) is easy to overlook.

The core requirements

• Two kinds of agent. An LLC names either a commercial registered agent that's listed with the Secretary of State, or a noncommercial registered agent, in which case the filing gives that agent's name and address.
• A real Montana address. For a noncommercial agent, the filing must state an actual street address or rural route box number in Montana, plus a Montana mailing address if it's different. A P.O. box can be the mailing address, but not the street address.
• Consent to serve. Under section 35-7-105, appointing an agent is an affirmation by the LLC that the agent has consented to serve. You cannot simply write a person's name into the Articles without their agreement. This protects people from being drafted as an agent without knowing it.
• No residency or age rule. Chapter 7 doesn't add one. What matters is the Montana address and the agent's consent.

Where the agent's information shows up

The registered agent's name and Montana address are part of the public record on the Secretary of State's business search. Anyone (a customer, a competitor, a process server, a marketer) can look up the LLC and see who and where the agent is. That public visibility is worth thinking about before you list a home address.

Montana lets you serve as your own registered agent, and for some owners it makes sense. If you have a stable Montana street address, you're usually there to accept papers, and you are comfortable with that address being public, it is a legitimate choice that costs nothing extra.

• No separate service to pay for.
• You receive documents directly, without a middle step.
• For a home-based Montana business where the owner is already at the address all day, it is simple.

The trade-offs

• Your address goes public. Whatever address you list is indexed on the state's business search and reachable by search engines. For a home-based business, that means your home address is public.
• You have to be there. If you are out on a job site, traveling, or the office is closed, and a process server or state notice arrives, you may miss it. Missing service of process is not a technicality. It can mean a default judgment.
• You cannot move quietly. If you relocate, you must file a statement of change with the Secretary of State (there's no fee) to keep the agent address current, or the LLC falls out of compliance.
• Being served is unpleasant. Getting handed a lawsuit in front of customers or family is exactly the kind of moment a commercial agent is built to spare you.

A commercial registered agent is a company whose business is exactly this: maintaining a Montana address, accepting documents, and forwarding them to you. Montana lists commercial agents with the Secretary of State, so naming one on your Articles is just a matter of selecting it. Many Montana LLC owners use one, and the reasons are practical.
