Nebraska Registered Agent Service, Statute and Practice Both Covered

Nebraska's statute and its Certificate of Organization say agent for service of process, while the Secretary of State's own guidance and fee page say registered agent. They mean the same job. Mainstay takes it for $149 a year. Below are the eligibility rules, the designated office, the $25 change and what a resignation sets in motion.

One role, two names

Section 21-113 and the Certificate of Organization use the phrase agent for service of process. Business Services in Lincoln, the Secretary of State's division, says registered agent in its guidance and on its fee page. If a source uses either term, it is describing the same designated contact.

The Certificate of Organization names the initial designated office in Nebraska, with a street address required and a mailing address, and the initial agent for service of process, again with a required street address and a mailing address that can be a P.O. box. It lists no members or managers. Filing it costs $100 online or $110 in the office.

Under section 21-116 the agent is an agent of the company for service of any process, notice or demand required or permitted by law to be served on the company. The Secretary of State's guidance adds that the registered agent is designated by law as the entity's agent for service of process and official government communications, and tells LLCs to keep the agent information current so they receive the required biennial report or notice to file. This page covers the LLC statute, and the same agent service is open to corporations, LPs, LLPs and nonprofits.

What section 21-113 permits

Subsection (c) says the agent must be an individual who is a resident of this state or other person with authority to transact business in this state. The Secretary of State's guidance restates it in plain terms. The agent can be a member of the entity or a designated third party who resides in Nebraska, and it may be a corporation so long as the corporation is authorized to transact business in Nebraska. The agent's office must be identical to the registered office.

The LLC has to continuously maintain an office and an agent in Nebraska. The Secretary of State says failing to do so can result in administrative dissolution.

So a member who lives in Nebraska can serve, and a corporation authorized in Nebraska can serve. An owner who lives elsewhere needs the second kind.

Street address, designated office and mailing address

The agent's street address is required, and a P.O. box can appear only in the mailing address field. The designated office is its own item on the Certificate and has its own required street address.

That makes three addresses to keep right: the agent's street address, the agent's mailing address and the designated office. A move by any of them calls for a statement of change.

If you name yourself and use your home, that is the address on the filing.

Your own, someone else's, or a service's

With a Nebraska street address, you can list yourself at no extra cost, and the Secretary of State's guidance specifically allows a member of the LLC to serve. Process servers and state notices come to you there, and you will miss one if you travel, take time off or have no fixed daytime location.

A business partner, an employee or a Nebraska attorney can serve. They need to understand that a missed lawsuit is a serious matter, and the filing has to change if they move away.

A commercial agent lists its own address on the record, so moving your own home or office does not create an address chore.

The statement of change

One form, the Statement of Change, covers the designated office, the registered agent and the registered office. The fee is $25 online or $30 in the office, and online filing adds the eDelivery transaction charge, a minimum of $2 per transaction. It lists the new agent's name and Nebraska street address, plus a mailing address. An authorized representative signs it, and the form has no signature line for the new agent.

You can file through the Corporate and Business Document eDelivery service by uploading the signed form, or on paper. The eDelivery page has put review at approximately a week. A statement of change is effective when the Secretary of State files it. The Secretary of State also says a new Online Business Filing System is expected to be live before the end of 2026, and online filings will then no longer require a separate PDF upload.

When you move to Mainstay we prepare the statement and file it, and the state's fee is charged at cost. Keep an eye on the old address until the change shows as live, and then check the business search.

If your agent resigns

A Nebraska agent resigns by delivering to the Secretary of State a statement of resignation containing the company name and stating that the agent is resigning. The fee page lists an agent's statement of resignation at $30. The Secretary of State files it and mails a copy to the designated office and another to the principal office if it is different. Under section 21-115 the agent's role ends on the earlier of the 31st day after the Secretary of State files the statement or when a record designating a new agent becomes effective. So you have about a month to file the Statement of Change.

If an LLC does not appoint or maintain an agent in the state, or the agent cannot with reasonable diligence be found at its street address, section 21-116 allows service by registered or certified mail, return receipt requested, to the company at its designated office. That service is effective at the earliest of receipt, the return receipt date, or five days after the papers are deposited with the Postal Service, if correctly addressed and with sufficient postage.

The Secretary of State's guidance warns that failure to maintain a registered agent or office can result in administrative dissolution. The grounds the LLC statute lists, in section 21-151, are unpaid fees and a biennial report more than 60 days late, so a missed biennial notice is the practical path.

Filing details worth knowing

The Certificate of Organization costs $100 online or $110 in the office. The Statement of Change is a separate $25 online or $30 in the office.

After you file the statement, check the Nebraska business search to confirm the new agent and address appear. Until the change shows as processed, keep watching the old address.

Price in Nebraska, and the biennial report

The agent role costs $149 a year with Mainstay, and the same $149 when it comes up for renewal, along with compliance reminders. The biennial report, which Nebraska asks for on April 1 of odd-numbered years with a $25 fee, is yours to file under this service. A new Nebraska company that wants it filed for it should take the $199 formation package instead, which covers the agent role as well and adds the Certificate of Organization and your EIN application.

The Nebraska address on file would be Mainstay's. We scan and upload whatever is served on your company the same business day, free of charge. Government mailings get three free scans a year, then a per-piece scan or shipping fee, and free physical forwarding is not part of any tier.

How much does it cost to change the agent in Nebraska?

The Statement of Change is $25 online or $30 in the office, and online filing adds the eDelivery transaction charge.

How long does review take?

The eDelivery page has put it at approximately a week. A statement of change is effective when the Secretary of State files it.

What happens when a Nebraska agent resigns?

What happens if a Nebraska LLC has no agent?

Service can be made by registered or certified mail to the company at its designated office, effective as early as five days after mailing.

Does the Mainstay price file the Nebraska biennial report?

No. The agent role and compliance reminders are what you get for $149 a year, and filing the biennial report belongs to the $199 formation package.

Haven't formed your Nebraska company yet?

Start with the formation package instead. At $199 a year it prepares and files your formation, applies for your EIN, serves as your registered agent and files your biennial report, with the state's own fees at cost. For a new company that's the better value, since the agent, the formation and the biennial report all come with it. The $149 service on this page is for a company that's already formed and only needs an agent. See how forming in Nebraska works →

Need a registered agent in Nebraska?

$149 a year, flat, with the same price at renewal. If you're switching from another agent, we prepare and file the change with Nebraska, and the state's change fee passes through at cost.
