Nevada Registered Agent Service for Out-of-State Owners and Locals
Nevada accepts a commercial agent, a noncommercial agent who represents fewer than ten entities, or even an office or position inside the LLC, and the agent signs a Certificate of Acceptance. Mainstay serves in the role for $149 a year. This page covers who qualifies, the $60 change through ORION, what a resignation sets in motion and what a missed notice can lead to.

How Nevada defines the agent and the registered office
Nevada says registered agent, and under NRS 86.231 the agent's street address is the registered office. The Secretary of State's Commercial Recordings office in Carson City keeps the record. The Articles of Organization are filed with an Initial List of Managers or Managing Members and State Business License, and the Articles carry the agent's signed acceptance.
The agent receives service of process. Under NRS 77.400 it has to forward to the entity any process, notice or demand served on it. The notices that Nevada sends to the registered agent by statute are the default and revocation notices (NRS 86.274). The 90-day Annual List notice goes to the LLC itself. Noncommercial agents may give an email address for electronic notifications, and commercial agents get a courtesy monthly electronic notice of the entities that are due.
This page follows the LLC rules in NRS 86, and the same agent service is open to corporations, LPs, LLPs and nonprofits.
Three kinds of agent, and a position in the LLC
A commercial registered agent is one that represents 10 or more entities and registers with the Secretary of State, and the Articles name it by name only. A noncommercial registered agent is any individual or entity with a physical address in Nevada that does not act for 10 or more entities, with no registration or fee. An individual has to be at least 18.
The third option is unusual. If the LLC has a physical address in Nevada, it may elect to serve as its own registered agent by setting forth a specific office or position, such as President, Office Manager, Owner or Controller. Whoever holds the position receives the documents.
So an LLC can in a sense serve as its own agent through a role. It has to have a physical place in Nevada for that role to sit.
Physical address, mailing address and acceptance
The formation packet is clear that a P.O. box may be used for mailing but cannot replace the required physical address. NRS 77.300 asks for an actual street address or rural route box number in the state, and a mailing address in the state if different. An out-of-state address does not satisfy the requirement either.
Nevada also has an in-person rule in NRS 14.020. Unless the agent's street address is the agent's own home residence, the agent or natural persons of suitable age and discretion whom the agent authorizes must be there during normal business hours. An entity that fails to comply is subject to a fine of $100 to $500 for each day. Process may be served by leaving a copy with a person of suitable age and discretion at the agent's most recent street address.
The agent signs the Certificate of Acceptance, submitted with the Articles in ORION or on paper. Nobody can be named without agreeing. For a noncommercial agent the Articles carry the agent's Nevada street address, so a home address used there is on the filing.
Own agent, trusted person, or a service
An individual with a physical Nevada address, at least 18, can be a noncommercial agent at no additional cost. The NRS 14.020 in-person rule applies to that address unless it is your home, so a trip, a job site or a vacation can mean a missed delivery.
A co-owner, a Nevada-based employee or an attorney can serve. You depend on them forwarding anything important, and if they move out of state you replace them and update the state.
For owners who form in Nevada from another state, a service supplies the Nevada address that makes the requirement workable. A commercial agent keeps its own address on the public filing in place of yours.
The $60 Statement of Change and ORION
The mechanism is the Registered Agent Acceptance / Statement of Change, and the fee schedule lists a change of registered agent by the represented entity at $60. Most filers use the ORION Business Portal, which replaced SilverFlume on September 14, 2026. Old SilverFlume links redirect there, and an existing SilverFlume username and password work in ORION.
The Business Hub says most ORION filings are processed the same day at no additional cost. On paper, a 24-hour expedite for an agent change is $25. The statement takes effect on filing, and the interest holders or governors do not need to approve it.
We prepare and file the Statement of Change when you move to Mainstay, and the $60 is charged at cost. It names the new agent and its Nevada street address and comes with the new agent's certificate of acceptance under NRS 77.310.
If your agent resigns
A Nevada registered agent resigns by filing a statement of resignation under NRS 77.370, stating that written notice has been or will be provided to each represented entity. The resignation takes effect on the earlier of the 31st day after it is filed or the appointment of a new registered agent, and the agent has to promptly give the entity notice, in a record, of the filing date. The fee is $100 for the first entity listed and $1 for each additional one.
The deadline falls on the LLC. Under NRS 86.251, the LLC has to file a statement of change of registered agent before the effective date of the resignation. If it does not, it is deemed in default, with a $75 default penalty, and the charter can be revoked on the first day of the first anniversary of the month after the filing was required. The Secretary of State sends the default and revocation notices to the registered agent, so a stale agent can miss them.
If an LLC fails to appoint a registered agent, or fails to file the statement of change before a vacancy, NRS 14.030 allows service by delivering a copy to the Secretary of State for a $10 fee, after the plaintiff files an affidavit of due diligence. The defendant has 40 days to answer.
What the Articles and the Initial List contain
The Nevada formation packet pairs the Articles of Organization, an NRS 86 form revised July 23, 2025, with the Initial List of Managers or Managing Members and State Business License, revised July 1, 2026. The packet states that an initial list of managers or members must accompany the filing.
The Articles name the registered agent, which is the commercial agent's name only or a noncommercial agent, office or position with a Nevada street address, along with the agent's signed acceptance. They add an optional dissolution date, whether the LLC is managed by members or managers, the name and address of each manager or managing member, optional series or restricted LLC boxes, and the organizer's name, address and signature.
When you hand the agent role to a new party, the new agent has to accept it with a certificate of acceptance, as at formation.
Price in Nevada, and the Annual List
The Nevada agent role is $149 a year with Mainstay and stays $149 at renewal, with compliance reminders. The Annual List and State Business License renewal, a combined $350 that Nevada asks for at the end of your anniversary month, are not filed under this service. They are part of the $199 formation package, which also includes the agent and adds the Articles of Organization, the Initial List and your EIN application.
A Nevada registered agent also counts for the State Business License. Having a registered agent in the state is treated as conducting business there, and if you have no location of your own in Nevada, the agent's address is treated as your business location on the license.
The Nevada address on the filing would be Mainstay's. Anything served on your company gets scanned and uploaded the same business day, free of charge. The first three government mailings of a year are scanned at no cost, then a per-piece scan or shipping fee applies, and no tier includes free physical forwarding.
Frequently asked questions
Can a Nevada LLC name a position inside itself as its registered agent?
Yes. Nevada lets the LLC designate a specific office or position, such as President, Owner or Office Manager, as long as there is a physical Nevada address.
How old does an individual agent have to be in Nevada?
At least 18, with a physical address in Nevada. A noncommercial agent can represent fewer than 10 entities.
Can a P.O. box be the agent's address?
Only as a mailing address. It cannot replace the required physical address.
Does a Nevada agent have to be at the address during business hours?
Under NRS 14.020, unless the address is the agent's home residence, the agent or authorized persons of suitable age and discretion must be there during normal business hours. An entity that fails to comply faces a fine of $100 to $500 for each day.
How much does it cost to change a registered agent in Nevada?
$60 for a change by the represented entity, usually filed through ORION. A 24-hour paper expedite is $25 more.
What happens when a Nevada registered agent resigns?
The resignation takes effect on the earlier of the 31st day after filing or when a new agent is appointed. The LLC has to file a statement of change before then or it is deemed in default.
What happened to SilverFlume?
ORION replaced it on September 14, 2026. Old links redirect, and existing SilverFlume logins work in ORION.
When does Nevada revoke an LLC?
Miss the Annual List for long enough and the charter is revoked, about a year after the missed deadline.
Does Mainstay's Nevada price include the Annual List?
Neither is filed under it. The $149 a year pays for the agent role and compliance reminders, and the Annual List and business license renewal are filed under the $199 formation package.
Haven't formed your Nevada company yet?
Start with the formation package instead. At $199 a year it prepares and files your formation, applies for your EIN, serves as your registered agent and files your annual list, with the state's own fees at cost. For a new company that's the better value, since the agent, the formation and the annual list all come with it. The $149 service on this page is for a company that's already formed and only needs an agent. See how forming in Nevada works →
Need a registered agent in Nevada?
$149 a year, flat, with the same price at renewal. If you're switching from another agent, we prepare and file the change with Nevada, and the state's change fee passes through at cost.
