How to Change Your New Jersey LLC Registered Agent

Your registered agent is the fixed point where legal papers and state notices reach your LLC. When that point stops being reliable, you have to move it, and New Jersey expects the record to reflect reality. Several situations call for a change.

Common reasons to update the record

• You're switching to a commercial service. Many owners start out as their own agent and later hire a service for privacy and reliability.
• Your current service isn't cutting it. Slow forwarding, missed documents, or poor communication are all good reasons to move.
• Your agent moved. If the person or company you named relocates, the registered office address on file is now wrong.
• The individual agent left. If you named an employee, partner, or friend who has since departed, they can't keep serving.
• Your agent resigned. A registered agent can step down, and if they do, you need a replacement on record quickly.
• You're consolidating. If you run several entities and want them all under one agent, updating the LLC's record brings it in line.

Whatever the trigger, the underlying principle is constant: New Jersey requires a valid registered agent at a real New Jersey street address at all times, and the public record has to match.

Changing a registered agent in New Jersey means filing a change with the Division of Revenue and Enterprise Services. It is a distinct filing from your formation record, with its own fee.

The basic process

1. Line up the new agent first. Have the replacement agent and their New Jersey registered office confirmed and ready before you file. You don't want a gap where no valid agent exists.
2. File the change with DORES. The DORES annual reports portal includes an option to change your registered agent name and/or address, referencing your LLC by name and its state identification number.
3. Pay the state fee. The statement of change costs $25 under N.J.S.A. 42:2C-93, and DORES lists it as "$25.00 Change of registered Agent/Office."
4. Confirm it took effect. Once processed, the new agent and registered office appear in the public business records search. Verify the record shows the correct agent before considering it done.

The moment the state records the change, service of process and state notices are directed to the new registered office.

Gather these before you start the filing so it goes through cleanly:

• Your LLC's exact legal name as it appears on the state's records
• Your New Jersey business identification number (the entity ID assigned at formation)
• The new registered agent's name: a New Jersey resident, or a company with authority to transact business in New Jersey
• The new registered office address: a New Jersey street address (a P.O. box only alongside the street address)
• A way to pay the $25 fee online

If you're moving to a commercial registered agent service, the service usually supplies its own name and registered office details and, in many cases, will prepare and submit the change filing for you as part of onboarding. If you're switching to yourself or another individual, you provide that person's information directly.

A registered agent change is not something to leave half-finished. Until DORES records the new agent, the old one is still the official recipient, which is a problem if that address no longer works.

Avoid a coverage gap

The cleanest approach is to have the new agent in place before you cut ties with the old one. If your current agent has resigned or an address has already gone dark, file the change as your first priority. During any gap, documents served on the stale address may still be legally effective, meaning your company could be sued and never receive notice.

After the change

• Confirm the public record reflects the new agent and registered office.
• Update your internal records and any place you've noted the old agent: your operating agreement appendix, your compliance calendar, your bank file.
• If you moved to a commercial service, make sure you know how they'll notify you when documents arrive.

New Jersey does not tie the registered agent change to your annual report, so don't wait for the report to make the update. Handle the change on its own timeline, as soon as the need arises.

Assuming the annual report covers it

Changing your agent does not satisfy your annual report obligation, and the agent change is its own $25 filing. Don't assume that confirming details on the annual report takes care of a switch. Treating one filing as the other leaves something out of date.

Naming an agent who doesn't know

Don't list someone as your registered agent without talking to them first. An agent who doesn't know about the role may not forward papers, or won't even open them, and the state treats delivery to that address as delivery to your company.

Using an address that doesn't qualify

The registered office has to be a New Jersey street address. An out-of-state address will not satisfy the requirement, and a P.O. box only works when the street address is listed too. A filing that gets this wrong can be rejected or leave you non-compliant.

Letting it lapse entirely

If your only agent resigns and you don't replace them, the LLC has no valid registered agent. The annual report reminder DORES mails 60 days ahead goes to the agent, so a missing agent makes missed reports more likely, and two missed years in a row put the LLC on the inactive list, freeing its name for others. The fix is always the same: get a valid agent on record promptly.
