3. Pay the state fee. New Jersey charges a filing fee to record the change; the current amount is listed on the DORES fee schedule.
4. Confirm it took effect. Once processed, the new agent and registered office appear in the public business records search. Verify the record shows the correct agent before considering it done.

A change like this typically processes quickly through the online system. The moment the state records it, service of process and state notices are directed to the new registered office.

Gather these before you start the filing so it goes through cleanly:

• Your LLC's exact legal name as it appears on the state's records
• Your New Jersey business identification number (the entity ID assigned at formation)
• The new registered agent's name — an individual or a commercial service authorized in New Jersey
• The new registered office address — a physical New Jersey street address, not a P.O. box
• Confirmation the new agent consents to serving in the role

Filing your annual report does not change your registered agent, and changing your agent does not satisfy your annual report obligation. They are separate filings with separate purposes. Treating one as the other leaves something out of date.

You can't unilaterally draft someone as your registered agent. The person or service has to consent. Listing an unwilling or unaware agent risks documents going to someone who won't forward them — or won't even open them.

Using an address that doesn't qualify

The registered office has to be a physical New Jersey street address staffed during business hours. A P.O. box, a mail-forwarding box, or an out-of-state address will not satisfy the requirement, and a filing that lists one can be rejected or leave you non-compliant.

Letting it lapse entirely
