Costs Guide · What a New Mexico LLC actually costs to form and run, and exactly what our price covers.
New Mexico LLC Costs — What You Pay to Form and Maintain One
The cost picture for a New Mexico LLC is one of the simplest in the country, largely because the state does not charge an annual report fee. This page breaks down the state formation fee, the ongoing costs that do and do not apply, the tax obligations that are separate from your entity, and the optional expenses worth planning for — so you can budget accurately without surprises.

The State Formation Fee
When you file Articles of Organization with the New Mexico Secretary of State, you pay a one-time state filing fee to create the LLC. That fee is charged through the online portal at enterprise.sos.nm.gov, and the current amount is shown at checkout. Because filing is now online only, an online convenience or processing fee may be added at payment.
New Mexico's formation fee is modest relative to many states, which is part of what makes it a budget-friendly place to form. There is no minimum capital requirement, no franchise tax at formation, and no separate application fee layered on top. What the portal quotes at checkout is what you pay to get the entity on record.
What the formation fee covers
- Processing and recording your Articles of Organization
- Registering your designated registered agent with the state
- Creating your LLC's official record in the Secretary of State's database
It does not cover a service fee if you use a filing company, legal fees if you use an attorney, or optional steps like a name reservation. Those are separate and under your control.
The Annual Report Fee — There Isn't One
This is where New Mexico stands apart. Most states require LLCs to file an annual (or biennial) report and pay a recurring fee to stay in good standing. New Mexico does not require an annual report for LLCs at all, and there is no annual state maintenance fee.
That means once you have paid the formation fee, there is no recurring Secretary of State charge to keep your LLC alive year after year. In states with annual fees, that recurring cost adds up over the life of a business and creates a deadline you can miss. New Mexico removes both the cost and the deadline for LLCs.
No late penalties to worry about
Because there is no annual report, there are no late penalties for missing one and no administrative dissolution for failing to file it — the enforcement mechanisms that catch owners off guard in other states simply do not apply to New Mexico LLCs. The one thing you must not let lapse is your registered agent, but that is a compliance obligation rather than a scheduled fee.
Taxes Are Separate From Your Entity Costs
It is worth being clear that "no annual report fee" does not mean "no taxes." Your LLC's tax obligations are separate from the cost of maintaining the entity with the Secretary of State, and they are where most of your actual money goes.
Federal taxes
By default, LLC profits pass through to the owners: a single-member LLC reports on Schedule C, and a multi-member LLC files Form 1065 with income flowing to members. You pay federal income tax and, on active business income, self-employment tax on your share. An S-corp election can change this, sometimes reducing self-employment tax, but it adds payroll and filing costs — run the math with an accountant.
New Mexico state taxes
New Mexico levies a personal income tax, so pass-through profits appear on your state return. If your LLC sells taxable goods or many services, the Gross Receipts Tax applies. You register with the Taxation and Revenue Department at tax.newmexico.gov for a Business Tax Identification Number and remit GRT on the schedule they assign. GRT is typically passed through to customers, but the LLC is responsible for collecting and remitting it.
Employer taxes
If you hire employees in New Mexico, you take on payroll withholding, unemployment insurance, and related obligations. These scale with your payroll and are separate from anything the Secretary of State charges.
Optional and Situational Costs
Beyond the state formation fee, a few costs are optional or depend on your situation. None are required to form the LLC, but planning for the ones you will use avoids surprises.
Registered agent service
You can serve as your own registered agent at no cost if you have a New Mexico street address and are comfortable being publicly listed and available during business hours. A commercial registered agent service is ordinarily an annual cost of its own, and many owners consider it worthwhile for privacy and reliability — especially out-of-state owners who need an in-state address to satisfy the law. If you form through Mainstay, you never buy the agent separately: it comes standard inside our flat yearly price.
Name reservation
If you want to hold your chosen name before filing, New Mexico offers a name reservation for a separate fee. Most owners skip it and file directly, since online processing is fast.
Foreign qualification
If you are registering an out-of-state LLC to do business in New Mexico, the certificate of authority filing has its own fee, and you will need a certificate of good standing from your home state, which that state may charge for.
Professional and local licenses
Many professions and localities require licenses or permits with their own fees and renewal cycles. These are separate from your LLC registration and depend entirely on what your business does and where.
Professional services
Fees for an attorney, an accountant, or a filing service are optional and depend on how much help you want. They are not state charges — they are the cost of expertise or convenience you choose to buy.
Frequently asked questions
What does it cost to form an LLC in New Mexico?
You pay a one-time state filing fee to the New Mexico Secretary of State when you file your Articles of Organization online, and an online convenience fee may be added at payment. The exact amount is shown on the enterprise portal at checkout. New Mexico's formation fee is modest relative to many states, with no minimum capital requirement and no franchise tax at formation. Beyond the state fee, any filing-service or attorney fees are optional and under your control.
Does a New Mexico LLC have an annual fee?
No. New Mexico does not require an annual report or charge an annual maintenance fee for LLCs with the Secretary of State. Once you pay the one-time formation fee, there is no recurring state charge to keep the LLC in good standing. This is one of the biggest cost advantages of forming in New Mexico. You still owe taxes and any license renewals, but there is no yearly entity fee.
Are there late penalties for a New Mexico LLC?
Not for an annual report, because there is no annual report to be late on. New Mexico does not administratively dissolve LLCs for failing to file a yearly report the way many states do. The obligation you must not neglect is maintaining a valid registered agent — letting that lapse puts the LLC out of compliance — but that is a compliance requirement rather than a scheduled fee with a penalty.
Do I have to pay for a registered agent in New Mexico?
Not necessarily. You can serve as your own registered agent at no cost if you have a physical New Mexico street address and are available during business hours, though your address then appears in the public record. A commercial registered agent service is a recurring cost that many owners find worthwhile for privacy and reliability, and it is effectively required for out-of-state owners who lack an in-state address. Mainstay customers don't pay that as its own line — agent coverage is folded into the one flat yearly service price.
What taxes will my New Mexico LLC owe?
Your entity maintenance is nearly free, but taxes are separate. Federally, LLC profits pass through to owners' returns unless you elect corporate treatment. New Mexico charges personal income tax on those profits, and Gross Receipts Tax applies to most taxable sales — you register with the Taxation and Revenue Department and remit GRT on an assigned schedule. Employers also take on payroll obligations. These tax costs are independent of the Secretary of State fees.
