What an EIN Is and Why an LLP Always Needs One

An Employer Identification Number is a nine-digit federal tax ID that the IRS assigns. It functions as the business equivalent of a Social Security number — the number the IRS, banks, and other institutions use to identify the partnership.

A New York LLP effectively always needs one, for a structural reason: an LLP has at least two partners, so it files a partnership return (Form 1065) and is a separate taxpayer from the individual partners. A single-member LLC can sometimes get by using the owner's SSN, but that path does not exist for a partnership. The moment you have two or more partners, an EIN is required.

The EIN is not the same as a state tax ID

A common point of confusion: the federal EIN is issued by the IRS and identifies the partnership federally. It is not a New York State tax identification number. If your firm needs to withhold payroll taxes, collect sales tax, or set up other state tax accounts, you register separately with the New York Department of Taxation and Finance — and those registrations use the EIN as the anchor. So the EIN comes first, and the state accounts build on it. Getting the EIN does not, by itself, register you for anything at the state level.

The natural sequence is to get the EIN after the Certificate of Registration is filed and the LLP legally exists, but before you open bank accounts or set up payroll. If the responsible party has no SSN or ITIN

A partner without a US SSN or ITIN cannot use the online tool. In that case, apply by fax or mail using Form SS-4. Fax responses typically return the EIN within a few business days; mail takes several weeks. Plan for that lead time if it applies to your firm.

Avoid paid "EIN filing" services that charge for the number itself

Third parties sometimes market EIN retrieval for a fee. The underlying federal charge is zero — you are paying only for someone to fill out a free form. It can be a convenience when bundled with formation, but never mistake it for a mandatory government cost.

The Responsible Party

The IRS requires each EIN application to name a responsible party — a real person who controls or manages the entity, not another company. For a New York LLP, this is generally one of the partners, often the managing partner. The responsible party's SSN or ITIN is used to validate the online application.

If the responsible party changes later — a managing partner retires, for example — the IRS asks that you update the record using Form 8822-B within 60 days. Keeping the responsible-party information current avoids the IRS sending notices to someone no longer connected to the firm.
