The Mandatory State Costs

Two costs are unavoidable when you form a New York LP, and one of them varies wildly.

The Certificate of Limited Partnership filing fee

The publication requirement

This is the cost that catches people off guard, and it's often the largest single expense of forming a New York LP. Within 120 days of filing, your LP must publish notice in two newspapers — one daily, one weekly — designated by the county clerk of your LP's county, running six consecutive weeks. Then you file a Certificate of Publication with the Department of State.

If you want to lock a cleared name before you're ready to file, you can reserve it for a limited period for a small state fee. Most filers skip this and simply file when ready.

Assumed name (DBA)

Certificate of Amendment
