G.S. 55D-30 in plain terms

North Carolina's term is registered agent at a registered office, and the rule is G.S. 55D-30. The Business Registration Division of the Secretary of State, in Raleigh, keeps the record. Articles of Organization on Form L-01 carry the registered agent, the registered office street address and county, and a registered office mailing address if different, which is where a P.O. box is allowed.

The Secretary of State's registered agent page describes the agent's sole duty as forwarding any notice, process or demand to the last known address of the entity, and says acceptance of these documents at the agent's registered office is considered legal notice. Notices about administrative dissolution are a separate matter: under G.S. 57D-6-06 the state mails them to the LLC.

This page covers the LLC rules, and the same agent service is open to corporations, LPs, LLPs and nonprofits.

Who the statute and the Secretary of State accept

Under 55D-30(a)(2), an agent is an individual who resides in North Carolina and whose business office is identical with the registered office. It can also be a domestic or authorized foreign corporation, nonprofit corporation or LLC whose business office is identical with the registered office.

The Secretary of State's own guidance adds three short points. The agent must agree to act. You may be your own registered agent if you live in North Carolina. And a registered mailing address may be a PO Box address.

Form BE-06 asks for an agent "other than your own entity," so the LLC cannot be its own agent.

A street address and a county

Whichever route you take, the registered office needs a North Carolina street address and county on the Articles. A P.O. box is acceptable only in the separate registered mailing address field, according to the Secretary of State.

The Secretary of State's page says each registered agent must continuously maintain a physical registered office in North Carolina, and the agent's business office has to be the same place as the registered office.

Serving yourself, someone else or a service

You can serve as your own agent with your business office as the registered office. It costs nothing extra, but you are the one who receives the papers and has to forward them in a timely manner.

Any North Carolina resident who agrees and whose business office is the registered office can serve: a partner, an employee or your attorney. That puts the compliance burden on them.

A commercial agent maintains its own North Carolina address, keeps it on the record in place of yours and does not need updating when you relocate.

Form BE-06 for $5

The change is made on Form BE-06, the Statement of Change of Registered Office and/or Registered Agent, and the fee is $5. The same form covers a different agent, a new office address or both. You can file it online or mail it to the Business Registration Division in Raleigh. The new office and the agent's business office have to be identical, an officer, manager or general partner signs, and the new agent's consent to the appointment appears on the form or in a separate written consent.

The Secretary of State says you are required to update the registered agent name and office within 60 days of any change. Missing that window gives the state grounds for administrative dissolution under G.S. 57D-6-06. The Secretary of State's fee page adds an electronic fee to online transactions, $3 by card or $2 by ACH.

The state has two related forms. BE-05 designates an agent when none is of record, and BE-12 is the agent's own change of address, each for $5. The Secretary of State also notes that you may need to mail the annual report if you are changing the registered agent name.

Moving to Mainstay, we prepare and file the BE-06, and the state's charge is passed through at cost. Check the state's business search afterward, and keep the outgoing service running until it shows the new agent.

If your agent resigns

A North Carolina agent resigns on Form BE-07, the Statement of Resignation of Registered Agent, and there is no fee. The agent certifies that written notice of the resignation has been mailed or delivered to the entity, and the Secretary of State's FAQ says the agent also has to mail the company a copy of the form. The Secretary of State mails copies to the registered office and the principal office. Under G.S. 55D-32 the agency appointment ends on the 31st day after the statement was filed. So name a replacement who has said yes and file the BE-06 well inside the 60 days.

If an entity fails to appoint or maintain a registered agent, or the agent cannot with due diligence be found at the registered office, G.S. 55D-33 makes the Secretary of State an agent of the entity on whom process, notice or demand may be served.

An empty seat can also end the LLC. Being without a registered agent or registered office for 60 days or more, or not notifying the Secretary of State within 60 days of a change or resignation, is a ground for administrative dissolution under G.S. 57D-6-06. The state mails a notice and dissolves the LLC if it is not corrected within 60 days after the notice is mailed.

What Form L-01 and the annual report contain

Form L-01, the Articles of Organization under G.S. 57D-2-20, covers ten items. They are the name, the name and business address of each person executing the articles as member, organizer or both, the registered agent, the registered office street address and county, a mailing address if different, the principal office or none, optional provisions, optional company officials, an optional business email and an effective date up to 90 days later. The optional email gets free notification when a document is filed and is not viewable on the website. The filing fee is $125, which becomes $128 online by card or $127 by ACH.

The annual report under G.S. 57D-2-24(a) lists the registered office and agent, the principal office and phone, the principal company officials and a brief description of the business. A 2026 law, SL 2026-59, adds a military deployment filing extension. If more than 50% of the business is owned by a deployed service member, an Affidavit of Deployment filed before deployment makes the annual report due 90 days after the deployment ends.

Price in North Carolina, and the annual report

Mainstay's North Carolina price is $149 a year for the agent role, renewing at $149, with compliance reminders. The annual report, due April 15 with a $200 state fee, which is $203 online by card, is not filed under this service. The $199 formation package files it, and adds the agent, the Articles of Organization and your EIN application.

Mainstay's North Carolina address takes your place on the record. We scan and upload service of process the same business day, with no charge. The first three government mailings each year are scanned free, and any more carry a per-piece scan or shipping fee. We do not provide free physical forwarding on any tier.
