How to Change Your North Dakota LLC's Registered Agent

• Do not leave a gap. Line up the new agent's consent before you file so there is never a moment when the LLC has no valid agent on record.
• Confirm the change landed. After the state processes the filing, pull your LLC on the FirstStop search and verify the new agent and address are showing. A quick check now saves you from discovering a failed filing later, at the worst possible time.

A registered agent change takes effect when the Secretary of State processes the filing, which for an online submission is usually quick — often within a few business days, subject to the Business Division's volume.

Coordinating the change

• Have the new agent ready first. Whether it is a commercial service or an individual, confirm they have agreed to serve before you submit. Filing with an agent who has not consented is asking for trouble.
• Mind the annual report. North Dakota's annual report is due November 15 each year. If you are changing agents around that time, make sure whoever is responsible for filing the report knows the change is happening so nothing falls through the cracks between the two tasks.
