Statutory agent under ORC 1706.09
Ohio's word is statutory agent, and ORC 1706.09(A) says each LLC "shall maintain continuously in this state an agent for service of process on the company." The role is the one other states call a registered agent, and the duties are the same. The Secretary of State's Business Services office keeps the record, and filing runs through Ohio Business Central.
The agent accepts the summons and complaint on the company's behalf. Under 1706.09(H) process may be served by delivering a copy to the address of the agent in the Secretary of State's records. Standing notices do not travel through the agent: if the LLC fails to maintain an agent, the Secretary of State sends its notice by ordinary or electronic mail to the email address provided to it, or to the address in the notice of resignation, so keep that email current. Ohio has no annual report.
This describes LLCs, and the same agent service is open to corporations, LPs, LLPs and nonprofits.
Who Form 610 accepts
Form 610, the Articles of Organization, allows a natural person residing in Ohio, or a domestic or foreign business entity with an Ohio address. The Secretary of State's FAQ lists the entity types and requires authority to do business in Ohio.
An individual uses a primary residence or usual place of business in Ohio. A business uses its usual place of business in Ohio. The form carries an Original Appointment of Statutory Agent with the agent's name and address, plus an Acceptance of Appointment that the agent signs.
There is no fee for that original appointment. It comes with the $99 filing.
Addresses Ohio refuses
The form says post office boxes are not allowed, with one narrow exception for a box paired with a rural route number. ORC 1706.09 says a usual place of business does not include a post office box, regardless of whether that box has an associated street address.
The statute defines a usual place of business as a place in Ohio that is customarily open during normal business hours and where an individual is generally present who is authorized to perform the services of a registered agent.
Form 610 adds that Commercial Mail Receiving Agency addresses are not allowed either. The agent's address is recorded in the Secretary of State's records, so the address you give is public.
Your own agent, or someone to take the job
An Ohio resident can serve as their own statutory agent, using a primary residence or usual place of business and signing the Acceptance. There is no service fee. Process is delivered to the address in the state's records, so it comes to wherever you listed, whether you are on jobs or traveling.
You also maintain it. Move, and you have to update the agent address with the state yourself, or fall out of compliance. If you leave Ohio, you can no longer serve as an individual.
A commercial agent's Ohio address goes on the record in place of yours, so a move does not touch the state record.
Form 521 and the $25 update
The filing is Form 521, the Statutory Agent Update, and the fee is $25 under ORC 111.16(R)(1), whether it is a change of agent, a resignation of agent or a change of the agent's address. The form has a box for each: a subsequent appointment of agent, a change of address of agent or a resignation of agent. The new agent signs the acceptance, and under 1706.09(G) the filing also states that the former agent's appointment is revoked.
Until the filing is processed, the address in the state's records is the old one, and process delivered there reaches the old agent.
When you move to Mainstay, we prepare and file the Form 521, and the $25 is charged at cost. Check the business search afterward to confirm the name and address.
If your agent resigns, and the 30 days
An Ohio agent resigns by filing a written notice of resignation signed by the agent, on Form 521 for $25. On or before the day the notice is filed, the agent has to mail a copy to the LLC at the current or last known address of its principal office. Under ORC 1706.09(F) the resigning agent's authority terminates 30 days after the notice is filed with the Secretary of State.
If the agent cannot be found or no longer has the address in the state's records, or the LLC has failed to maintain an agent, a party can file an affidavit and serve the Secretary of State, with four copies and a $5 fee. The Secretary of State forwards the papers to the company by certified mail, return receipt requested.
Ohio is explicit about what a missing agent costs. If the LLC fails to maintain an agent, the Secretary of State gives notice. Unless the default is cured within thirty days after the mailing, the articles of the limited liability company shall be canceled without further notice. Ohio has no annual report to prompt a periodic review, so keep the agent information accurate yourself.
What else Form 610 asks for
Form 610, last revised in September 2025 and filed under ORC 1706.16, replaced the older Form 533A. Besides the statutory agent's appointment and acceptance, it carries the company name, an optional effective date no more than ninety days after receipt, an optional purpose, an optional series statement, any additional provisions and the organizers' signatures.
One rule catches people out. The Secretary of State's office cannot file or record a document that contains a Social Security number or tax identification number, so leave those off the form.
The version of ORC 1706.09 cited on this page is the one effective October 24, 2024. The organizers sign the Articles, and the agent signs the acceptance separately.
Price in Ohio, where nothing recurs at the state
Mainstay charges $149 a year for the Ohio statutory agent role, and the renewal is $149 as well, with compliance reminders. Ohio has no annual report, so there is no recurring state filing to leave out of the price. A new Ohio company can use the $199 formation package, which includes the statutory agent and adds the Articles of Organization and your EIN application, with the state's $99 filing fee at cost.
Mainstay's Ohio address would be on the record. Papers served on your company are scanned and uploaded the same business day, at no fee. Government mail gets three free scans a year, and a per-piece scan or shipping fee applies beyond that. No tier includes free physical forwarding.
Frequently asked questions
What is the difference between a statutory agent and a registered agent in Ohio?
None in function. Ohio's statute uses statutory agent for the role most states call a registered agent.
Can a commercial mail receiving agency address be my Ohio statutory agent address?
No. Form 610 says Commercial Mail Receiving Agency addresses are not allowed, and P.O. boxes are out too, even with a street address attached.
Does the first statutory agent appointment cost anything?
No. The Secretary of State says there is no fee for the original appointment. It is part of the $99 Form 610 filing.
How much does Form 521 cost?
$25 under ORC 111.16(R)(1), for a change of agent, a resignation of agent or a change of the agent's address.
How does an Ohio statutory agent resign?
By filing a signed written notice, on Form 521 for $25, after mailing a copy to the LLC's principal office. The agent's authority ends 30 days after the notice is filed.
What happens if an Ohio LLC has no agent?
The Secretary of State mails a notice, and unless the default is cured within thirty days the articles are canceled without further notice. A party can also serve the Secretary of State by affidavit.
Does Ohio have an annual report for LLCs?
No. Business entities in Ohio are not required to file an annual report.
What does Mainstay's Ohio price cover?
Mainstay's price is $149 a year for the agent role plus reminders, and since Ohio has no annual report there is no recurring filing to add.
Haven't formed your Ohio company yet?
Start with the formation package instead. At $199 a year it prepares and files your formation, applies for your EIN, and serves as your registered agent, with the state's own fees at cost. For a new company that's the better value, since the agent and the formation both come with it. The $149 service on this page is for a company that's already formed and only needs an agent.
