What an EIN Is and Why It Matters

An Employer Identification Number, or EIN, is a nine-digit federal tax ID the IRS assigns to your business. Think of it as a Social Security number for your business: it identifies your LLC to the federal government and to banks, and it appears on the paperwork that ties your company to the tax system.

What you use an EIN for

  • Opening a business bank account. Nearly every bank requires an EIN to open an account in the LLC's name, which is the foundation of keeping business and personal finances separate.
  • Filing federal taxes. A multi-member LLC files a partnership return under its EIN; an LLC that elected corporate treatment files under its EIN too.
  • Hiring employees. You need an EIN to report and pay payroll taxes.
  • Building business credit and identity. Vendors, lenders, and payment processors often ask for the EIN.

It's a federal number, not an Oregon one

One point worth clarifying: the EIN comes from the IRS, not from the state of Oregon. Forming your LLC with the Oregon Secretary of State and getting an EIN are two separate steps with two different agencies. Your Oregon Articles of Organization create the entity; the EIN gives that entity its federal tax identity. You'll generally form the LLC first, then apply for the EIN once the company officially exists.

When Your Oregon LLC Needs an EIN

Not every LLC is legally required to have an EIN, but most end up needing one for practical reasons.

When an EIN is required

  • Your LLC has more than one member. Multi-member LLCs are taxed as partnerships by default and must file a partnership return, which requires an EIN.
  • You have employees. Payroll tax reporting requires an EIN, no exceptions.
  • You elected corporate or S-corporation tax treatment. Those elections and their returns require an EIN.
  • You're subject to certain federal excise taxes.

When it's technically optional but still smart

A single-member LLC with no employees is a disregarded entity for federal tax purposes and can, in theory, use the owner's Social Security number. But almost every advisor recommends getting an EIN anyway, for two reasons. First, banks usually require it to open a business account. Second, it keeps your personal Social Security number off business paperwork, invoices, and vendor forms — a meaningful privacy and security benefit. Since the EIN is free and fast, there's little reason for even a solo owner to skip it.

How to Apply for an EIN

The IRS offers several ways to apply, but for most Oregon LLC owners the online route is fastest and simplest.

Apply online (the fastest way)

Use the IRS EIN Assistant at IRS.gov. The application walks you through a short set of questions about your LLC — its legal name, address, responsible party, number of members, and reason for applying. It takes roughly ten minutes, and the EIN is issued immediately at the end. You can download and print the confirmation letter and start using the number the same day. The online tool is available during posted IRS hours, so if it's unavailable, check the operating hours and try again.

Apply by fax or mail

If you can't or don't want to apply online, you can submit Form SS-4 by fax or mail. Fax responses generally come back within a few business days; mail takes considerably longer. This route is mainly used by applicants who can't complete the online form — most notably those without a US Social Security number or ITIN.

Non-US Owners and Special Situations

Oregon doesn't require you to be a US resident to own an LLC, so plenty of Oregon LLCs have foreign owners. The EIN process has a specific path for them.

Applying without an SSN or ITIN

The online EIN Assistant requires the responsible party to have a US Social Security number or ITIN. If your responsible party has neither — common for non-US owners — you cannot use the online tool. Instead, complete Form SS-4 and submit it to the IRS by fax or mail. On the form, you can indicate "foreign" where a US taxpayer ID would otherwise go. The IRS will assign the EIN and return it to you; fax is faster than mail.

Choosing the responsible party

The IRS wants a real person as the responsible party — the individual who ultimately owns or controls the LLC — not another entity. For a single-member LLC that's the owner; for a multi-member LLC it's typically a managing member. The responsible party's information stays on file with the IRS, and you're expected to update it if control of the LLC changes.

One EIN per entity

Your LLC gets one EIN. If you form additional LLCs, each needs its own EIN — they aren't shared across entities. And if you dissolve the LLC, the EIN is retired with it rather than reused for a different business. Keep your confirmation letter with your permanent records, because reproducing a lost EIN letter from the IRS is slower than simply filing it away.
