Pennsylvania Registered Office Service for Your Company

Pennsylvania does not ask you to name a registered agent. It asks for a registered office, which can be your own Pennsylvania address or a commercial provider's, never both. Mainstay's service for the role costs $149 a year. Read on for the Commercial Registered Office Provider option, the $5 change, what happens when a provider stops and the new annual report.

One price: $149/yr for your registered office, with compliance reminders. Switching from another agent? The state's change fee is at cost.

A registered office instead of an agent

Under Title 15 of the Pennsylvania Consolidated Statutes, every LLC maintains a registered office in the Commonwealth. Pennsylvania cares about the place where papers can be delivered, not about a named individual. The Department of State's Bureau of Corporations and Charitable Organizations in Harrisburg keeps the record, and the Certificate of Organization, Form DSCB:15-8821 under 15 Pa.C.S. section 8821, costs $125.

The Certificate asks for a registered office address, or a Commercial Registered Office Provider and county of venue, and it says not both. It lists each organizer and the effective date, and it lists no members or managers.

The registered office fixes the county for venue and official publication purposes. The Department also says it will mail the annual report notice to the registered office address at least two months before the deadline. This describes LLCs, and Mainstay's service also covers corporations, LPs, LLPs and nonprofits.

The Commercial Registered Office Provider option

The Department's instructions let you list a Commercial Registered Office Provider, a CROP, in place of a registered office address. They call it an option for any association that does not have a physical location or mailing address in Pennsylvania. You contract with the CROP first, and listing a CROP address without a contract could subject a filer to civil and criminal penalties.

The Department says a CROP is not the same as a registered agent, since Pennsylvania does not require one. A CROP is a domestic or registered foreign association in the business of maintaining registered offices in the Commonwealth, and it must have filed a statement of address of commercial registered office with the Department. The Department's page lists the registered CROPs. It adds that a CROP may also be an agent authorized in writing to receive service of process under Pa.R.C.P. 423 and 424.

With a CROP, the record reads c/o the provider's name, with a county, instead of a street address. A registered office provided through Mainstay can appear on the filing either as a Pennsylvania street address or as a c/o listing of a registered provider with a county of venue. Which of the two is used is settled when the filing is prepared.

Street addresses, no boxes

The instructions say post office boxes are not acceptable for any address on the filing. They cite 15 Pa.C.S. section 135(c), which requires an actual street or rural route box number.

Every LLC needs a Pennsylvania address. The Department's FAQ says the only entities not required to have one are trademarks and fictitious names.

Pennsylvania's forms and the registered office statutes do not write in an office-hours rule.

Home, or a provider

Listing your home address as the registered office is legal and free. The registered office address on a filing is part of the public record.

If you move, you update the registered office with the Department each time, at $5 a change. Owners who relocate often, or who are unsure where the business will be in a year, save filings by using a stable third-party address.

The $5 change of registered office

The fee schedule lists a Change of Registered Office at $5. The Department's form, the Statement of Change of Registered Office, says it may be submitted online. Under 15 Pa.C.S. section 8825(b), before the change becomes effective the company has to amend its certificate of organization, include the change in an annual report under section 146, or file a certificate of change of registered office.

The form gives the new address as either a Pennsylvania street address or a c/o listing of a Commercial Registered Office Provider with a county, and it says not both.

When you move your registered office to Mainstay, we prepare and submit the change, and the $5 is charged at cost. Afterward, look the LLC up again to confirm the new office shows.

If your provider stops providing the office

A provider that ceases to provide a registered office files a statement of change of registered office by agent, Form DSCB:15-108, which costs $5. There is no waiting period. Under 15 Pa.C.S. section 108, if a provider's status is terminated, the location of the registered office is not affected, but the person formerly in care of the office has no responsibility for matters tendered to the office afterward.

The LLC does not have to act for that statement to be filed, and the provider has to promptly give the LLC a copy. But the Department's instructions say the association should immediately file a superseding registered office address. Until it does, the old address stays in effect for venue and official publication, with no one responsible for what arrives there. A CROP that leaves the business entirely files a statement of termination and then a section 108 statement for each association it served.

So treat a provider's notice as urgent and file the $5 change of registered office with the new address or provider.

The new annual report and its mailing

Pennsylvania's annual report is Form DSCB:15-146, new from 2025 under Act 122 of 2022, which repealed the decennial report. LLCs file between January 1 and September 30, the fee is $7, and a company's first annual report is due the year following its formation. It states the name, jurisdiction, registered office, principal office, at least one governor, principal officers if any and the entity number.

The Department says it will mail notice to the registered office address at least two months before the deadline. Online reports are automatically approved, and there are no expedited service options.

That ties the registered office to the report. If the address is stale, the reminder lands somewhere you do not watch.

Price in Pennsylvania, and the September 30 report

Mainstay's price for the Pennsylvania registered office role is $149 a year, renewing at $149, with compliance reminders. This service does not file the annual report, so that stays with you. For a new company the $199 formation package files it, covers the registered office role, and adds the Certificate of Organization and your EIN application, with the state's fees at cost.

The registered office Mainstay provides takes the place of your own on the public record. There is no fee when service of process is scanned and uploaded the same business day it arrives. Government mailings get three free scans a year, then a per-piece scan or shipping fee applies. No tier includes free physical forwarding.

Frequently asked questions

Does Pennsylvania use registered agent or registered office?

Registered office. The Certificate lists either a registered office address or a Commercial Registered Office Provider, not both.

What is a Commercial Registered Office Provider?

A business that provides a registered office for other companies and has filed a statement of address of commercial registered office with the Department. You contract with it first, and its name and county of venue go on the Certificate in place of your own address.

Can a P.O. box be my Pennsylvania registered office?

No. The Department's instructions say post office boxes are not acceptable for any address on the filing.

How much does it cost to change the registered office?

$5 for a Change of Registered Office. The change can also be made on the annual report.

What happens if a registered office provider stops providing the office?

The provider files a $5 statement of change by agent, with no waiting period. The registered office location is not affected, but the provider has no responsibility for what arrives afterward, so the LLC should immediately file a new registered office address.

When is the Pennsylvania annual report due?

LLCs file between January 1 and September 30. The fee is $7, and the first report is due the year after formation.

Where does the Department mail the annual report notice?

To the registered office address, at least two months before the deadline.

Does an LLC have to have a Pennsylvania address?

Yes. The Department's FAQ excuses only trademarks and fictitious names from having one, so an LLC needs a Pennsylvania address.

What does the Certificate list instead of members?

Each organizer and an effective date. It does not list members or managers.

Does Mainstay's Pennsylvania price include the annual report?

No. The $149 a year pays for the registered office role and reminders, and the September 30 report belongs to the $199 formation package.

Haven't formed your Pennsylvania company yet?

Start with the formation package instead. At $199 a year it prepares and files your formation, applies for your EIN, serves as your registered agent and files your annual report, with the state's own fees at cost. For a new company that's the better value, since the agent, the formation and the annual report all come with it. The $149 service on this page is for a company that's already formed and only needs an agent. See how forming in Pennsylvania works →

Need a registered agent in Pennsylvania?

$149 a year, flat, with the same price at renewal. If you're switching from another agent, we prepare and file the change with Pennsylvania, and the state's change fee passes through at cost.
