What an EIN Is and Why Your LLC Needs One

An Employer Identification Number (EIN) is a nine-digit number the IRS assigns to identify a business for federal tax purposes. Think of it as a Social Security number for your company. It's sometimes called a Federal Tax ID or FEIN — same thing. Your South Dakota LLC uses its EIN on federal tax filings, on payroll paperwork if you hire, and almost universally when opening a business bank account.

Why it matters even in a no-income-tax state

South Dakota has no state income tax, which means there's no state-level tax ID to worry about the way there is in many states. But the EIN is a federal identifier, so it's just as relevant in South Dakota as anywhere else. Your LLC still files federal returns, still deals with the IRS, and still needs the EIN for banking and hiring. The absence of a South Dakota income tax simplifies your state picture — it doesn't remove the need for a federal EIN.

The separation benefit

Even when you're not strictly required to have one, an EIN lets you keep your Social Security number off business paperwork — vendor forms, bank applications, and client W-9s. For a single-member LLC owner, that separation is a small but real protection against identity exposure, and it reinforces the line between you and the company that the LLC structure depends on.

When Your South Dakota LLC Is Required to Have an EIN

Not every LLC is legally required to have an EIN, but most end up needing one, and the practical reasons usually settle the question.

You must have an EIN if:

  • Your LLC has more than one member. A multi-member LLC is taxed as a partnership by default and must file a partnership return, which requires an EIN.
  • You hire employees. Any business with employees needs an EIN to handle payroll tax withholding and reporting.
  • You've elected corporate taxation. If your LLC elects to be taxed as an S-corp or C-corp, it needs an EIN.
  • You're required to file certain federal excise or employment tax returns.

You'll practically want one if:

  • You want a business bank account. Nearly every bank requires an EIN to open an account in the LLC's name, even for a single-member LLC.
  • You want to keep your SSN private. An EIN replaces your Social Security number on business forms.
  • You work with clients who issue 1099s. Providing an EIN instead of your SSN on a W-9 keeps your personal number out of others' files.

A single-member LLC with no employees can technically use the owner's SSN for federal taxes, but between banking and privacy, most owners get an EIN regardless.

How to Apply for an EIN

The IRS issues EINs directly, for free, and the online route is by far the fastest. Be wary of third-party websites that charge a fee to "get" an EIN — the IRS never charges for one.

Apply online (fastest)

Use the IRS EIN Assistant. The online application:

  • Takes about ten minutes to complete
  • Issues your EIN immediately upon completion — you can download the confirmation and use the number the same day
  • Is available during IRS operating hours (generally weekdays)
  • Requires the responsible party to have a valid US Social Security number or ITIN

Apply by fax or mail

If you can't use the online tool, complete Form SS-4 and submit it by fax or mail. Fax responses typically come back within a few business days; mail takes several weeks. This is the primary route for applicants who don't have an SSN or ITIN.

What you'll need to apply

  • Your LLC's legal name exactly as filed with the South Dakota Secretary of State
  • The LLC's principal business address
  • The name and taxpayer ID of the "responsible party" (usually a member who controls the LLC)
  • The number of members and your expected tax classification
  • The reason for applying (started a new business)

Timing, Order of Operations, and Non-US Applicants

Getting the sequence right saves you from re-doing steps, and non-US owners have a specific path worth understanding up front.

Form the LLC first, then get the EIN

Apply for your EIN after your Articles of Organization are filed and your LLC officially exists. The EIN application asks for your LLC's legal name and formation details, so having the entity established first ensures everything matches. Because South Dakota forms LLCs so quickly online, there's usually little wait between formation and applying for the EIN.

Responsible party

The IRS requires a "responsible party" — the individual who ultimately controls or manages the LLC. For a single-member LLC, that's you. For a multi-member LLC, it's typically a managing member. The responsible party must be a person, not another entity, and their taxpayer ID goes on the application.

Non-US residents without an SSN or ITIN

You can absolutely own a South Dakota LLC as a non-US resident, and you can get an EIN — you just can't use the online tool, which requires an SSN or ITIN. Instead, complete Form SS-4 and submit it to the IRS by fax or mail. On the form, foreign applicants without a US taxpayer ID enter "Foreign" where a taxpayer ID would go. Fax is faster than mail. Plan for extra lead time, since this route isn't instant like the online application.

After you have your EIN

Store the IRS confirmation letter (the CP 575) somewhere safe — banks and lenders may ask for it, and getting a replacement is a hassle. With your EIN in hand, you can open a business bank account, set up payroll if needed, and handle federal tax filings under the LLC's own identity.

Frequently asked questions

Is an EIN free?

Yes. The IRS issues EINs at no cost, directly through its online application or by submitting Form SS-4. Be cautious of third-party websites that charge a fee just to obtain an EIN — that's a markup on something the government provides for free. The only legitimate issuer is the IRS.

Does my single-member South Dakota LLC need an EIN?

Not strictly, if it has no employees — you could use your SSN for federal taxes. But in practice you'll want one: nearly every bank requires an EIN to open a business account, and using an EIN instead of your SSN on business paperwork keeps your Social Security number private. Most single-member owners get one anyway.

How long does it take to get an EIN?

If you apply online through the IRS EIN Assistant, it's immediate — you receive the number as soon as you complete the roughly ten-minute application. Applying by fax with Form SS-4 typically takes a few business days, and by mail it can take several weeks.

Can I get an EIN before forming my LLC?

It's better to form the LLC first. The EIN application asks for your LLC's legal name and formation details, so you want the entity established with the South Dakota Secretary of State before you apply. Since South Dakota processes online formations quickly, there's usually very little wait between the two steps.

Can a non-US resident get an EIN for a South Dakota LLC?

Yes. Non-US residents can own a South Dakota LLC and obtain an EIN. You can't use the online tool without an SSN or ITIN, so you complete Form SS-4 and submit it by fax or mail, entering "Foreign" where a US taxpayer ID would go. Fax is faster than mail, so plan for some lead time.

Do I need a separate state tax ID in South Dakota?

Because South Dakota has no state income tax, there's no state income tax ID to obtain. If your LLC sells taxable goods or services, you'll register for a sales tax license with the South Dakota Department of Revenue, which is separate from your federal EIN. For most purposes, the EIN is the identifier you'll use.
