What an EIN Is and Why Your LLC Needs One
An Employer Identification Number is a nine-digit federal tax identification number the IRS issues to businesses. Think of it as a Social Security number for your company. It's how the IRS identifies your LLC on tax filings, how banks identify it when you open accounts, and how the government tracks payroll if you hire.
Crucially, the EIN is a federal number issued by the IRS — it has nothing to do with the Texas Secretary of State or the Comptroller. Forming your LLC in Texas and getting an EIN are two separate steps with two separate agencies. You form the LLC with the state first, then get the EIN from the IRS.
Why you'll almost certainly want one
Even when an EIN isn't strictly required, most Texas LLC owners get one because:
- Banks require it. Nearly every bank asks for an EIN to open a business account, and a separate business account is essential for keeping the liability shield intact.
- It protects your SSN. With an EIN, you keep your Social Security number off vendor forms, client W-9s, and business paperwork.
- It's free and fast. There's no cost and, applying online, you get the number immediately.
When an EIN Is Actually Required
The IRS requires an EIN in specific situations. Your Texas LLC needs one if any of these apply:
You must have an EIN when
- Your LLC has more than one member. A multi-member LLC is taxed as a partnership by default and files Form 1065, which requires an EIN.
- You hire employees. Payroll tax reporting and withholding require an EIN.
- You elect corporate tax treatment. If your LLC elects S-corp or C-corp taxation, it needs an EIN.
- You have certain excise tax or retirement plan obligations. Less common for small LLCs, but they trigger the requirement.
The single-member exception
A single-member LLC with no employees and no corporate election is, by default, a "disregarded entity" — the IRS treats it as part of your personal return, and you can technically use your own SSN for federal income tax. Even so, most single-member owners get an EIN anyway to open a bank account and keep their SSN private. It costs nothing, so there's little reason not to.
How to Apply for an EIN
The IRS offers several ways to apply. Online is the fastest and the one most Texas LLC owners use.
Online (fastest)
Apply through the IRS EIN Assistant at IRS.gov. The application walks through a series of questions about your LLC — its name, address, responsible party, and structure — and issues the EIN immediately on completion. You can download and print the confirmation letter (CP 575 equivalent) and use the number the same day. The online tool is available during posted IRS hours and requires you to finish in one session.
What you need to apply
- Your LLC's legal name exactly as filed on the Certificate of Formation
- The LLC's mailing address
- The name and taxpayer ID (SSN or ITIN) of the responsible party — the individual who controls or manages the LLC
- Your management/tax structure (single-member, multi-member, or a corporate election)
Timing tip: form first, then apply
Apply for the EIN after your Certificate of Formation is filed and your LLC's name is confirmed. If you apply before the state has formed the entity and the name changes or the filing is rejected, your EIN could be tied to a name that doesn't match your official record — a nuisance to fix later.
Applying Without a US Social Security Number
The online EIN Assistant requires the responsible party to have a US SSN or ITIN. If you're a non-US resident forming a Texas LLC and don't have either, you can't use the online tool — but you can still get an EIN.
The fax or mail route
Complete Form SS-4 (Application for Employer Identification Number) and submit it to the IRS by fax or mail. On the form, where a taxpayer ID would normally go for the responsible party, foreign applicants without an SSN or ITIN can enter "Foreign" per the IRS instructions. Fax is faster than mail — the IRS typically returns the EIN by fax within a few business days, while mail can take several weeks.
What to have ready
- A completed, signed Form SS-4
- Your Texas LLC's exact legal name and address
- Details of the responsible party
Non-US owners often find this the trickiest part of setting up a Texas LLC, precisely because the fast online path isn't available. Planning for the fax turnaround keeps it from bottlenecking your bank account opening.
Common EIN Mistakes and What to Do After
Mistakes that cause headaches
- Applying before the LLC is formed. Get the Certificate of Formation on file and the name confirmed first, so the EIN matches your official record.
- Name mismatch. The name on the EIN application should match the Certificate of Formation exactly. A discrepancy can cause friction with banks and the IRS.
- Using a paid "EIN service" that charges for a free process. The EIN itself is free directly from the IRS. Be wary of sites that charge a fee just to obtain the number.
- Losing the confirmation letter. Save the IRS confirmation (the letter showing your assigned EIN). Banks ask for it, and reissuing it later is an extra step.
After you have your EIN
- Open your business bank account. With the filed Certificate of Formation, the EIN confirmation, your operating agreement, and ID, you can open a dedicated account and keep business and personal finances separate.
- Use it on tax filings. Your federal returns and any payroll filings reference the EIN.
- Keep it with your records. Store the confirmation letter alongside your formation documents and operating agreement.
Remember the EIN is federal and separate from your Texas obligations. It does not replace your franchise tax filing with the Comptroller or your registered agent duties with the Secretary of State — those run on their own tracks.
Frequently asked questions
Is an EIN free for a Texas LLC?
Yes. The IRS issues EINs at no cost. Apply directly at IRS.gov and you'll pay nothing. Be cautious of third-party sites that charge a fee simply to obtain the number — the application itself is free, and online you get the EIN immediately.
Does a single-member Texas LLC need an EIN?
Not strictly for federal income tax — a single-member LLC with no employees is a disregarded entity and can use the owner's SSN. But you'll almost certainly want an EIN anyway, because nearly every bank requires one to open a business account and it keeps your Social Security number off business paperwork. It's free, so most single-member owners get one.
Do I get my EIN from the state of Texas or the IRS?
The IRS. An EIN is a federal tax ID, entirely separate from your Texas formation. You form the LLC with the Texas Secretary of State, then apply for the EIN from the IRS. Neither the Secretary of State nor the Comptroller issues EINs.
Can I get an EIN for my Texas LLC if I don't have a Social Security number?
Yes, but not through the online tool, which requires an SSN or ITIN for the responsible party. Non-US residents complete Form SS-4 and submit it to the IRS by fax or mail, entering "Foreign" where the taxpayer ID would go. Fax is faster; expect a few business days by fax versus several weeks by mail.
Should I get my EIN before or after forming my LLC?
After. File your Certificate of Formation and confirm your LLC's name first, then apply for the EIN so it matches your official record exactly. Applying before the entity is formed risks a name mismatch if the filing changes or is rejected, which is a nuisance to correct later.
What information do I need to apply for an EIN?
Your LLC's exact legal name and mailing address, your management/tax structure (single-member, multi-member, or corporate election), and the name and taxpayer ID (SSN or ITIN) of the responsible party — the individual who controls the LLC. Have your filed Certificate of Formation handy so the name matches.
