What an EIN Is and Why It Matters
An Employer Identification Number, or EIN, is a nine-digit number the IRS assigns to identify a business for federal tax purposes. It functions like a Social Security number for your company. Banks ask for it, the IRS uses it to track your filings, and payroll systems require it. It is sometimes called a Federal Employer Identification Number (FEIN) or a federal tax ID — all the same thing.
It is a federal number, not a Utah number
An EIN comes from the IRS, a federal agency, and it is entirely separate from anything the state of Utah issues. Forming your LLC with the Utah Division of Corporations does not get you an EIN, and getting an EIN does not register your business with Utah. They are two different steps with two different agencies. You form the LLC first, then get the EIN for the now-existing company.
Why your LLC benefits from having one
Even when it is not strictly required, an EIN is worth getting. It lets you keep your personal Social Security number off business paperwork, which reduces your exposure to identity theft. It is what banks want to open a business account. And it reinforces the separation between you and the business — the same separation that underpins your LLC's liability protection. For nearly every real operating business, an EIN is a practical necessity even if the law does not force it.
When Your Utah LLC Is Required to Have an EIN
Certain situations make an EIN mandatory, and others make it merely advisable. Here is how to tell which applies to you.
You must have an EIN if:
- Your LLC has more than one member. Multi-member LLCs are taxed as partnerships by default and have to file a partnership return, which requires an EIN.
- You have employees. Any business with employees needs an EIN to handle payroll tax withholding and reporting.
- You have elected corporate tax treatment. If your LLC has elected to be taxed as an S-corporation or C-corporation, it needs an EIN.
- You file certain federal excise or employment tax returns.
You should get one even if not required if:
- You are a single-member LLC with no employees. Technically you can use your own Social Security number for federal taxes in this case, but you should still get an EIN. It keeps your SSN private and is nearly always required to open a business bank account.
- You want a business bank account. Most banks will not open a business account without an EIN, regardless of how your LLC is taxed.
- You plan to build business credit or work with vendors who require a federal tax ID.
For the overwhelming majority of Utah LLCs, the answer is simply "get an EIN." There is no downside, it is free, and it makes everything downstream easier.
How to Apply for an EIN — Free, Directly from the IRS
The IRS issues EINs at no cost. You never have to pay a government fee for one, and you never have to go through a paid third party if you would rather not.
The online application (fastest)
The quickest route is the IRS's online EIN Assistant at IRS.gov. The application walks you through a series of questions about your business, takes roughly ten minutes, and issues the EIN immediately at the end. You can download and print the confirmation letter on the spot and start using the number the same day.
To apply online, the responsible party — usually a member or manager of the LLC — needs a valid US Social Security number or Individual Taxpayer Identification Number (ITIN). The online tool is available during the IRS's posted hours and must be completed in a single session, since it does not save partway through.
If you cannot apply online
Applicants without an SSN or ITIN, including many non-US residents, cannot use the online tool but can still get an EIN. You complete IRS Form SS-4 and submit it by fax or mail. Fax is faster than mail, though both take longer than the instant online option. International applicants can also apply by phone through the IRS's dedicated line for that purpose.
What information you will need
- Your LLC's exact legal name as filed with the Utah Division of Corporations
- The company's mailing address
- The name and SSN or ITIN of the responsible party
- The type of entity and how it will be taxed
- The reason you are applying and the date the business started
Common EIN Mistakes and How to Avoid Them
Getting an EIN is simple, but a few missteps cause real headaches down the line.
Applying before your LLC exists
Get your Certificate of Organization filed and processed with the Division of Corporations first, then apply for the EIN using your LLC's exact legal name. Applying before the entity is formed, or with a name that does not match your state filing, creates mismatches that can cause problems at the bank and with the IRS later.
Paying a third party for something free
Some services charge a fee to "get your EIN." The EIN itself is always free from the IRS. If a service charges for it, you are paying for their convenience or bundling, not the number. There is nothing wrong with using a service that includes it, but know that you can get it yourself at no cost in about ten minutes.
Getting the responsible party wrong
The responsible party is the individual who controls or manages the LLC — typically a member. Enter that person accurately, because the IRS ties the EIN to them. Using the wrong person, or an entity where an individual is required, can create complications you will have to unwind.
Losing the confirmation letter
When your EIN is issued, save the confirmation (the CP 575 letter online, or the equivalent). You will be asked for it when opening bank accounts and in various filings. If you lose it, retrieving it from the IRS is possible but slower than simply keeping it filed with your formation documents from the start.
Using Your EIN After You Get It
Once you have the number, it becomes a routine part of running the business.
Where you will use it
- Opening a business bank account — nearly every bank requires it
- Filing federal taxes for the LLC in whatever manner it is taxed
- Registering with the Utah State Tax Commission for sales tax or other state tax accounts, if applicable
- Setting up payroll if you hire employees
- Applying for business licenses, credit, or vendor accounts that ask for a federal tax ID
Keep it consistent
Use the same EIN and the same exact legal business name across all your accounts and filings. Consistency prevents mismatches that can flag your filings or slow down account openings. Your EIN does not expire and does not need renewal — it stays with the business for its lifetime. If you ever restructure significantly (for instance, changing how the entity is taxed in certain ways), check whether a new EIN is required, but for ordinary operation, the number you receive is the one you keep.
Frequently asked questions
Is an EIN free for a Utah LLC?
Yes. The IRS issues EINs at no cost. Apply directly through the online EIN Assistant at IRS.gov and you get the number immediately, or use Form SS-4 by fax or mail if you cannot apply online. Some services charge a fee to obtain it for you, but that pays for their handling — the EIN itself is always free from the IRS.
Does my single-member Utah LLC need an EIN?
Technically, a single-member LLC with no employees can use the owner's Social Security number for federal taxes. But you should still get an EIN — it keeps your SSN off business paperwork, and nearly every bank requires one to open a business account. Given that it is free and quick, most single-member LLCs get an EIN anyway.
How long does it take to get an EIN?
If you apply online through the IRS EIN Assistant, it is immediate — you receive the number at the end of the roughly ten-minute application and can print the confirmation right away. Applying by fax takes several business days, and mail takes longer. The online route is by far the fastest for anyone with a US SSN or ITIN.
Do I get an EIN from Utah or the IRS?
From the IRS. An EIN is a federal tax ID, completely separate from your Utah LLC formation. Forming your LLC with the Utah Division of Corporations does not give you an EIN, and getting an EIN does not register your business with the state. Form the LLC first, then apply for the EIN using your LLC's exact legal name.
Can I get an EIN if I'm not a US resident?
Yes. Non-US residents without a Social Security number or ITIN cannot use the online tool, but they can still obtain an EIN by submitting Form SS-4 by fax or mail, or by applying through the IRS's international phone line. It takes longer than the online option, but there is no requirement to be a US resident to get an EIN for a Utah LLC.
