Where the rules live after October 1, 2026
Utah Code 16-20-201, effective October 1, 2026 and formerly 48-3a-201, governs the Certificate of Organization. The registered agent rules sit in 16-1a-403 and 16-1a-404, and a change falls under 16-1a-407. The Division of Corporations and Commercial Code, part of the Department of Commerce in Salt Lake City, keeps the record.
There is no numbered paper form for formation. It is built into the online system. The certificate carries the street and mailing address of the principal office and the registered agent information, and the fee is $59.
Under 16-1a-412 a person may serve an entity with process by serving its registered agent, and under 16-1a-413 the agent has to forward what it receives to the entity at the address most recently provided to it. This page covers LLCs, and Mainstay's service also covers corporations, LPs, LLPs and nonprofits.
Three kinds of agent on the filing
The filing can name a commercial registered agent, a noncommercial registered agent with a name and address, or the title of an office or other position within the represented entity, together with a mailing address. A commercial agent is a company registered with the Division to act as an agent in Utah.
Designating an agent affirms that the agent consents to serve, so the state asks for no separate signature. That makes it your job to get a real yes first.
What counts as an address
Section 16-1a-403 says the agent's address must be a street address in this state. If the agent's mail goes elsewhere, an in-state mailing address is added alongside it. The Division's change form says a Utah street address is required, and that a PO box can be listed after the street address.
Utah's agent rules do not set office hours.
Privacy and the public record
The Division's forms say all registration information maintained by the Division is classified as public record. Your agent address goes on that record. If you work from home and name yourself, that is your home address.
If you have an office where you are present most days and are comfortable with a public address, naming yourself is straightforward and free of any extra charge.
A $17 statement of change, or the annual report
A statement of change under 16-1a-407 costs $17 on the Division's fee schedule, online. The LLC signs it and names the new agent, and the members' approval is not required. Online, you update the registered agent in the Business Registration System with an entity number and a UtahID account. The paper alternative is the Limited Liability Company Registration Information Change Form, with a non-refundable $17 processing fee.
Section 16-1a-212(9) treats an annual report that lists a different agent as a statement of change. If your renewal is near, you can make the switch there and skip the separate filing.
The Division says most filings process immediately, and those pulled for manual review take 5 to 7 business days. A $75 expedite is available. When you move to Mainstay we prepare and submit the statement of change, and the state fee is charged at cost. Have the new agent in place and confirmed before the old arrangement ends.
If your agent resigns
A Utah agent resigns with a statement of resignation signed by the agent under 16-1a-410. It takes effect at 12:01 a.m. on the 31st day after the Division files it, or when the entity designates a new registered agent, whichever is earlier, and the agent has to promptly give the entity notice, in a record, of the filing date. The Division's resignation form still cites the old section, 16-17-209, with the same 31st-day rule, and the fee schedule lists no resignation fee. So you have about a month to file the $17 statement of change.
If an entity ceases to have a registered agent, or a person cannot with reasonable diligence serve the agent, 16-1a-412 allows service by registered or certified mail, return receipt requested, or a similar commercial delivery service, addressed to the entity at its principal office.
An empty seat can also end the LLC. Failing to maintain a registered agent in Utah for 60 consecutive calendar days is a ground for administrative dissolution under 16-1a-602. The Division serves notice, and the LLC has up to 60 days to cure under 16-1a-603. An LLC with an invalid or missing agent is out of compliance even if its annual renewal is paid and current.
What the Certificate of Organization holds
Section 16-20-201 lists what the Certificate carries: the name, which section 16-1a-302 governs, the street and mailing address of the limited liability company's principal office, and the registered agent information under 16-1a-404. Low-profit, professional or series items are added only where they apply.
The company is formed when the certificate becomes effective and at least one person becomes a member. The filing runs through the Division's online system, and the UtahID that signs you in is the same login you use later for a statement of change.
Price in Utah, and the anniversary-month renewal
Mainstay's Utah agent role costs $149 a year and renews at $149, with compliance reminders. The annual renewal is not part of it. Utah ties it to the formation anniversary, due by the last day of that month, at an $18 renewal fee, and a renewal 60 days late is grounds for administrative dissolution. A new company can use the $199 formation package, which files the renewal and includes the agent, the Certificate of Organization and your EIN application.
Mainstay's Utah address would be the one on the record. Papers served on the company get a same-business-day scan and upload, and the fee for that is zero. The first three government mailings a year are scanned free, then per-piece scan or shipping fees apply, and no tier includes free physical forwarding.
