Registering a Foreign LLC in Virginia (LLC1052)
Virginia sends foreign companies to the State Corporation Commission, not a Secretary of State, and asks for a document most states do not: a certified copy of your articles. We put the application together, submit it, and supply the Virginia registered agent. The total appears before you pay.
$199.00 for us plus Virginia's fee. Total today: $299.00, with your registered agent free for the first year.

A good standing certificate will not work here
The most common reason a Virginia foreign filing gets stuck is the attachment. Virginia does not take a certificate of good standing or a certificate of existence. What § 13.1-1052(B) asks for is a copy of your articles of organization, plus every amendment and correction, vouched for by the home-state official responsible for LLC files.
The Commission adds two conditions. The certification has to be no more than 12 months old, and it has to say each document is a true and correct copy of the official record, or words to that effect. The SCC's checklist rejects the original articles and rejects a certificate that merely confirms good standing. Your home state sets the fee for the certified copies, so order them first; Virginia's filing is the quick part.
Where the doing-business line falls in Virginia
Under § 13.1-1051, a foreign LLC has to hold the SCC's certificate of registration before it transacts any business in the Commonwealth, and the phrase is never defined. What you get instead is § 13.1-1059, which names twelve activities that do not count and opens with "among others," leaving the list open-ended.
Several are the familiar ones: handling a lawsuit, holding member meetings, bank accounts, independent-contractor sales, and orders that must be accepted outside Virginia. Others cover borrowing and security interests, collecting debts, and owning real or personal property, "without more" being the statute's qualifier. A one-off transaction finished inside 30 days, and unlike a string of similar deals, qualifies too. Two oddities stand out. Short film and television productions (under 90 consecutive days, footage processed elsewhere) are listed, and so is acting only as a general partner of a limited partnership that does nothing else here.
There is no interstate-commerce item, which many other states include. The section also warns that it does not settle what exposes you to being sued here, taxed, or regulated under other laws. When your Virginia presence goes beyond the list, assume you need the certificate, and take gray areas to a Virginia attorney.
The application and the fee
The form is LLC1052, issued by the State Corporation Commission's Office of the Clerk in Richmond. Virginia's own word for the result is a certificate of registration (a foreign corporation receives a certificate of authority instead). You can file online in real time through the Clerk's Information System at cis.scc.virginia.gov, mail it to the Clerk, or deliver it to the Tyler Building in Richmond. Form LLC1052 is published as a Word file only.
The application asks for the LLC's name exactly as it appears in its articles, its home jurisdiction, its original formation date and duration (perpetual or an end date), any earlier Virginia registration, the principal office, and the registered office and agent. A post office box alone does not work as the principal office. It also asks for a statement that the Commission's clerk is appointed the LLC's agent for service of process if the agent cannot be found. A manager, a person with delegated management authority, or a member of a manager-less LLC signs; the form tells you not to use the title "owner." No member list or notary is needed, and the information is public.
The SCC's fee for an LLC is $100, online or on paper, with no processing fee on online card payments. The SCC states no standard processing time for this filing. The total at our checkout is $299, which is $199 for our work plus the state's filing charge.
Name rules
Sections 13.1-1054 and 13.1-1012 require a designator (LLC, L.L.C., LC, L.C., "limited company," or the full "limited liability company"). Nothing in the name may suggest a corporation or limited partnership, and it must stand apart from the names already on the Commission's records.
If your home-state name lacks the designator or is already in use, Virginia lets you adopt a designated name just for use here and tell the Commission what it is. If you later want to operate under a different name from the one on the certificate, the SCC says you need a separate fictitious name filing. A name reservation is available at $10 for 120 days.
The registered agent and office
Every registered foreign LLC must maintain a registered office in Virginia and a registered agent (§ 13.1-1015), and you need one lined up before you file. The agent is one of two kinds. It can be an individual Virginia resident who is a member or manager of the LLC, connected to a member or manager as described in the statute, or a member of the Virginia State Bar, and in each case based at the registered office. The alternative is a corporation, LLC, or registered limited liability partnership that is authorized to do business in Virginia and whose business office is that same address.
An entity serving as agent cannot be its own agent and has to name one or more natural persons at the office in a notarized written instrument. The SCC's agent guidance also bars a post office box, with a narrow exception for small towns without street addresses on paper filings. The agent's one statutory duty is to forward process, notice, or demand to the LLC's last known address. The registered office address is public and the Commission sends its mail there. Changing agent or office later (Form LLC1016) costs nothing.
Penalties for skipping registration, and what stays valid
Section 13.1-1057 sets out the consequences, and one of them is personal. Until it registers, a company that has been working in Virginia without a certificate cannot start or pursue a court action in Virginia. The same bar applies to its successor and to anyone who takes assignment of a claim arising from that business. Contracts stay valid and the LLC may still defend a case.
Each member, manager, or employee who does that business in Virginia while knowing a certificate is required and has not been obtained can be penalized by the Commission, after notice and a hearing, between $500 and $5,000. The LLC is also deemed to have named the Commission's clerk as its agent for service. Under § 13.1-1058 the Attorney General can also go to court to halt the company's Virginia business. The statute sets no late fee or back-fee charge on the LLC itself.
Keeping the registration alive
Virginia has no annual report for foreign LLCs. It charges a $50 annual registration fee instead, payable by the last day of the month your LLC was registered, and the Commission mails the assessment to your registered agent about two months ahead. You cannot pay before you are assessed. Miss it and a $25 late fee applies; if the fee is not paid by the last day of the third month after the due date, the registration is cancelled automatically (§ 13.1-1056.1). Reinstatement is possible within five years, with a reinstatement fee added to all fees and penalties owed.
Tell the Commission when your home-state documents change: send an authenticated copy of an amendment within 30 days of its effective date. An amended application (Form LLC1055) costs $25. The SCC may also cancel by order if you stop maintaining an agent or office. The state also expects registration with the Virginia Department of Taxation, and with the Virginia Employment Commission if you have employees here.
To leave, file Form LLC1056, a certificate of cancellation, for $25. It needs a statement that your state tax returns are filed and taxes paid, or that none are required. Cancelling on or before the fee's due date avoids that year's annual fee.
What you get from us
Send the details and your certified articles; we complete LLC1052 and submit it to the SCC. The Virginia registered agent is part of the filing, at no charge for the opening year, then $149 a year. Whatever is served on the agent reaches your account, scanned, on the day it is received, and there is no fee.
Your $299 today pays for the registration and the opening agent year. Paying the yearly fee, tax filings, and the certified copies from your home state are not included. We file paperwork and are not a law firm.
A corporation registers through this checkout as well, with the same $299 today. The Foreign Business Entities FAQ says a foreign corporation files for a certificate of authority (Form SCC759/921) instead and, unlike an LLC, also submits an annual report with its annual registration fee.
Frequently asked questions
What does the SCC charge for LLC1052?
The fee is $100, and the SCC adds no processing fee to online card payments. With $199 for our work on top, today's total is $299.
Can I submit a certificate of good standing with LLC1052?
No. What Virginia wants is your articles of organization with all amendments, in a certified copy dated within the past 12 months. The SCC says it cannot accept a certificate of existence or good standing in its place.
Are there personal penalties for working in Virginia without registering?
Yes. A member, manager, or employee who knowingly does the business without a certificate can be penalized between $500 and $5,000 by the Commission, after notice and a hearing. The LLC itself cannot sue in Virginia courts until it registers.
Could I list my own LLC as the agent?
No. Form LLC1052 rules that out, and an entity agent needs its Virginia business office at the registered office address. We supply an agent, free for twelve months.
What do foreign LLCs file each year in Virginia?
No annual report, but there is a $50 annual registration fee due by the last day of your registration month. A $25 late fee applies after that, and nonpayment for three months cancels the registration.
Does Virginia list interstate commerce among the activities that need no registration?
No. Section 13.1-1059 lists twelve activities and does not include interstate commerce, though the list is not exhaustive. If your Virginia footprint is unclear, speak with a Virginia attorney.
How do I withdraw from Virginia?
File Form LLC1056, the certificate of cancellation, for $25, with a statement that your state returns are filed and taxes paid. Doing it before the annual fee's due date avoids that year's fee.
