How to Change the Registered Agent for a Virginia LLC

A Virginia LLC must keep a qualifying registered agent at all times, so any disruption to that arrangement is something you have to fix promptly with the State Corporation Commission. The common triggers:

• Your current agent is resigning: A commercial service you no longer use, or an individual agent who no longer wants the responsibility, may resign — and Virginia allows agents to resign, which forces you to name a replacement.
• Your agent moved or is unreachable: If an individual agent relocates out of state, or a business agent's Virginia office closes, the agent no longer meets the requirement.
• You want privacy: Many owners start out as their own agent, then switch to a commercial service once they realize their home address is sitting in a public, searchable database.
• The agent stopped qualifying: If your individual agent was a member or manager who has since left the LLC, or otherwise no longer meets Virginia's qualification rule, they can no longer serve.
• You are consolidating services: Businesses with entities in several states often move everything to one commercial registered agent for simplicity.

Whatever the reason, the moment your current agent no longer qualifies or is no longer willing, the clock is ticking. An LLC without a valid registered agent is out of compliance and can eventually be canceled by the SCC.

Virginia handles registered agent changes through a statement of change filed with the State Corporation Commission. You can file it online through the Clerk's Information System, which is faster than mailing a paper form.

What the filing needs

• Your LLC's exact legal name as it appears in the SCC record
• The SCC entity ID for your LLC
• The new registered agent's name and the basis on which they qualify — for an individual, whether they are a member/manager or a Virginia attorney; for a business, its authorization to transact business in Virginia
• The new registered office address: a physical Virginia street address, no P.O. box, in the same city or county as the agent's office
• Confirmation that the new agent has agreed to serve

Getting the new agent's consent

Before you file, make sure your incoming registered agent has actually agreed to take the role. If you are hiring a commercial service, that consent is part of signing up with them. If you are naming an individual, confirm they qualify under Virginia's rule and are willing — you cannot appoint someone into the role without their agreement.

Processing

Online changes through CIS are typically processed quickly — often the same business day. Once accepted, the new agent and registered office become the official record, and all future service of process and state notices route to the new address.

There is a distinction worth understanding. Sometimes the agent stays the same but the address changes; sometimes the agent itself changes.

Same agent, new address

If your registered agent keeps serving but their Virginia office moves, you update the registered office address. A commercial registered agent handles this on their end when they relocate, filing the change so every entity they represent stays current. If you are your own agent and you move within Virginia, you file the change of registered office yourself.

New agent entirely

If you are swapping one agent for another — for example, moving from serving yourself to a commercial service — you file a statement of change that names the new agent and the new registered office together. The new agent must independently meet Virginia's qualification rule.

Keep the two addresses straight

Do not confuse the registered office with your LLC's principal office. The registered office is where your agent receives legal documents and must be in Virginia. The principal office is your main business address and can be anywhere, including out of state. Changing one does not change the other.

Registered agent changes are simple, but a few predictable errors cause rejected filings or compliance gaps.

Letting a gap open up

The worst mistake is letting your old agent lapse before the new one is in place. If your current agent resigns and you have not yet named a replacement, your LLC is temporarily without a registered agent. File the change so the new agent is effective without a gap, and never let a resignation sit unaddressed.

Naming an agent who does not qualify

Because Virginia restricts who can serve, appointing someone who does not meet the rule — an out-of-state relative, or a Virginia friend who is neither connected to the LLC nor a Virginia attorney — will get your filing rejected. Verify qualification before you file.

Using a P.O. box

The registered office must be a physical street address in Virginia. A P.O. box will not be accepted. If the new agent is a commercial service, they supply a compliant street address automatically.

Forgetting the underlying deadline

Changing agents does not reset or affect your annual registration fee, which is still due by the last day of your formation month. Keep paying it on schedule regardless of any agent change. It is easy to assume that touching the SCC record for one reason has updated everything else, but the annual registration fee runs on its own clock and ignores agent changes entirely.

Filing under the wrong entity name or ID

Every filing has to match the exact legal name and entity ID on the SCC's record. If your LLC is "Shenandoah Supply Company LLC" but you enter "Shenandoah Supply LLC," the system may not match your entity, or worse, may attach the change to the wrong company. Pull up your record in CIS first and copy the name and entity ID precisely as they appear.

Assuming the change is instant with third parties

Once the SCC accepts the statement of change, the state's record updates, but that does not automatically notify your bank, your insurer, or the courts of anything. Update your own records and let key parties know the new agent and address, especially if the old agent had been the destination for important mail.
