Virginia LLC Name Search — Check Availability and Naming Rules

Virginia keeps a single, searchable record of every business entity registered with the State Corporation Commission, and you check name availability there before filing. The search lives inside the Clerk's Information System (CIS), the same portal you use to file the Articles of Organization.

Running the search

Open the CIS business entity search and enter your proposed name. Then do it again with variations — drop the designator, try alternate spellings, swap singular and plural, and remove filler words. The goal is not just to see whether your exact name is taken, but whether anything close enough to be a conflict already exists. The SCC compares against all registered entity types, not only LLCs but corporations, limited partnerships, and others.

Read the results carefully

A clean result — no matching or near-matching active entity — is a good sign, but it is not a guarantee. The Commission makes the final call on whether a name is distinguishable when it reviews your Articles. If you find an existing name that is close to yours, treat that as a warning: filing anyway risks rejection, which costs you time. When in doubt, choose a name with more separation from anything already on record.

Checking beyond the state database

A name being available at the SCC does not mean it is free to use everywhere. Before you commit, it is worth checking whether a matching domain name is available, searching for the name on the web, and — if the name is central to your brand — checking the federal trademark database. State availability and trademark rights are separate questions; a name can be available to register in Virginia yet still infringe someone's trademark.

Virginia sets specific rules for what an LLC name must and must not contain. Getting these right up front avoids a rejected filing.

Required designator

Your Virginia LLC name must include one of these:

• "Limited liability company" or "limited company" spelled out
• The abbreviation "LLC" or "L.L.C."
• The abbreviation "LC" or "L.C."

The designator signals to anyone dealing with your company that it is a limited liability company, which is part of how the liability shield is communicated to the public.

The distinguishability standard

Your name must be distinguishable upon the records of the Commission from every other active entity name. Distinguishable is a legal standard, and small differences often do not count. Names that differ only by:

• Punctuation, spacing, or capitalization
• Adding or dropping "the," "a," or "and"
• Switching between a word and its abbreviation
• Singular versus plural of the same word

may not be treated as distinguishable. Aim for a name that stands clearly apart from anything already registered.

Restricted and prohibited words

Certain words are limited. A name cannot imply the LLC is a government agency or a type of entity it is not. Words tied to regulated industries — banking, insurance, and certain professional practices — may require approval from the relevant Virginia authority before the name can be used. If your intended name touches a regulated field, expect an extra approval step.

Sometimes you have the perfect name but you are not ready to file the Articles of Organization yet. Virginia lets you hold an available name in the meantime.

How reservation works

You can file a name reservation with the State Corporation Commission to reserve an available LLC name for a set period. Reservation does not create the LLC — it simply prevents anyone else from registering that name while you finish putting the formation together. It is filed through the SCC, and it carries a small fee.

When reservation is worth it

Reserving a name makes sense when your formation is genuinely weeks away — you are still lining up partners, capital, or a registered agent — and the name is one you cannot afford to lose to a competitor in the meantime. If you are ready to file within a day or two, reservation is usually unnecessary; just file the Articles, since Virginia's online processing is fast.

Reservation is not registration

A reserved name is held for you, but your LLC still does not exist until you file and the SCC accepts the Articles of Organization. Do not start signing contracts or opening accounts under a merely reserved name — wait until the entity is actually formed.

Your LLC's legal name is not the only name question worth thinking through before you launch.

Fictitious names (DBAs)

If you want to operate under a name different from your LLC's legal name — say, your LLC is "Blue Ridge Holdings LLC" but you market as "Blue Ridge Coffee" — you register that as a fictitious name. Since the start of 2020, fictitious names are filed centrally with the State Corporation Commission rather than at the local circuit court, and Virginia's fictitious name fee is notably low. A fictitious name lets one LLC run multiple brands or storefronts under distinct public names while remaining a single legal entity.

The legal name versus the brand

Many owners choose a straightforward, slightly generic legal name for the LLC and then use fictitious names for their customer-facing brands. That keeps the legal entity flexible while letting the marketing name do the work. There is no requirement that your legal name and your brand match.

Line up the domain and socials

Before you finalize the name, check that a usable domain is available and that the handles you want on social platforms are open. It is deflating to register the perfect LLC name only to find the matching domain is taken and unaffordable. Because the SCC name search, the domain check, and the trademark check are all quick, do them together before you commit, so the name you register is one you can actually build a brand around.
